SALES AGENCY AGREEMENT

此协议是双方在平等互利基础上建立, 共同遵守下列条款:
This  Agreement is made among the parties concerned on the basis of equality and mutual benefits to develop business on terms and conditions mutually agreed upon as follows: 
1. 协议相关各方当事人 
The parties concerned 
生产商: 鸿安企业（香港）子企业
  宜昌瑞英机电有限企业（以下简称“甲方”）
Manufacturer: Subsidiary of Hanover Enterprises Ltd. 
  Yichang Union Inc. (hereinafter referred to as Party A) 

代理商: （以下简称“乙方”）
Agent: (hereinafter referred to as Party B)

2.独家代理权授予Appointment of Exclusive Agent 
甲方授权乙方为其单头电磁炉产品在日区域特约总经销商, 全权负责甲方生产产品在日本市场推广, 销售和售后服务事宜。
Party A hereby appoints Party B as its sole agency in the Japan market to engage in the promotion, sales and after sales service of its single-hob induction cooker. 

产品: 由甲方生产单头电磁炉。
Commodity: Single-hob induction cookers produced by Party A. 
代理区域: 仅限日本区域内。
Territory: In Japan only. 

3.订单确定 Confirmation on Orders 
相关协议所要求上述商品每笔交易, 其数量、 价格及装运条件等以甲乙双方另行签定销售协议为准。
The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Contracts signed by the two parties hereto. 

4. 付款Payment Terms  
订单确定后, 乙方须经过T/T先向甲方支付30%定金, 在出货前须将余款经过T/T方法付清, 或者根据相关销售协议所要求时间开立以甲方为受益人保兑、 不可撤消即期信用证。乙方开出信用证后, 应立刻通知甲方, 方便甲方准备交货。  
After confirmation of the order, Party B should pay 30% for deposit by T/T to Party A the balance should be paid before shipping by T/T, or the Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favor of Party A within the time stipulated in the relevant S/C. Party B shall also notify Party A immediately after L/C is opened, so that Party A can get prepared for delivery.  
说明: 若订单数量<500pcs , 则为发货前100%付清款。
Remark: In case the quantity of orders is less than 500pcs, 100% T/T before shipment.  

5. 价格条款Price Terms    
价格: 为了确保长久合作, 促进共同发展, 甲方提供产品价格表给乙方, 各款报价详见其她附件。
Price: Party A provide quotation list of products to Party B so as to ensure the long term cooperation and joint development. Detailed quotation is as additional attachment. 
注1, 如甲方推出新款产品, 甲方将经过电邮通知乙方; 
注2, 甲方确保报给乙方价格为在日本区域内最低价格。
注3, 乙方不得私自将价格表内容透漏给任何第三方, 乙方必需严格实施和遵守甲方价格体系。
Remarks:
 1, Once Party A promote new products, will inform Party B by email. 
2, Party A make sure offered the lowest price for Party B within Japan area. 
3, Party B should not let out the quotations to any third parties but must execute strictly and adhere to the price system of Party A. 

6. 甲乙双方责任Liability of Two Parties 
6.1产品质量Quality of Product: 
甲方确保向乙方提供优质产品（甲方生产电磁炉等一系列产品）, 确保供货稳定; 当产品出现重大质量问题, 引发相关投诉和法律纠纷时, 甲方需要负担对应责任。
Party A guarantee all products (series of induction cookers) provided with high quality and stable supply. If there occurs big problems on quality and caused complaints or legal disputes, Party A should afford the related responsibility. 
6.2产品配置Product Configuration 
如乙方没有特殊要求, 则根据甲方企业提供产品标准机型配置（如有特殊要求需要重新报价）。
Without special request from Party B, all products are just as Party A offered, or will be needed to renew the quotation. 
6.3产品包装及交货时间Packaging and Delivery Time 
甲方发货要确保货物安全及包装适合长距离运输。产品颜色, 商标, 包装由乙方指定或中性包装。通常货物交货期为30个工作日, 特殊机种双方另行约定交货时间。
Party A shall guarantee the security and suitable package for long-distance of shipment. Party B 
could appoint the color, brand and package of products or neutral packing. Normally the delivery 
time is 30 working days except some special products which need to be agreed separately. 
6.4产品认证 Certification of Products 
甲方现有产品及以后由甲方单独开发或者委托第三方生产产品, 由甲方提供出口日本所需相关产品认证证书。 
Party A should provide the necessary certification for all products(now available and developed lonely in the future or produced by the appointed third party ) exporting to Japan. 
6.5乙方需严格保密甲方产品报价, 技术资料, 合作方法等商业机密。经营活动不得损坏甲方声誉。
 Party B should keep the quotation, technical data, business information of Party A strictly confidential. Operating activities cannot damage the reputation of Party A. 
6.6乙方应尽力在日本区域市场推广销售产品, 未经甲方许可, 严禁跨区域销售甲方产品。
Party B should do best promoting products in Japan, cannot sell products in other area without permission of Party A. 
6.7乙方不管任何情况下, 不得销售假冒伪劣或者未经授权许可产品, 若所以引发第三方法律责任, 则由乙方负责, 一概与甲方无关, 甲方将保留以后法律追究权利。
In any case, Party B cannot sell counterfeit and shoddy products or other unauthorized products. If it caused loss for third party, Party B shall take all responsibility. No any matter with Party A but will reserve the rights to pursue legal action in future. 
7. 业绩考评Performance Evaluation 
在本协议期限内, 乙方应该销售甲方产品抵达金额。如乙方在本协议期限内未完成前述销售金额, 则甲方可另行选择第三方作为日本区域总代理商。
Within the agreed period, Party B shall achieve the sales goal of Party A’s product:_________. In case Party B can’t achieve the goal within the agreed period, Party A shall choose the third party 
to be the general agent in Japan.  
8.知识产权保护Intellectual Property Protection 
乙方应该负担起帮助保护该产品在其销售区域专利保护责任, 如帮助在日本区域申请专利保护、 申请注册商标及阻止她人侵权等, 另外, 甲方应申请注册商标。
Party B shall undertake the responsibility of assisting with patent protection in the sales area, such as to apply for regional patent protection, registered trademarks and stop the infringement of others in Japan. In addition, Party A shall apply for registered trademark. 
9. 协议终止情形Termination of Agreement 
9.1 协议期限届满或甲乙双方当事人协商一致终止本协议止等情况应该自动终止;
The agreement shall be terminated automatically once in the end of agreed period or both parties involved agreed to end the agreement  
9.2 如乙方在协议期限内无法完成本协议第7条业绩金额, 则甲方有权单方提前终止本协议;
In case Party B couldn’t achieve the sales goal as Article 7 stated, Party A shall have the right to  end the agreement in advance. 
9.3在本协议使用期内, 假如一方被发觉违反本协议条款, 另一方有权终止本协议。
Within the agreed period, in case one party was found against the agreement, the other party shall have the right to end the agreement. 
10. 违约责任Liability of Default 
若乙方每逾期一天支付货款, 则乙方天天根据应付金额千分之一向甲方支付违约金。
In case Party B overdue the payment for one day, Party B shall pay penalty(milli of sum payable)  to Party A each day. 
11. 技术支持Technical support 
甲方会提供完整产品信息资料及必需售后服务技术培训给乙方。
注: 甲方免收培训费用, 乙方需自行负担相关住宿往返交通费用。
The Party A will offer the fully-formed products data to the Party B,as well as the necessary technical training for after-sales service. 

Remarks: Free charge on training, but Party B will have to afford the relative charges on accommodation and transportation by itself. 
12. 协议使用期Validity of Agreement 
为 年 月 日开始至 年 月 日有效, 双方须严格根据本协议实施, 若发觉任何
一方违反协议要求, 双方都有权终止本协议, 违约方造成损失法律责任由违约一方负担。本协议未尽事项及需变更事项, 经甲乙双方协商后以补充协议形式确定, 补充协议与本协议含有相同效力。

The validity of this Agreement is from  to  , each party shall executes strictly in accordance with the agreement, if any party violates this agreement, both parties have the right to terminate this agreement, the defaulting party has to assume the loss and legal liability. Matters not mentioned in this agreement, and need to change; through consultation between each party in the  form of supplementary 
agreement, supplementary agreement and this agreement has the same effect. 

13.适使用方法律Applicable Law 
甲乙双方确定, 本协议推行过程中适用中国法律。
 As both parties agreed, the performance of the agreement shall be governed by Chinese Law. 

14. 仲裁Arbitration  
在推行协议过程中, 如产生争议, 双方应友好协商处理。若经过友好协商未能达成协议, 则提交华南国际经济贸易仲裁委员会（原中国国际经济贸易仲裁委员会华南分会）, 依据该会仲裁程序进行仲裁。该委员会决定是终局, 对双方都有约束力。仲裁费用、 律师费及担保企业担保费, 除另有要求外, 由败诉一方负担。 
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the 
Foreign Trade Arbitration Commission of the Southern China Council for the Promotion of International Trade(SCIA) for Arbitration in accordance with its Provisional Rules of Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees, attorney fees and charges of bonding company shall beborne by the losing party, unless otherwise awarded. 

15. 其她事项Others 
对双方政府间贸易, 甲方有权按其政府授权进行相关直接贸易, 而不受本协议约束。乙方不得干涉此种直接贸易, 也无权向甲方提出任何赔偿或佣金要求。
For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A's government without binding himself to this Agreement. Party B shall not interfere in such direct dealings, nor shall Party B bring forward any demand for compensation therefrom.    
本协议受签约双方所签定销售确定条款制约。 
This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by 
both  parties hereto.  
本协议于_______年____月____日在____________签定, 正本两份, 甲乙双方各执一份。

This Agreement is signed on________/_____/_____at_______________and is in two originals,
 each party holds one.
