买卖双方经友好协商, 同意就以下货物进口达成以下交易条款。
This contract is made by and between the buyer and the seller, whereby the buyer agrees to buy and the seller agrees to sell the under-mentioned goods on the terms and conditions stated bellow:

3. 运输及包装:

3.1干散货, 散装或者涤纶袋装, 每袋装净重50 kg, 并尽可能标有运输标志。或卖方决定。
3.1 BULK OR Terylene bag with shipping marks or determined by the buyer. Net weight: 50 kgs per bag. Or determined by the buyer.

3.2转运: 不许可;
分批装运: 许可 , 分为2批装运, 每批50000mt
3.2 Ranshipments: not allowed
Partial shipments: allowed, two partial shipment, 5000 tons of each shipment

4.数量: 10000吨(±5%）

5.价格及保险 :
5.1 单价 : CIF USD 125每吨 中国上海港.

（除非另有要求, “ CIF”应依据国际商会制订《 国际贸易术语解释通则》（INCOTERMS ）办理。）
（The terms CIF shall be subject to the International Rules for the Interpretation of Trade Terms （INCOTERMS ） provided by International Chamber of Commerce （ICC） unless otherwise stipulated herein.）

5.2 保险 : 由卖方按发票金额110%投保一切险 按伦敦保险业协会1982年1月1日颁布相关海洋运输货物保险条款为准。
5.2 Insurance : To be covered by the seller for 110% of the invoice value, against all risks insurance, as perInstitute Cargo Causes, dated 1/1/1982

9. payment term: A LC at sight covering 80% value of the MT cargos and 20% deposit

第一批试单锰矿石, 发货前买方以电汇方法预付给卖方20%定金, 在卖方提交提单和装货港检验单给代理企业后, 买方再支付50%货款, 在到货港CCIC检验后支付30%余款。从第二批开始, 根据装货港检验单和提单支付90%货款, 根据到货港CCIC检验单支付10%余款。
The first trial order Manganese Ore buyer and Shanghai customs clearance companies signed a contract agent declaration. Before the shipment of buyer agency in Shanghai open 50% performance bank guarantee to the seller as beneficiary, and advance to the seller40% deposit. For the first try order payment 30% against the documents in clause 9.1, and the balance of 30% payment against the documents in clause 9.2.
From second shipment Buyer will pay 90% against the documents in clause 9.1, and the balance of 10% payment against the documents in clause 9.2.

9.1 50% 付款单证（PAYMENT AGAINST DOCUMENTS）

Full set of Original. Clean on Board Bill of Lading setting forth the weight in Metric Tons.
2 一正一副装箱单
Seller signed packing list 1 original + 1 copies.
3 临时商业发票2正本2副本
The Seller’s provisional commercial invoices in accordance to total provisional value.
- 2 original + 2 copies.
4 原产地证书一正本一副本
Certificate of Origin-1 original + 1 copies
5 装运港CCIC检验机构质量检验汇报
Certificate of analysis issued by CCIC at loading Port 1 orignal+1 copies.
6 装运港CCIC检验机构重量检验汇报
Certificate of Weight issued by CCIC at loading port 1 original + 1 copies.

9.2 30% 信用证或者电汇付款单证:
9.2 The documents or credit for the 30% balance

2 卸货港CIQ/CCIC质量检验单证
The certificate of quality issued by the CIQ at the unloading port.

The certificate of quantity issued by the CIQ at the unloading port.

10.价格调整和拒收:
10. Price adjustment

　 锰含量基于32%-34%, 调价以下:
The content of Mn is based on 32%-34%, and price shall be adjusted like below:

10.1.锰含量低于32%时,其含量每低1%基础价减USD 3; 锰含量高于34%时, 其含量每高1%基础价增加USD 4; 锰含量低于30%时,买方有权拒收。
10.1 The base price shall be decreased by USD 3 as per Clause 2 for each 1% MN per DMT in case of MN below 32 %, fractions pro-rata.
The base price shall be increased by USD 5 as per Clause 2 for each 1% MN per DMT in case of MN above32 %, fractions pro-rata.
Buyer can reject the goods when Mn content below 30%.

10.2.铁含量超出6.0 %时, 其含量每超出1%基础价减USD1.5, 其含量超出11%时拒收或价格另议。
10.2 The base price sh。all be decreased by USD 1.5 as per Clause 2 for each 1% Fe per DMT in case of Fe above 6%, fractions pro-rata. When Fe above 11%, buyer can reject the goods or renegotiate the price.

10.3.磷含量超出0.12%时, 其含量每超出0.01%基础价减USD 0.15, 其含量超出0.15%时拒收或价格另议。
10.3 The base price shall be decreased by USD 0.15 as per Clause 2 for each 0.01% P per DMT in case of P above 0.10%, fractions pro-rata. When P above 0.15%, buyer can reject the goods or renegotiate the price.

10.4.硫含量超出0.10%时, 其含量每超出0.01%基础价减USD 0.15, 其含量超出0.15%时拒收或价格另议。
10.4. The base price shall be decreased by USD 0.15 as per Clause 2 for each 0.01% S per DMT in case of S above 0.10%, fractions pro-rata. When S above 0.15%, buyer can reject the goods or renegotiate the price.

10.5.二氧化硅含量以6.0%为基准, 其含量每超出1%基础价减USD 1.5, 超出12%时拒收或价格另议。
10.5 The base price shall be decreased by USD 1.5 as per Clause 2 for each 1% SIO2 per MT in case of SIO2 above 6.0%, fractions pro-rata. When SIO2 above 12%, buyer can reject the goods or renegotiate the price.

10.6.三氧化二铝含量以4.0 %为基准, 其含量每超出1%基础价减USD1.0, 超出5%时拒收或价格另议。
10.6 The base price shall be decreased by USD 1.0 as per Clause 2 for each 1% AL2O3 per MT in case of AL2O3 above 4.0%, fractions pro-rata. When SIO2 above 5 %, buyer can reject the goods or renegotiate the price.

10.7 水分含量以8.0%为基准, 其含量每超出1%基础价减单价1% , 超出12%时拒收或价格另议。
10.7 The base price shall be decreased 1 % price as per Clause 2 for each 1% H2O per MT in case of H2O above 8.0%, fractions pro-rata. When H2O above 12 %, buyer can reject the goods or renegotiate the price.

11.品质检测:
11. The determination of quality

11.1.卖方在装运时应提供装运港CCIC或SGS检验机构出具对所装运货物检测证实书。同时进行封样, 共4份, 以备复核。
11.1 sellers shall supply the test reports issued by the CCIC or SGS when loading the cargo. And seller shall seal the sample of four lots when in need for future test.

11.2.四份封样中, 买卖双方各执一份, 一份由CCIC或SGS留存备复, 一份由CCIC或SGS 进行检测。检测费用由卖方负担。
11.2. In the four lot of sample, buyer and seller shall each keep one lot; one lot shall be kept by the CCIC or SGS and one lot shall be tested by the CCIC or SGS. The test fee shall be borne by the seller.

11.3.该CCIC或SGS检测证实交2/3随同卖方商业发票, 装箱单等单据一同作为买方在付款时议价单据。同时卖方在货物装运后7个工作日内, 以书面形式将检测证实书及商业发票金额通知买方。
11.3. The 2/3 of the CCIC or SGS test reports shall be accompanied with seller’s commercial invoice, packing list as the negotiation documents. And seller must inform buyer the test reports and the commercial invoice value seven working days after finishing the loading of the cargo.

11.4买方在卸货港对运抵货物会同CIQ进行取样检测, 检测费由买方负担。
11.4. Buyer shall ask the CIQ in China to sampling and testing the goods in the discharging port and the testing fee shall be borne by the buyer.

11.5.CIQ对货物样品品质成份及水份检测证实书将作为买方最终付款依据。
11.5 The quality and the moisture content shown on the CIQ test report will be the basis of the final payment.

12.在装运港全部税费由卖方负担。在卸货港全部税费由买方负担。
12. Any taxes/dues on cargo at load port for sellers account.
Any taxes/dues on cargo at discharge port for buyers account.

13.法律与仲裁:
13. ARBITRATION

双方签署协议后应严格遵守实施。如有争议, 双方应友好协商。如在15天内不能达成共识应依《新加坡国际仲裁中心仲裁规则》进行裁决, 仲裁地点为新加坡, 仲裁委员裁决为最终裁决,仲裁费用由败诉方负担。
All disputes or differences whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of this contract or the breach thereof shall be settled through friendly negotiations. In case no settlement can be reached within 15 days, the disputes shall be submitted for arbitration to the Arbitration in Singapore as per ICC rules of Conciliation and arbitration (latest edition) and the award made in pursuance thereof shall be binding on the parties. The venue of arbitration proceedings will be Singapore. The Decision of the Arbitration Commission shall be final and binding upon both parties neither party shall seek recourse to a law court or other authorities for revising the decision. The arbitration fee shall be borne by the losing party.

14.违约:
14. Breach of the contract

协议条款供买卖双方共同遵照实施, 如任一方违约, 应赔偿给守约方造成一切经济损失。
Both parties should steictly implement the terms of the contract.Either party shall be liable for its breach of contract and indemnify for all losses thus incurred to the other party.

15.延迟交货及付款
15.Penalty for delayed deliver

如卖方在协议要求装运日期延迟5天并没有任何解释, 买方有权解除协议。除非卖方得到买方书面确定, 双方就延迟交付时间达成一致, 卖方可继续推行协议。在未经买方书面同意情况下,卖方未按时交付货物, 将被处以未交付货物价值0.5%（天天）罚款, 总罚款不得超出未交付货物价值2%。
Should the Seller fail to effect delivery on time within 5 days after the latest shipment time as stipulated in this contract without any explanation, the buyer has the right to cancel this contract. Only when the both parties make an agreement on the delay of delivery in writing form, seller can continue to perform the contract. Without the agreement from buyer in writing form, the seller may postpone delivery to the buyer on payment of penalty to the buyers. Penalty shall be charged at the rate of 0.5 %( each day) of the total undelivered cargo value of every day. The penalty shall not exceed 2% of the total value of goods involved.

16.保密条款
16. Confidentiality
双方需保密, 并不使信息外露给第三方, 在公共领域方面除外。
Both parties shall obey the principle of Confidentiality and not disclose to any third party except the public field.

17.不可抗力条款
17. Force Majeure
有天意（大自然）所造成原因包含: 战争、 政治封锁、 革命、 暴乱、 起义、 民变、 罢工、 火灾、 水灾、 风暴或其她恶劣气候等所造成装运不可预料阻碍原因。若此等不可抗力情形是可预料, 直接收影响首先尽早经过传真或电报知会另一方, 以及在情形发生10天前（在可能情况下）由官方或商会发出证书佐证。若此等不可抗力情形延续超出三个月, 买方有权取消订单。
In case the execution of the contract is directly affected or can not be made in accordance with the terms and conditions as stated by earthquake, typhoon, flood, fire and war or other unexpected Force Majeure events agreed upon by both parties with unavoidable occurrence and irresistible results, the party effected by the said Force Majeure events shall inform the other party by telex/fax of the accident and send by registered airmail a valid certificate about the accident in detail within 10 days. The said certificate shall be issued by the relevant organization of the place where the said accident took place. In case the Force Majeure lasts for more than 3 months, the buyer shall have the right to terminate the contract.

18.如有未尽事宜, 双方另行共同协商处理。
18. Should any things don’t mentions here, both parties shall negotiate together.

19.本协议签字盖章后生效, 本协议一式二份, 双方各执一份, 含有相同法律效力。
19. This contract shall come into valid after signing and stamping, Each party holds one copy. And the two copies have the same effect.

20. 本协议以中英文两种文字书就, 两种文字条款具相同效力。
20. This contract is written in Chinese and English, both of which shall have equal legal force.
