This Agreement is on relevant matters about the Party B opening in Guangzhou China for period from (the "Period").

According to principles of equality and mutual benefit, complementary advantages, and win-win cooperation, two parties have reached an agreement through friendly consultation to conclude the following agreement.
甲乙双方本着平等互利，优势互补以及双赢合作的原则，在友好协商的前提下达成以下协议。

THE PARTIES THEREFORE AGREE AS FOLLOWS:
甲乙双方均同意条款如下:
1. PAYMENT TERM ABOUT THE FEES OF THE AREA
1.付款条款
1-1 Party A is the owner of structure of the first floor and cafe interior and exterior area(the "Area")(See area coverage from attachment 1) located in (the " "). The two Parties come to agreement that Party A Provide the Area to Party B for opening . Party B shall pay ￥ per month as rent( including management fee). Party A agrees to offer one month free to Party B from . The rent will increase by % in of every year. For more details , please see below sheet：

1-2 甲方系位于 （以下简称“本区域”）（请看附件1区域图）建筑物的拥有者。甲乙双方达成一致，甲方将本区域提供给乙方经营 。乙方应支付甲方每月人民币 元作为租金（包含土地租金及管理费）。甲方同意提供一个月免租期给乙方，期间： 年 月 日至 年 月 日。该租金于每年 月份增长 %。租金明细，见下表：

1-3 During the period ,fees for using the Area , such as water , electricity , gas , communications , facilities and others shall be afforded by Party B. Party B shall pay monthly charges for usage of water , electricity base on the actual consumption amount, as well as electricity and water loss base on the area proportion.
租赁期内，乙方应承担租赁区域的相关费用，如水电费，煤气费，通信费以及其他应由乙方承担的费用。乙方应按照水电费实际发生的数额，及按租赁区域面积分摊的水电费足额缴付水费、电费等费用。
1-4 The two Parties come to agreement that before Partiy A turn over this Area, Party B shall submit initial rent(￥ ) to Party A in advance. And Party B shall pay monthly rent and utility fees to Party A before the day of every month.As to the back payment, if the delay exceeds 1 day, then, Party C shall pay the penalty at 1% of the monthly fees of Party C hasn't paid per day.
After received the fees payment, Party A shall issue the receipts to Party B.
甲乙双方一致同意在甲方交接本区域前，乙方应先预付甲方首月租金，人民币 元同时乙方应于每月 日前向甲方支付当月租金。如延期支付，每逾期一日加收当期应付总金额的1%作为滞纳金。逾期超过30日甲方有权单方解除本租赁合同，押金不予退回。
甲方在收到上述租金之后，甲方向乙方提供收据。
1-5 Party B engage to only open ,and show the area in "Fashion、Art、Simple、Modern".Party A does not interfere with Party B business operation.In case Party B carries in the premises any unlawful or illegal activities or makes any alterations to the purpose of the premises without the consent of Party A, Party A shall have the right to unilaterally terminate the Agreement, take back the premises and confiscate the deposit and rental.
乙方承诺租赁区域只经营 ，并以“时尚、艺术、简约、现代”为标准展示。甲方不参与或干预乙方的经营活动。但若乙方在租赁区域从事任何非法的或违反法规的行为或没有得到甲方同意的情况下擅自改变经营范围，甲方有权单方面地终止本协议，收回租赁区域及没收押金和租金。
1-6 Party B shall pay Party A three month rent as the Area using deposit within ten working days after signed the Agreement and receive deposit receipt from Party A. On completion of the operation period ,if two Parties will not continue the cooperation, Party B must pay all the outstanding utility fees such as water, electricity, gas . If such outstanding utility fees could not be settle because of limitation of the account due date ,Party A has the right to keep part of the deposit and pay back this part to Party B after the outstanding utilities fee settled .However the holding part of deposit should be limited to as much as twice of the previous account period. If the part of the deposit is not sufficient to cover the actual utility bills, Party B shall pay the different to Party A within 7 days after being informed by Party A, while Party A shall return the leftover of the deposit back to Party B together with the paid utility bills if there is any money left.
If Party B terminates the cooperation Agreement during the period for reason other than Force Majeur, the paid deposit will not be refunded.
乙方应于本协议签订之日起10个工作日内缴付甲方相当于三个月的租金（人民币 元）作为押金，甲方应向乙方提供押金收据。在合同期满后，若双方不再继续合作，乙方应支付租赁区域所有应承担费用，如水电费，煤气费等。若因账单延期等原因，乙方承担的全部水电费，煤气费等无法在租赁期结束后付清，甲方有权保留部分押金并在上述费用付清后归还给乙方。但上述保留的押金部分不应超过上一账期应付额的两倍。如保留的部分押金不够支付实际的账单，乙方应在接到甲方通知后7天内向甲方补足差额，若有剩余，甲方应将剩余的连同已支付的账单交还给乙方
若在租赁期间，因乙方原因终止本合作协议（不可抗力除外），押金不予退还。
1-7 If Party A terminates the cooperation Agreement during the period for reason other than Force Majeur,Party A shall make an official announcement to Party B three months in advance, and pay one month rent as penalty.
若甲方原因终止本合作协议(不可抗力除外)，甲方需提前三个月通知乙方，并提供一个月租金作为违约金补偿给乙方。
1-8 Due to unforeseen and the force majeure event of which the incidence or the consequences fail to prevent or avoid, with the result that has a direct impact on this Cooperation Agreement on the performance or that the two parties can not perform on the agreed terms and conditions, Party A and Party B shall not shoulder the liability for breach of contract.During the period, once Government demolishes Redtory, this Agreement will be terminated immediately. Neither of the two parties shoulder the responsibility of breach.
由于不能预见并且对其发生和后果不能防止或避免的不可抗力事故,致使直接影响本合作协议的履行或者不能按约定的条件履行时,甲乙双方均不承担违约责任。本合作协议期间，如遇政府拆迁，本协议随即终止，甲乙双方均不承担违约责任。
1-9 The two Parties come to agreement that after this Agreement expiry in 2016,Party B has the right to renew it to the next year,based on the last month rent.
甲方双方一致同意，当本协议期满时，乙方有权在上一期租金基础上优先续约一年,届时双方另订协议。

3. OTHER CLAUSES

3-1 This agreement comes into force on the very day of both sides signing it.
本协议在甲乙双方签署之日起生效。
3-2 As to unexhausted affairs of this contract, after negotiation both sides can fix complementary clause. The complementary clause and the attachment is inalienable part of this agreement. Words filled in the blacks of this agreement, in the complementary clauses and in the attachment has equally legal validity with the printed words.
本协议未尽事宜，甲乙双方经协商一致，可订立补充协议。补充协议及附件为本协议不可分割的部分，与本协议具有同等法律效力。
3-3 When signing this agreement, both sides should make clear the respective right, duty and responsibility and carry out the requirement strictly according to the agreement. If any side violates this agreement, the other side has the right to claim for compensation according to the requirement of this agreement.
当本协议签署时，双方均明确了解各自的权利，义务与责任，并严格按照本协议条款执行。若任何一方违反本协议，另一方有权按照本协议的要求索赔。
3-4 This agreement and the attachment should be in duplicate, among which, each side hold one and both of them are in equal legal validity.
本协议及附件一式两份，双方各执一份，每份均具有同等法律效力。
