乙方: global toronics for electronics (egypt) party b: global toronics for electronics (egypt)
甲乙双方本着互惠互利、 资源共享、 技术互补和共同发展标准, 经双方友好协商,就甲方向乙方提供电力线载波模块、 抄表系统及相关电力线载波技术方案, 达成合作意向, 为明确双方权利、 义务特制订本协议。
both parties, for principles of mutual benefit, resource sharing, complementary technology and joint development, through friendly negotiation, the two parties entered into collaboration party a to provide party b power line carrier wave module, meter reading system and related power line carrier wave technology program; to clear the rights and obligations thereof this agreement was therefore made in particular between the two parties herein.
一、 合作内容
1. contents of cooperation
电力线载波抄表系统: 包含管理软件; 集中器; 单、 三相（单费率）载波电度表; 单、 三相复费率载波电度表; 单、 三相预付费载波电度表; 载波模块。

power line carrier wave reading system: including management software, concentrator, single and three phase (single rate) carrier wave kilowatt-hour meter, single and three phase dual rate carrier wave kilowatt-hour meter, single and three phase prepaid carrier wave kilowatt-hour meter, carrier wave module. 二、 合作方法
2. ways of cooperation
1、 甲方根据乙方需求设计提供符合要求全套载波电表设计、 生产、 调试技术方案, 乙方根据方案生产整表。集中器、 载波模块、 mcu芯片、 软件由甲方负责提供。
1. party a, in accordance with the needs of party b, shall design and provide the whole set of carrier wave ammeter design, production and testing technical solutions meeting the requirements; and the party b, according to the solutions made above, shall carry out the production of entire meter, while the party a shall provide concentrator, carrier wave module, mcu chip and software.
2、 甲方提供载波电表技术标准, 乙方根据甲方提供技术标准自行设计生产整表, 甲方提供载波接口部分技术支持。载波模块、 集中器、 软件部分由甲方提供。
2. party a shall provide the carrier wave ammeter’s technical standards according to which party b shall design and produce the entire meter by itself, and party a shall provide carrier wave interface part’s technical support; furthermore, carrier wave module, concentrator and software shall be provided by party a. 三、 知识产权
3. intellectual property rights
甲方所提供全部技术及资料均归甲方全部, 合作期间许可乙方无偿使用, 未经甲方许可乙方不得转让第三方使用。合作终止后乙方需归还乙方全部技术、 资料及产品。
all the techniques and information provided by party a shall be owned by party a, which may be used for free by party b during the cooperation; but party b may not transfer it to third parties without permission of party a. and when cooperation finished, party b shall return all the techniques, information and products. 四、 确保金 4. deposit
1、 为确保甲乙双方合作顺利进行, 加紧双方合作进程, 保护甲方知识产权, 增强甲乙双方合作诚信。
1. to ensure the smooth progress of cooperation for both parties, speed up the process of the bilateral cooperation and protect party a’s intellectual property rights, thereby enhance the integrity of both parties;
2、 甲方向乙方收取0美元确保金, 在甲乙双方进行批量交易时, 冲抵乙方货款。
2. party a shall collect us$ 20,000 as deposit from party b, which may be used as payment for goods of party b in the bulk transactions of both parties.. 五、 双方权利义务
5. rights and obligations of both parties
1、 甲方负责技术支持和前期产品调试指导, 合作前期必需时甲方派专员去现场进行技术指导。 1. party a is responsible for technical support and product’s pre-debugging guidance, and party a shall send specially-assigned person to the site for technical guidance when necessary in the prophase of cooperation;
2、 甲方负责提供技术方案及技术资料。
2. party a is responsible for providing technical solutions and technical information; 3、 甲方提供全部技术资料, 乙方要严格保密, 未经甲方许可乙方不得转让第三方使用。 3. party a is responsible for providing all the technical information, which shall be strictly confidential by party b, and not be transferred to third parties without permission of party a; 4、 合作后期, 甲方负责提供载波模块、 集中器、 系统软件; 乙方负责自行设计生产载波电表整表及系统调试和服务。
4. during the late cooperation period, party a shall be responsible for providing the carrier wave module, concentrator and system software; and party b shall be responsible for the design and production of the whole carrier wave ammeter and the debugging and service of the system.. 六、 技术及其她约定
6. technical and other conventions
1、 技术标准为甲方提供本企业载波系统企业标准, 符合中国dlt/645-1997规约。
1. the technical standards provided by party a are enterprise standards for its carrier wave system, which are in line with china’s dlt/645-1997 statute; 2、 甲方向乙方提供单三相电度表pcb板外形寸图。

八、 本协议合作期限为年月日至年月日。合作期满后, 另行续约。
8. validity period of this contract is from____to____after which it shall be renewed.
九、 甲、 乙双方在实施本协议时发生争议, 可经过双方友好协商处理。协议未尽事宜,双方协议签署补充协议,与本协议一样含有法律效应。本协议一式两份, 双方各执一份。本协议经双方签章生效。
9. when disputes occur during the implementation of the contract between the two parties they may be resolved through the friendly consultation of the two parties. for issues not stipulated in this contract, both parties shall negotiate to sign a supplementary agreement which has the same legal force with this contract. this agreement is in duplicate, each party holds one, which shall enter into force once signed by both parties.

this agreement (“this agreement”) is made and entered into in,on ,.by and between
(1) (“party a”);and
(2) (“”)
in relation to jointly undertaking of engineering ,procurement and construction (epc) of coal bed gas treatment facilities projects of
简称（“party a”）;与就联合负担煤层气项目处理设施设计、 采购、 施工（epc）总承包工作事宜于3月日在
签署本合作协议, 以资共同遵守。
1. cooperaion back ground 合作背景
whereas
whereas party a is in the leading position in the gas industry of china and has, in particular, experience and track record in the areas of gas gating transmission ,gas treatment sweeting;
whereas both parties desire to make use of their respective strengths and to undertake projects of arrow energy ltd such as epc of coal bed gas treatment facilities in queensland ,australia.
鉴于企业, 其在承揽中优势;
鉴于 patty a 在中国天气领域处于领先地位, 尤其在天然气集输处理及甜化方面经验和业绩;
鉴于上方均期望利用各自优势, 强强联合, 共同承揽并完成煤层气项目处理设施epc工程总承包工作。
2. scope of cooperation 合作范围
a. the scope of cooperation shall be project tender ,feed, basic and detail engineering, project management ,fabrication supervision ,procurement ,construction ,installation, commissioning and warranty of such projects as mentioned above.
双方合作范围包含: 上述项目投标、 feed、 基础设计、 具体设计、 项目管理、 设备监造、 采购、 施工、 安装、 试运行及质保等工作。
b. in the term of operation ,each party shall appoint four representatives to establish a joint management committee(“jmc”).the jmc shall exercise the following powers; 双方在合作期限内将组成一个联合管理委员会, 由双方各委派四名代表组成。联合管理委员会行使以下职权:
(i) to gather market intelligence
搜集市场信息;
(ii) to tender for the agreed projects
为经同意项目投标;
(iii) to jointly establish project objective strategies; and
为目标项目共同决议; 和
(iv) to decide on the matters that both parties fail to reach a consensus,
对双方无法达成一致事项进行决定。
c. the jmc shall comprise eight (8) members, of whom four(4) shall be appointed by party
a and four (4) shall be appointed by 联合管理委员会应由8名组员组成, 其中party a应委派4名组员。
d. any member of the jmc may be removed and replaced by the original appointing party
by giving a 30 days’ prior notice in writing to the other party.
原委派方可经过向对方提前30天发出书面通知替换其向联合委员会委派任何组员。
e. for the convenience of jmc management and operational efficiency at least 1jmc
members of each party shall be able to use both mandarin and english proficiently.
为方便联合管理委员会管理, 提升运行效率, 双方委派人员中最少有1人能同时熟练使用中、 英文。
f. the member of the jmc shall elect a coordinator of the jmc(“coordinator”). the
coordinator shall prepare the agenda for every jmc meeting and will convene and preside over such meetings. if the coordinator is unable to convene the jmc meeting , he shall authorize any other member of the jmc to convene and preside over the meeting.
联合管理委员会应选举一名协调人。该协调人应制订联合管理委员会会议议程, 并召集和主持联合管理委员会会议, 如该协调人不能召集时, 应委托联合管理委员会其她组员召集和主持联合管理委员会会议。
g. the rules of the jmc meetings shall be adopted by the jmc.
联合管理委员会应经过联合管理会会议规则
h. both parties agree that this agreement only sets out the general principles of the
cooperation between the parties and a detailed project agreement will be executed between party a and or between party a and with the owner or client for coal bed gas project ,and such detailed project agreement will set out the terms and conditions for both parties to cooperate on the specific project including the duties and responsibilities each party will bear in such specific project.
双方同意本协议仅要求了双方之间合作标准, party a和将就与每一个合作项目签署或party a 和将就每一个合作项目与业主或用户签署一份具体项目协议。该项目协议将要求双方在具体项目上进行合作条款和条件, 包含各方所负担职责和责任。
3. mode of cooperation 合作方法
a. joint design 联合设计
（i） both parties may enter into the relevant agreement in relation to each
cooperative project so as to determine their respective work scope and
matrix.party a acknowledges that it possesses the relevant prc qualifications
to engage in the contracting and design work of each project herein.(party b )
acknowledges that it possesses the relevant australian qualifications to engage
in the contracting and design work of each project herein .
双方可针对每一个合作项目签署相关协议以确定双方工作范围和工作量。
party a确定, 其拥有完全中国相关资质从事本协议项下个性
工程成本与设计工作。（乙方）确定, 其拥有完全澳大利亚相关资质从
事本协议项下各项工程承包与设计工作。
（ii） both parties shall complete their own design work according to their wok scope
and workload.
依据双方工作范围及工作量划分, 双方各自完成所属范围内工作。
（iii） as required by the projects ,the joint designing work can be conducted in the
headquarter of eitheror party a or some other places agreed by both
parties in writing .
依据工程项目需要, 联合设计工作能够在企业总部进行, 也能够在party a
本部进行, 或双方书面约定其她地点进行。
b. joint procurement 联合采购
according to their respective advantages and the features of the projects, will be in charge of the procurement of equipment and materials from overseas suppliers/vendors and party a will be in charge of the procurement of equipment and materials in china. 依据各自优势, 针对已负担总承包项目特点, 负责从国外供给商/卖方购置设备及材料采购工作, party a 负责在中国中国购置设备和材料采购工作。
c. staff secondment劳务派遣
both parties may second relevant technical personnel or project management staff to the work site of the other party so as to carry out the projects according to the necessity and features of the projects .relevant expenses incurred here from shall be listed as the cost of each project and shall be borne by both parties as agreed by the jmc.
依据已负担项目特点和需要, 双方可互为派遣相关技术或项目管理人员赴对方工作所在实施项目具体工作。所以而产生相关费用将作为各项目总收入成本并经联合管理委员会同意由双方共同负担。
4. payment distribution费用分配
a. the jmc shall assess the revenue that each party will be entitled to according to the
workload and original pricing proposed by each party on job to job basis.
b. the parties shall undertake projects with in the sphere of this frameswork agreement and
shall enter into contract for each cooperation project to determine the fees,revenue and income each party is entitled to .
双方将在本框架协议内共同承揽项目, 针对每一个合作项目分别签署去热双方费用和收入协议。
5. liabilities 责任
both parties agree that the liabilities that each party shall bear for each project will be agreed by the patties in the project agreement ad mentioned in clause2 (h) above

b． 目标企业在中国（仅为本协议之目, 中国不包含香港尤其行政区、 澳门尤其
行政区和台湾）境内拥有xxx有限企业（以下简称“xxx”）90%股权。xxx与舟山市民政局合作成立了yyy（以下简称“yyy”）（xxx以及yyy合称为“目标企业中国子企业”）
target companyowns 90% of equity interests of xxx(“xxx”)in prc (for the purpose only of this agreement, prc shall exclude hong kong special administrative region, macau special administrative region and taiwan).
xxxandzhoushan civil affairs bureau cooperated and established yyy (“yyy”)(xxxandyyy collectively referred as “prcsubsidiaries”).

就确定交易, 甲 乙双方估计可行关键交易条款以下:
in respect of the proposed transaction, the parties anticipate that the main viable terms and conditions are as follows:
(a) 乙方拟以人民币7000万元价格(“收购价款”), 经过其本身或其关联公
司向甲方购置甲方所拥有目标企业100%股权。
party b will, through itself or its affiliates, purchase 100% of the equity of
target companyowned by party a at a price of rmb70,000,000 (the
“purchase price”).
(b) 乙方（或其关联企业）向甲方支付首期收购价款金额为人民币3500
万元（“首期款”）, 剩下收购价款人民币3500万元在确定交易完成
