鉴于, 乙方是一家国内专业的汽车租赁服务提供商，甲方因长期用车需要向乙方租赁车辆，双方在平等、自愿协商的基础上签订本长期车辆租赁协议。
Whereas, Party B is a professional comprehensive vehicle lease service provider and Party A desires to lease vehicles (hereinafter referred to as "leased vehicles") from Party B for a long term. This Long-term Vehicle Leasing Agreement is entered into by and between Party A and Party B through friendly consultations on the basis of voluntary and equality.
1. 车辆租赁信息 Information of Leased Vehicle
详见“附件A”。
Refer to "Appendix A" for details.
2. 甲方的权利与义务 Party A's Rights and Obligations
2.1 甲方承诺其在中华人民共和国境内合法成立和存续，具备履行本协议的能力，并应提供加盖公章的营业执照复印件。
Party A warrants that, it is an enterprise legally established and existing in accordance with the Law of the People's Republic of China, and further warrants it’s capable of performing the Agreement. Party A shall provide a duplicate of Business License affixed with its common seal.
2.2 甲方在租赁期内对乙方提供的租赁车辆有使用权。接收车辆时，甲方应与乙方查看并核对租赁车辆及其附属设备的状况，并共同签署《一嗨验车接单》。若甲方未按约定签署验车单的，则视为甲方已认可车载装备及车况。如甲方因自身原因未能按约定提车的，则视为乙方已如期交车，租金自双方约定交车之日起计算。
Party A shall hold use right over the leased vehicle during the lease period. When Party B delivers the leased vehicle to Party A or Party A returns the vehicle to Party B, both parties shall sign Vehicle Handover Sheet. Confirmation of vehicle loaded equipment and vehicle status shall be subject to Vehicle Handover Sheet. If Party A hasn’t signed the sheet, it deems that Party A has confirmed the equipment and status of vehicle. If Party A fails to receive the vehicle on time, the rent shall be calculated from the day according to the Contract.
2.3 甲方应正常、合理地使用和爱护乙方提供的租赁车辆。未经乙方同意，甲方不得装潢、改装租赁车辆，不得将租赁车辆用于非车辆行驶证载明的用途（如体育、军事、竞赛等），严禁装载易燃易爆或腐蚀物品，或其他可能损坏车辆的方式。
Party A shall use the leased vehicle in a careful and reasonable manner. Without Party B's consent, Party A shall not decorate or change the leased vehicle, not use the leased vehicle for athletic, military or competing purpose, not loan inflammable or corrosive articles, not use the vehicle in other manners that may cause damage to the vehicle.
2.4 未经乙方书面同意，甲方不得将租赁车辆转借或转租给第三方使用，或实施转卖、抵押、质押、典当或任何其他侵犯乙方对租赁车辆的合法权利的行为。
Unless Party A obtains Party B's written consent in advance, Party A shall not resell, mortgage, pledge, pawn, lend, sublease the leased vehicle or conduct any other behaviors beyond legal rights of Party A under this Agreement.
2.5 甲方应只允许 （下称“ ”）的驾驶员驾驶租赁车辆，并督促该等驾驶员遵守一切现行交通法规。
Party A shall merely allow the driver of (hereinafter referred to " ") to drive the leased vehicle and supervise such driver to observe all traffic rules in force.
2.6 甲方用车不应违反交通法规或有关法律法规。如因甲方原因造成违章、车辆扣押、交通事故等情况，甲方应配合乙方妥善处理有关事宜，并承担由此给乙方所造成的损失。
Party A shall not violate traffic rules or related laws throughout the period of use. In the situation that caused by A, such as a result of illegal driving, seizure of vehicles, traffic accidents, etc., Party A shall properly cooperate with Party B in handling the relevant issues and bear the losses thereby.
2.7 甲方应及时配合乙方对租赁车辆进行修理、保养或年审的合理要求。如车辆生产厂家召回车辆，甲方应及时配合乙方办理相关手续，但有权要求乙方提供替代车辆。
Party A shall assist Party B with the reasonable requirements for repair, maintenance or annual review of leased vehicle in a timely manner. In case that vehicle manufacturers to recall the leased vehicle, Party A shall handle the relevant formalities with Party B, and have the right to require Party B to provide a substitute vehicle.
2.8 如租赁车辆发生交通事故、被盗抢、诈骗或涉及其他刑事案件，甲方应立即向公安、交通管理等有关部门报案并立即通知乙方，并协助乙方办理相关手续。
If the leased vehicle is involved in traffic accident, robbery, fraud or other criminal cases, Party A shall inform traffic police and notify the Party B immediately, and assist party B for the relevant procedures.
2.9 如因甲方原因导致车辆毁损、车牌或随车证件遗失的，甲方须承担所有维修或证照补办费用，车辆停驶期间的租金照常计算。
If the leased vehicle is damaged or vehicle plate or certificates accompanying the vehicle are lost due to Party A, Party A shall bear all expenses for renewal and pay lease expense as usual during the suspension period.
2.10甲方应按本协议确定的价格条款支付有关车辆租赁价款。
Party A shall timely and fully pay various expenses to Party B as agreed in this Agreement.
3. 乙方的权利与义务 Party B's Rights and Obligations
3.1 乙方是一家根据中华人民共和国法律合法设立和存续的企业，有合法的汽车租赁资质。乙方有义务于本协议签订时向甲方出示营业执照复印件。
Party B warrants that, it is an enterprise legally established and existing in accordance with the Law of the People's Republic of China and has legitimate qualification for vehicle lease. Party B shall provide a duplicate of Business License.
3.2 乙方承诺向甲方提供的车辆具有机动车产品合格证，符合说明书载明的基本使用要求，设施、性能完好，并将随车提供车辆行驶证、年检合格证等行车必需的有效凭证。
Party B warrants that, the leased vehicle has motor vehicle conformity certificate, are in good condition and are fully equipped with normal working functions. Party B further warrants that the vehicle licenses, the certificates of annual checkups and other valid credentials which are necessary can be provided to Party B.
3.3 乙方承诺按租赁车辆生产企业制定的标准定期对租赁车辆进行必要的维修保养，以保证甲方的用车安全。
Party B warrants regularly repair and maintain the leased vehicle in accordance with the standard prepared by the manufacturer of the leased vehicle so as to ensure Party A's safety in use of the vehicle.
3.4乙方提供的租赁标的车辆已投保车辆损失险、交通强制险、第三者责任险（限额50万元）、车辆损失险不计免赔险、第三者责任险不计免赔险。
Party B shall cover following insurances for the leased vehicle, such as Vehicle Body Damage Liability Insurance, Compulsory Motor Vehicle Third Party Liability Insurance and Additional Third Party Liability Insurance (Insurance Coverage: RMB 500,000), Irrespective of Percentage of Vehicle Body Damage Liability Insurance, Irrespective of Percentage of Additional Third Party Liability Insurance.
3.5 甲方知悉并同意，乙方按本协议及附件的约定，所提供的替代车辆，其投保险种均为车辆损失险、交强险和第三者责任险（限额20万元）。
Party A acknowledges and agrees insurances of the substitute vehicle provided by Party B in accordance with this Agreement consist of Vehicle Body Damage Liability Insurance, Compulsory Motor Vehicle Third Party Liability Insurance and Additional Third Party Liability Insurance (Insurance Coverage : RMB 200,000).
3.6 乙方承诺，如果在甲方用车过程中发生交通事故、故障或其他情况造成租赁车辆无法继续行驶，乙方将尽快更换车辆或进行维修，以满足甲方的用车需要；如租赁车辆原因造成交通事故、故障或其他情况，甲方因此遭受损失，乙方向甲方承担法律责任，赔偿范围包括但不限于甲方实际发生的财产损失、人身伤害导致的医药费、误工费等。
Party B warrants that, if the leased vehicle breaks down or a traffic accident occurs, or if the vehicle is faulty or other incidents occur rendering the vehicle no longer able to be driven, the Party B shall replace or repair such affected vehicle as soon as possible. If the aforementioned incidents happened due to Party B, Party B shall bear legal responsibility (the coverage of compensation including but not limited to actual property damage, medical expenses, and delay compensation).
3.7 乙方有权按本协议确定的价款和/或甲方的额外用车需求向甲方收取相关车辆租赁费，并应甲方要求开具有关发票。
Party B shall have the right to charge for vehicle leasing service by the Agreement and/or Party A's extra leasing demands, and issue the relevant invoice at the request of Party A.
4. 不可抗力 Force Majeure
4.1 不可抗力事件包括但不限于水灾、火灾、旱灾、台风、地震等自然灾害、罢工、骚动、暴乱及战争等双方不能预计、不能控制并不能改变的事件。
Force majeure events include but not limited to any unforeseeable, unconquerable, unavoidable events and factors, such as flood, fire, drought, typhoon, earthquake and other natural disasters, strike, turmoil, riot and war (declared and undeclared).
4.2 不可抗力事件发生后，双方应就如何继续履行本协议进行友好协商。不可抗力事件或其影响终止或消除后，双方应恢复履行各自在本协议项下的各项义务。如不可抗力及其影响无法终止或消除而致使任何一方无法继续履行本协议，本协议终止。
In case of occurrence of force majeure events, both parties shall immediately conduct negotiation so as to decide how to continuously perform this Agreement. After termination or elimination of force majeure events of their effect, both parties shall immediately resume performance of their various obligations under this Agreement. If either party thereof loses capability of continuously performing this Agreement due to failure of termination or elimination of force majeure events or their effect, provisions about termination of this Agreement shall be applicable.
4.3 由于政府部门原因、或车辆停产、或车辆供应商延迟交付等，致使乙方不能按约交付协议约定的车辆的，乙方不承担违约责任，但应及时提供给甲方类似车型的替代车辆。
If Party B fails to deliver the vehicle agreed in this Agreement for the reason of the governmental organ, reduction or stop of vehicle production or delayed delivery of vehicle suppliers, Party B will not bear liability for breach, but Party B shall provide Party A with a similar substitute vehicle.
5. 违约责任 Liability for Breach
5.1 如有以下情形，甲方有权单方解除协议并在2日内返还租赁车辆：
Under following circumstances, Party A shall have the right to rescind this Agreement and return the leased vehicle within 2 days.
(一) 乙方在协议订立或履行中提供虚假信息，导致甲方无法正常使用租赁车辆的；
Party B provides false information or certificates at the time of signing the Agreement or in the process of performing the Agreement, which severely affects normal use of the leased vehicle;
(二) 乙方提供的车辆有严重的质量问题，经修理后仍然无法正常工作。
There are serious qualities problems in vehicles provided by Party B, and still can’t be used after repair;
5.2 如有以下情形，乙方有权单方解除协议并在2日内收回租赁车辆：
Under following circumstances, Party B shall have the right to rescind this Agreement and regain the leased vehicle within 2 days.
(一) 甲方在协议订立或履行中提供虚假信息，影响本协议的正常履行；
Party A provides false information or certificates at the time of signing the Agreement or in the process of performing the Agreement, which severely affects normal performance of the Agreement;
(二) 甲方坚持要求乙方提供违反交通规则或有关法律法规的用车服务，致使乙方车辆毁损、被行政处罚或致使乙方遭受其他严重经济损失的；
Party B's vehicle is damaged or suffers administrative penalty or other severe economic losses attributable to Party A insists Party B to provide service against traffic rules or related laws;
(三) 甲方利用或有意图利用租赁车辆从事违法犯罪活动或确有证据证明甲方从事其他超越甲方在本协议项下的法律权利的活动的；
Party A uses or intends to use the leased vehicle to conduct illegal or criminal activities or there are concrete evidences indicating Party A is engaged or intends to be engaged in activities beyond legitimate rights of Party A under this Agreement;
(四) 未经乙方书面同意，甲方拖欠当期费用超过7个工作日的。
Without Party B's consent, Party A delays payment of lease expense or other expenses for over seven working days.
5.3 如乙方发生5.1条所述情形，或甲方发生5.2条情形，则该方应向对方支付相当于协议未履行部分的车辆租赁费用×30％的违约金。
If Party B is involved in situations described in Article 5.1 or Party A is involved in situations described in Article 5.2, such party shall pay liquidated damages to other party (amount of liquidated damages= the lease expense of unperformed part under this Agreement ×30%).
5.4 除重大政策性变化、政府调用或不可抗力事项及本协议约定的情形外，任何一方如单方终止协议，需向对方支付相当于协议未履行部分的车辆租赁费用×30％的违约金。
Except significant change in policies, governmental call, force majeure events or circumstances agreed in this Agreement, neither party shall have the right to voluntarily change or terminate this Agreement. Otherwise, such party shall pay liquidated damages to other party (amount of liquidated damages= the lease expense of unperformed part under this Agreement ×30%).
5.5 如本协议中止，解除或终止，甲方应于2日内归还租赁车辆，否则将按日承担日租金（计算公式：月基本租金/30）的200%的罚金，直至将车辆归还乙方为止。
In case of suspend, expiration or termination of this Agreement, Party A shall return the leased vehicle within 2 days, otherwise Party A shall pay liquidated damages for each day (amount of liquidated damages=daily lease expense × 200%), until the vehicle is actually returned to Party B.
5.6 甲方逾期支付费用的，乙方有权按照到期未付金额×每日3‰计算滞纳金，直至实际付清之日为止。
If Party A fails to pay lease expense, expenses or security deposit within the specified period, Party A shall pay liquidated damages for each day overdue (amount of liquidated damages=outstanding amount × 3‰), until outstanding amount is actually repaid.
5.7 任何一方发生违约行为，违约方应赔偿守约方因此受到的损失，包括但不限于直接损失，守约方向其他第三方的赔偿金额等。
In case of breach, the breaching party shall compensate the non-breaching party for losses incurred thereby, including but not limited to direct losses, and the compensation paid to the third party through the non-breaching party.

7. 协议的解释、变更及争议的解决
Interpretation and Modification of this Agreement and Settlement of Disputes
7.1 本协议以及所有附件、附表构成双方之间的完整协议，并替代先前双方就本协议事项达成的任何书面或口头协议、承诺、陈述、谅解和谈判。
This Agreement and all appendixes and schedules shall constitute an entire Agreement between both parties and surpass any prior written or oral agreement, commitment, representation, understanding and negotiation concerning object of this Agreement between both parties.
7.2 本协议有效期内，一方给予对方宽限或延缓行使本协议项下的任何权利，均不影响、损害或限制该方根据本协议和有关法律而享有的一切权益，也不应视为该方对本协议项下任何权利的放弃。
Within effective period of this Agreement, either party's provision of any grace to other party or delay's in exercising any right under this Agreement shall not affect, damage or restrict all rights and interests of such party conferred in accordance with this Agreement, laws and regulations, and such party shall not be deemed to have waived any right and interest under this Agreement.
7.3 甲乙双方因本协议的履行发生争议的，应通过友好协商解决；协商解决不成的，双方同意向乙方所在地的人民法院提起诉讼。
Disputes between both parties arising from interpretation and performance of this Agreement shall be settled through friendly negotiation. If negotiation fails, both parties agree to bring a lawsuit to the people's court in the place where Party B resides.
8. 协议生效及其他 Agreement Validation and Miscellaneous
8.1 本协议有效期为 年，自 年 月 日起至 年 月 日，具体期限自标的车辆实际交付之日起计算。期满后自动续展，每次续展期限为一年，除非任何一方在期满前提前30天书面通知不再续展，或者本协议依据法律或协议约定提前终止的。
Effective period of this Agreement shall be ___years from _____ to_____ , from the date when the foregoing leased vehicle is actually delivered to Party A. Upon expiration, this Agreement may be automatically extended for one year, unless either party informs other party of non-extension in writing 30 days in advance or this Agreement is earlier terminated in accordance with laws or as agreed.
8.2 本协议经双方加盖公章或合同专用章后方可生效。
This Agreement shall take effect after both parties affix common seal or contract seal.
8.3 鉴于双方的友好合作，乙方同意在本协议存续期间，甲方员工注册成为乙方个人会员租赁其他车辆时，将享受乙方金卡会员待遇，并另行签订车辆租赁服务协议。
Considering friendly cooperation between both parties, Party B agrees Party A's employees will be entitled to treatment of Party B's gold card members after they become Party B's individual members and use Party B's individual self-driving service. Specific use specification of self-driving may be additionally determined through negotiation.
