1． 中国石油物资公司受招标人的委托，邀请合格投标人就下列货物和服务提交密封投标：
China Petroleum Materials Corporation for and on behalf of the Tenderee invites sealed bids from eligible bidders for the supply of the following goods and/or service:

Interested eligible bidders may obtain further information and inspect the bidding documents at the office of China Petroleum Materials Corporation.
3．有兴趣的合格投标人可从2013年2月22日起每天（节假日除外）上午9:00 至11:00, 下午1:30至4:00(北京时间)在中国石油物资公司1109室购买招标文件, 本招标文件每份售价为400元人民币或80美元，售后不退。
All those who are willing to participate in the bids are kindly requested to contact China Petroleum Materials Corporation to obtain bidding documents between 9:00-11:00a.m and 1:30-4:00p.m (Beijing time) at the following address from Feb 22, 2013 (Saturdays, Sundays and holidays except), upon non-refundable payment of RMB Yuan 400 or USD 80 for each complete set of bidding documents.
4．所有投标书应于2013年3月14日北京时间10:00时之前递交到中国石油物资公司。
Bids must be delivered to China Petroleum Materials Corporation before 10:00 a.m of Mar 14, 2013 (Beijing time)
5．兹定于2013年3月14日上午10:00时(北京时间)，在中国石油物资公司公开开标。届时请参加投标的代表出席开标仪式。

合格货源国限制:中华人民共和国或与中华人民共和国正常往来的国家和地区的投标人均可投标。
The limitation to eligible source countries：This Invitation for Bids is for all suppliers from within the People’s Republic of China (hereinafter abb. as “PRC”) and all countries /areas which have regular trade relations with PRC.
5.1
招标文件印刷版与电子版如有差异，以印刷版为准。
Should there be any discrepancies in bidding documents between printed version and e-version, the printed version prevails
5.2
招标文件以中、英文两种文字编写，中文版本与英文版本如有差异，以中文为准。
The bidding documents are written in both Chinese and English. In the event of any discrepancies between them, the Chinese version prevails.
6.2
投标人认为招标文件存在歧视性条款或不合理要求，应在投标截止期10日以前一次性全部提出。
If the Bidder regards any discrimination clause or unreasonable requirement in the bidding documents. he shall submit once and for all in no later than Ten days prior to the deadline for the submission of bids.
8.1
投标语言：中文和英文，如有不符，外商以英文为准，国内厂商以中文为准。
Language of the bids：Chinese and English, in event of any discrepancies between them, English version shall govern for Foreign bidders and Chinese version shall govern for domestic Bidders.
投标报价和货币Bid price and Bid Currencies
11.2.1
投标报价为: 工厂交货价（国内供货）
The price of the goods quoted shall be：EXW（for Domestic bidder）
相关费用：货物运至合同指定地点内陆运输费、保险费和伴随货物交运的有关费用。
The related price：The price for inland transportation, insurance and other local costs incidental to delivery of the goods from the port of entry to their final destination must be quoted.
11.2.2
*投标报价为：FOB和CIF （大连港）(国外供货)
The price of the goods quoted shall be FOB and CIF（Dalian Seaport）（for Foreign bidders）
相关费用： 货物从进口港口运至合同指定地点内陆运输费、保险费和伴随货物交运的有关费用。
The related price: the price for inland transportation, insurance and other local costs incidental to delivery of the goods from the port of entry to their final destination must be quoted.
增加分项报价条款：Additional Quotation:
主机各主要部分必须进行分项报价，并须填报下列分项价格:仪表、备品备件单价(包括两年和开车备品备件)；专用工具单价；培训及技术服务费；海上运输、保险费。
Break-down price of the main equipment including Instruments and their spare parts ( both two years S/P and commissioning S/P), special tools shall be quoted separately; technical service, training fee, freight and insurance shall also be quoted separately.
* 投标报价中必须同时报出FOB与CIF价格，并且价差不得明显低于当前国际航运市场价，如果没有按此要求报价将导致废标
FOB and CIF price must be quoted in the quotation，the price difference between FOB and CIF must not be obviously lower than the current price of international shipping market，otherwise the bid will be rejected.
*11.5
投标报价为固定价。
报价由基准价（即加工费）和总钯价两部分组成，评标总价低者中标；各家应该写明自己的需买入的钯的总重量(以及投标时的国际市场价格)，并且不能以后进行修改。如果签订合同时金属钯价格波动超过+-5%, 则按照钯的国际市场价和钯的总重量修改钯的总价。

本次招标不接受选择性报价，不接受具有附加条件的报价。
Alternative bid is not permitted. Bid price with additional condition will not be accepted.
*12.1
* 除非另有规定或许可,投标人从中华人民共和国境内提供的货物和服务用人民币报价。
* The prices shall be quoted in RMB for goods and services that the Bidder will supply from within PRC，unless specified or permitted otherwise.
12.2
投标人从中华人民共和国境外提供的货物和服务用投标资料表中规定的货币报价。
The price shall be quoted in any of the currencies defined in the Bid Data Sheet for goods and services that the Bidder will supply from outside PRC.

* 投标人注册地在中华人民共和国境内的(港、澳、台和大陆保税区除外)必须以人民币报价。
* The prices shall be quoted in RMB for the Bidder whose registered address is in PRC (except those bidders registered in Hong Kong、Macao、Taiwan and Bonded Areas of PRC.)

本次招标不接受联合体投标
Consortium bid: will not be accepted.
*13.3
投标人资格和业绩要求：
Qualification and Achievement requirements for the bidder
(1) 投标人必须是制造商或制造商直接授权的代理商；如为代理商投标，必须提供制造商对本次投标的正式授权书原件(如为复印件，需投标人代表签字或盖章)，否则将视为无效投标；
Bidder must be the manufacture itself or directly authorized agent. If the bidder is agent, must provide the original official authorized letter, otherwise the bid will be rejected (The copy must be signed or sealed by the bidder)
(2) 投标人须提供各种（合格有效的）资质证书的复印件：如营业执照、经营许可证等；
Bidder should provide the printed version of various valid qualification certificates, such as business license and operation license, etc (The copy must be signed or sealed by the bidder).
(3) 所销售的类似产品须具有在中国至少有一处连续成功运行两年的业绩记录。投标人须在投标文件中提供业绩清单（包括用户名称、联系方式（中国用户）、购置时间、设备型号等信息），并必须提供能够证明其销售情况的书面材料（证明其销售业绩的合同复印件或用户证明，并由投标人代表签字或盖章）；
The production of bidder had supplied at least should have one well-running two years achievement in China. The bidder should provide a list of achievements, including name of the Buyer, contact details (for Chinese users), time of purchasing, model of the equipments and any other supporting documents which prove the sales and running results (include but not limited to the signed or sealed contracts, running performance issued by the end-user and performance test and etc., the supporting documents will not be acceptable if without signature or seals.)
(4) 投标人开户银行在开标日前三个月内开具的资信证明的原件或该原件的复印件（由投标人代表签字或盖章）。
The Bidder shall provide the bank reference letter issued within three months prior to the date of bid opening in original or its copy (The signature or sealing by the respective of bidders is needed).
(5) 第八章中要求的其他合格的资格证书
Other Qualification and Achievement requirements stipulated in Section 8
*14.1
*投标商须对第八章所列的各项技术条款进行逐条响应，单独列出并加以详细描述，不接受诸如明白、理解、接受或类似的原则、简单应答; 提供响应/偏离表，同时按照第六章24.5条款的要求提供技术支持资料。否则，其投标将被拒绝。
*The bidder should respond to the technical aspects in Section 8 respectively and list separately with detailed description, unsubstantial and simple responses such as understand, accept etc will not be accepted, provide Responsive/Deviations Form. Meanwhile, the bidder must provide supporting documents as per the stipulation of clause 24.5 in section 6. Otherwise, the bid will be rejected.
14.3.2)
货物验收后运行备件按“技术询价书”要求提供，其价格包含在投标报价内。
Spare parts required for good operation of the goods should be supplied according to technical specification and price shall be included in the total contract price.

*投标保证金金额: 不少于总投标额的2％。
The amount of Bid Security is：the amount not less than two percent (2%) of the Bidder’s bid price.
*投标保证金有效期和投标有效期一致。
The validity of Bid Security is same as validity of the bid.
*如投标人提交以第三方名义缴纳的保证金，投标人须附《委托付款承诺函》（格式见附件6.3），否则，将导致其投标被拒绝。正本须与开标一览表一起单独密封提交，同时将副本附在投标文件中。
If the bid security is submitted by third-party name, a letter of Commitment of Entrusted Payment (the form shall be found in the following Attachment 6.3) is required. The original shall be submitted together with the Summary Sheet for Bid Opening in a separate envelope, and the copies shall be in the bid documents. Otherwise, the bid will be rejected.
1)本招标文件中所提及的投标保函必须按规定的格式由中国银行开立。否则，评标价格将增加1%。
The BID SECURITY GUARANTEE involved in the bidding document should be issued by BANK OF CHINA, otherwise the bid price for evaluation will be added one percent ((1%)
2)投标保证金也可以采用以下形式,:

人民币汇票、电汇、北京市人民币转账支票
Bank Draft in Chinese Currency、Telegraph Transfer(T/T)、and Check for transfer in Chinese Currency issued by Bank in Beijing
3) 其它形式的投标保证金将不被接受
The other forms of bid security are unacceptable.
注意： 我们建议以保函形式提交投标保证金。若以2）中允许的形式提供，我方将按照规定及时退还保证金。另外，由于银行存款利息较少和无法操作，我方不退还利息。
Note: The bidder was recommended to provide bid security as BANK GUARANTEE. If the bid security was provided as any form accepted in 2), which will be refunded as quickly as possible. Nevertheless, the current interest occurred will not be refunded because it is less and operation difficulty.

投标有效期：开标后90天
Bid validity period is: 90 days from the Bids Opening Day.

投标书份数：一正五副，电子版：(U盘形式) 2份
Number of Bids: one original and five copies，together with two electric versions stored in U sticks
1. 投标文件采用与招标文件相同的书式装订方式装订（不带有金属物和塑料）。对此项要求的偏离或不满足，则评标价格增加百分之一（1%）。
All of the bids documents should be bound up as bidding document-like without any metalwork and plastic. If any deviation with the clause, one percent (1%) will be added to the bid price for an evaluation.
2. 页码编辑要求：除目录外从正文第一页开始通编页码，并连续编页。对此项要求的偏离或不满足，则评标价格增加百分之一（1%）。
Requirement for page number: all of bids document should be paginated continuously from main text. If any deviation with the clause, one percent (1%) will be added to the bid price for an evaluation.
3. 电子版要求：投标文件电子版应是投标文件正本的扫描件，与书面投标文件完全一致并经杀毒处理后拷入全新U盘，不能含有其它无关文档。对此项要求的偏离或不满足则评标价格增加百分之一（1%）。
Electric version should be scanned copy of original bids documents, which is exactly same as original and is scanned by antivirus program then stored in brand new U sticks. Electric version cannot include other irrelevant documents. If any deviation with the clause, one percent (1) will be added to the bid price for an evaluation.

除了目录及制造商公开印刷的样本外，投标文件的每一页都应由法定代表人或其授权代表用姓或首字母签字
With the exception of table of contents and published literature by manufacturer, all pages of the bid shall be initialed by legal representative of the Bidder or a person or persons duly authorized to bind the Bidder to the contract signing the bid.

技术评议时，若投标文件不满足招标文件技术规格中加注星号（*）的主要参数或加注星号的主要参数无技术资料支持的，其投标将被拒绝。技术支持资料以制造商公开发布的印刷资料或检测机构出具的检测报告为准。
If the bid does not meet the main specifications with the mark of asterisk (*) in the Technical Specifications of the bidding document, or the main specifications with the mark of asterisk (*) are not accompanied by the supporting technical information, the bid will be rejected as non-responsive. The supporting information shall be printed literature published by the manufacturer or inspection report issued by the inspecting institution.
26.2
计算评标总价时，以货物到达招标人指定安装地点为依据。境外产品为CIF价、进口环节税及境内运输费、保险费之和；境内产品为出厂价（含增值税和其他税费）及境内运输费、保险费之和。
The total Evaluated Bid Price (EBP) will be calculated on the basis that the goods are delivered to the designated installation site.
For goods offered outside PRC, the total EBP shall be: CIF Price, Plus Customs Duties, Import Taxes, and the cost of Inland Transportation and Insurance.
For goods offered from within PRC, the total EBP shall be: EXW Price(including Value Added Tax and other taxes),plus the cost of Inland Transportation and Insurance.
