风电领域刮起知识产权"风暴"

随着人们环保意识的提高，各国对清洁能源的需求及扶持力度也逐渐增大，并由此带动了清洁能源领域企业的迅速发展。中国的华锐风电科技（集团）股份有限公司 （下称华锐风电）和美国的美国超导公司就是其中的代表。这两家公司曾经是合作伙伴，但在2011年，两家公司的合作出现裂痕，并由此引发了一系列的知识产 权纠纷。

　　日前，华锐风电发布公告称，该公司与美国超导公司在华子公司苏州美恩超导有限公司（下称美恩超导）的两起知识产权诉讼已经有了一审结果，北京市第一中级人民法院和海南省第一中级人民法院分别驳回了原告美恩超导的诉讼请求。这两起案件索赔金额约为4000万元人民币

　　据悉，美恩超导已就北京一中院的相关判决提起上诉。

　　昔日合作伙伴反目

　　据华锐风电官网介绍，该公司是一家自主开发、设计、制造和销售风电机组的专业化高新技术企业，并在中国率先自主开发出全球领先的5MW、6MW系列风 电机组。截至2014年，累计风电装机容量约15729MW；海上风电装机容量达到170MW，占中国国内市场25.84%，排名第一。目前华锐风电已在 A股上市，总市值约600亿元。

　　美国超导公司曾经是清洁能源领域的明星企业，并在美国纳斯达克上市。美恩超导是其在中国设立的子公司。

　　华锐风电曾是美国超导公司最大的客户，美国超导公司一度有约75的收入来自华锐风电。但是这对曾经的合作伙伴在2011年却分道扬镳，并引发一系列纠纷。

　　华锐风电与美恩超导在2008年5月至2011年1月共签署了8份采购合同，合同约定由美恩超导向华锐风电供应用于华锐风电制造的 SL1500 型号和SL3000 型号风力发电机组的相关电控核心部件。但华锐风电认为，美恩超导供应的产品在技术、质量方面均未达到合同要求。华锐风电表示，在与美恩超导多次沟通无果的 情况下，该公司决定暂停接收美恩超导发出的不合格货物，并暂停支付已收不合格货物的货款。

　　随后，美恩超导及美国超导公司提起了多起针对华锐风电的仲裁及诉讼。2011年美恩超导以华锐风电未履行合同约定的义务为由，向北京仲裁委员会提出仲裁申请，要求华锐风电继续履行合同并支付相应货款及逾期付款的利息等近5亿元。

　　随后，华锐风电向北京仲裁委员会提交了关于该仲裁案的《答辩与反请求书》，请求仲裁庭驳回美恩超导的全部仲裁请求，并请求裁决美恩超导赔偿华锐风电因 美恩超导违约造成的经济损失共计近8亿元。华锐风电认为，即使扣除近4.3亿元的货款，美恩超导还应当额外赔偿华锐风电损失近3.7亿元。

　　2011年10月，华锐风电又向北京仲裁委员会提交了关于该仲裁案的《仲裁反请求变更书》，申请对反请求事项进行变更，请求裁决美恩超导赔偿华锐风电因美恩超导违约造成的经济损失10亿余元。

　　两起诉讼一审有果

　　而与此同时，美国超导公司与美恩超导则提起了知识产权诉讼，先后在北京及海南提起多起针对华锐风电的知识产权侵权诉讼，美国超导公司与美恩超导指责华锐风电及其关联公司侵犯了其相关软件的著作权及商业秘密。

　　其中，美恩超导在北京市第一中级人民法院提起了针对华锐风电的侵犯计算机软件著作权诉讼，索赔3780 余万元。但华锐风电认为该公司与美恩超导在相关采购合同中明确约定了仲裁条款，于是向北京一中院提起管辖权异议申请，北京一中院、北京市高级人民法院先后 裁定驳回华锐风电的申请。华锐风电不服北京高院的民事裁定，于 2012 年7月向最高人民法院提出再审申请。最高人民法院最终裁定维持北京高院的民事裁定。

　　此外，在海南省第一中级人民法院，美恩超导将华锐风电关联公司大连国通电气有限公司和华能海南发电股份有限公司告上法庭，指控两家公司侵犯了其相关计 算机软件的著作权，请求法院判令大连国通电气有限公司立即停止侵犯美恩超导的著作权，立即停止其未经许可复制、安装及使用美恩超导享有著作权的PLC和 PM1000软件著作权的行为；判令华能海南发电股份有限公司停止使用第一被告提供的侵权软件和侵权产品；赔偿经济损失及合理支出120余万元。此后，海 南一中院决定追加华锐风电作为该案第三人参加诉讼。在美恩超导撤回对华能海南发电股份有限公司的诉讼后，海南一中院又决定追加华锐风电作为该案被告参加诉 讼。此后，华锐风电多次提起管辖权异议，但最终被驳回。

　　日前，华锐风电发布公告称，北京一中院及海南一中院分别就上述两起案件作出一审判决，分别驳回了原告美恩超导的全部诉讼请求。据悉，美恩超导已就北京一中院的相关判决提起上诉。

　　商业秘密纠纷未决

　　2011年美国超导公司公布的2010年年度报告及2011年第一季度报告显示，美国超导公司2010财年净亏损1.86亿美元，2011财年第一季 度的收入从2010年同期的9720万美元下降到910万美元。在这两项报告中，美国超导公司都声称亏损原因是由于失去了占公司营业收入近3/4的中国大 客户——华锐风电的业务。

　　除了指控华锐风电及其关联公司侵犯软件著作权外，2011年，美国超导公司及其旗下的美恩超导等还将华锐风电及其3名员工告上法庭，诉其侵犯商业秘密。

　　美国超导公司表示，在2008年至2010年，美恩超导与华锐风电先后签订3份采购合同，为华锐风电定制用于SL1500、SL3000风力发电机组 的核心部件和电控软件，合同总额达71亿余元。2010年8月，美国超导公司发现，华锐风电在甘肃瓜州、海南文昌等风力发电厂安装经过非法修改后的风力发 电机组电控系统。经过进一步调查，美国超导公司发现华锐风电从2011年2月开始采用高薪等手段聘请了原告美国超导公司的在职技术人员，窃取了该公司 1.5MW风力发电机组电控软件的全部源程序，进而利用这些源程序擅自修改美国超导公司的电控软件、破坏了美国超导公司的技术保护措施，并在风力发电厂大 量安装使用。美国超导公同时指责称，苏某等三人为华锐风电的技术人员，参与了对其技术秘密的窃取过程。美国超导公司认为华锐风电及苏某等三人共同侵犯了其 技术秘密，请求法院判令华锐风电赔偿经济损失29亿余元。但华锐风电近日发布公告称，该案中美国超导已申请变更诉讼请求，放弃了29亿元的索赔。
