1、 跨境电商海外直邮合同 甲 方: Party A : . 地 址: Address: 乙 方: Party B : 地 址: Address: 甲乙双方基于公平、诚信、共赢的原则,在中华人民共和国指定之跨境贸易区域内进行跨境电子商务的贸易合作。甲乙双方根据《中华人民共和国合同法》及相关法律法规规定,签订本跨境电子商务合同(以下称为“本合同”),以期双方共同遵守并执行。 In the principles of honesty, fairness, and common win, both parties hereby ag

2、ree to carry out cross-border e-commerce trade cooperation in free trade zones and bonded areas of the People’s Republic of China. In compliance with the Contract Law of the People’s Republic of China and the relevant laws and regulations, the three parties herein agree to enter into and sign this C

3、ross-Border E-Commerce Direct mail Agreement (hereinafter referred to as “the Agreement”). 基本定义 境内:中华人民共和国(除香港、澳门、台湾以外)的大陆地区 境外:上述“境内”区域以外的地区 终端消费者:直接在电子商务平台上实施挑选,购买,付款等行为的个人,是整个商品流通过程最后环节的执行者。 跨境电子商务平台:指跨境通, 天猫国际,万国优品,京东全球购,乙方自有平台等双方协商确认的跨境电子商务平台。 直邮服务:本协议所指的直邮服务指境内终端消费者通过乙方在跨境电商平台上开立的虚拟店铺

4、中对甲方所有的产品提交订单并向乙方完成支付,乙方以此作为终端消费者向甲方进行某特定产品购买的邀约。 付款渠道:指终端消费者在乙方经营的跨境电子商务平台购买货物后,将钱款支付至乙方账户或其他第三方账户的方式(包括但不限于支付宝,微信支付,信用卡支付等) Basic Definition The Mainland of China: People’s Republic of China (excluding Hong Kong, Macao and Taiwan) Foreign Lands: the other territories except the mainland of C

5、hina Consumer: individuals who choose, buy and pay on e-commerce platform. They are the last step of the whole commodity circulation. Cross-border e-commerce platform: the cross-border e-commerce platforms such as KJT, Tmall Global, WGYP, JD Global and the cross-boarder e-commerce platform owed by

6、 party B and other platform that have been agreed upon by both parties. Direct Mail Service: The “direct mail service “mentioned here means that in the mainland of China, in regard to products owned by Party A, consumers place order(s) and settle payment to Party B through online stores in cross-b

7、order e-commerce platforms that owned by Party B, which can be regarded as a buyer-seller relationship between Party A and consumers. Types of Payment: the way or method that consumer pay for goods on e-commerce platform(s) managed by Party B to Party B’s account or other third Party’s account (in

8、cluding but not limited to Alipay, Wechat Pay and credit card, etc.) 1. 授权经销 Authorized Distribution 1.1. 甲方在此授权乙方作为(见附件)品牌(在以下简称为“合作品牌”)商品的授权直邮服务提供商,在甲方指定的跨境贸易区域内或跨境电子商务销售渠道中(以下简称“销售区域”)根据甲方指令代理甲方运作维护其拥有的合作品牌商品。 Party A herein authorizes Party B as the authorized direct mail service provide

9、r for (see appendix) brand (hereinafter referred to as “Cooperating Brand”) to sell its (their) commodities on behalf of Party A according to Party A’s instruction in the cross-border trade areas or cross-border e-commerce sales channels (hereinafter referred to as the “Sales Area”) Party B acts as

10、an agency, runs and manages Cooperating Brand products owned by Party A according to Party A’s instructions. 1.2. 甲方负责根据乙方提交的境内终端消费者的订单需求,由甲方在约定的时间内以合适、合理的国际快递的方式安排发送货物至终端消费者。乙方负责将产品的境内终端消费者的订单需求依据本协议约定提供给甲方; 甲方保留货物的所有权,直至消费者完成签收货物,货物所有权由甲方直接转移至境内终端消费者; 货款由境内终端消费者支付给乙方,并由乙方根据本协议约定支付给甲方。 Party

11、 A should send goods to consumers through reasonable and proper international express within due-time according to the information of consumer’s purchase order offered by Party B. Party B should convey the purchase order information to Party A; The products belong to Party A until consumer(s) rece

12、ive the goods, the product property right transfers from Party A to end-user consumers; end-user consumers pay money to Party B and then Party B pay to Party A by convention. 1.3. 甲方应当提供产品的宣传资料给乙方,以便乙方在其店铺中对产品进行推广。甲方对于提供的宣传资料的真实性、有效性、合法性负全部责任。 Party A should offer product publicity materials

13、to Party B that Party B may conduct sales promotion in its stores. Party A takes full responsibilities for the authenticity, effectiveness and validity. 1.4. 如乙方因商品(包括但不限于交付时间和地点、质量瑕疵或权利瑕疵等问题)遭受索赔或处罚的,甲方应当赔偿乙方遭受的一切损失。 其他消费者纠纷,由甲乙双方协商解决。若需要,在甲方要求下,乙方可以提供便利与支持。 If there occurs consumption dispu

14、te or complaint caused by products ‘quality or transportation, Party A is obliged to solve the dispute and Party B is obliged to cooperate with Party A if Party A delegates the authority to Party B; If there occurs other consumption dispute, the dispute should be settled through negotiation betwee

15、n Party A and Party B. If requires, under the request of Party A, Party B shall offer convenience and support. 1.5. 双方之间仅限于商品直邮服务的关系,为互相独立的合同缔约双方。甲方为产品的拥有方,承担与营销对应产品相关的一切责任和费用,乙方仅基于本协议项下约定提供与直邮有关的服务,不对产品主张所有权,其所有与对应产品运维及销售有关的行为都应当在甲方授权下开展。 Both parties are mutually interdependent parties of thi

16、s Agreement and their relationship is limited to product direct mail service. Party A owns the products and responsible for all the costs occurred during the marketing and sales promotion. Also, Party A should enjoy all the profits from selling the products. Party B is responsible for the operation.

17、 Party B only offer service(s) related to direct mail service on basis of this convention. Party B do not claim the ownership of Party A’s products and all Party B’s managing and selling behavior should be carried out under Party A’s authorization. 1.6. 乙方不得在开展业务时声称其具有甲方、其任何关联公司或附属公司的合伙人、代表、代理人或

18、特许商的身份,或以明示或暗示的方式作出类似表述。乙方并不因本协议书的签署而被视为与甲方或其任何关联公司和附属公司有上述关系。乙方不得代表甲方签订任何合同性文件或作出任何承诺、声明、保证或陈述。乙方违反前述规定所签订的合同性文件和作出的任何承诺、声明、保证或陈述对甲方在任何情况下均不具有约束力。 Party B shall not, while conducting business, claim that it is the partner, representative, agent, or franchiser of Party A, or its related company or

19、affiliated company, nor make any similar statement in an explicit or implicit way. All activities that Party B is going to take regarding to the sales and promotion of Party A’s products should be under the instruction and authorization of Party A. Party B does not come into or have the aforemention

20、ed relationship with Party A or any of its related companies or affiliated companies by signing of this Agreement. Party B shall not represent Party A to sign any contractual document or make any commitment, promises, announcements, or statements. Should Party B violate this term to sign any contrac

21、tual document or make any commitment, promises, announcements, or statements on behalf of Party A, the same shall not be binding for Party A in any cases. 1.7. 双方约定在协议生效6个月时就协议中条款进行讨论和调整。相关调整(若有)以备忘录形式补充至此协议内容中。 Both parties agree to discuss and adjust the clauses after 6 months when the agreem

22、ent becomes effective. The adjustments (if there’ll be any) will be recorded through memo and work as part of this agreement. 2. 销售渠道 Sales Channels 2.1. 销售渠道指跨境电子商务平台。 Sales channels refer to the cross-border e-commerce platforms. 2.2. 乙方同意只能在销售渠道内发展分销网络,进行分销活动。如果甲方是合作品牌的品牌方或是合作品牌的总代理,除非

23、有甲方的事先书面同意,乙方不得从任何第三方购买合作品牌商品; 乙方不得通过非官方许可的跨境电子商务平台向任何单位或个人销售合作品牌商品,不得向任何国家或者地区出口合作品牌商品。 Party B hereby agrees that it shall develop its distribution networks and carry out distribution activities only within the sales channels. Without the prior writing consent of Party A, Party B shall not buy p

24、roducts of Cooperating Brand from any third party if Party A is the Brand owner or general agent of Cooperating Brand; Party B shall not sell the products of Cooperating Brand to any organization or individual through other cross-border e-commerce platforms than officially recognized by Party A, n

25、or export products of Cooperating Brand to any country or region. 3. 直邮商品 Direct Mail Products 3.1. 本合同项下所称“直邮商品”是指甲方向乙方提供的本合同(附件一)项下商品,直邮商品的具体信息详见本合同附件一直邮商品清单。根据实际业务需要,经甲乙双方协商同意可以修订附件一项下的商品清单。 The term “direct mail products” under this Agreement refers to the products provided by Party A to

26、Party B under this Agreement (Appendix A). Detailed information about the direct mail products is provided in Appendix A List of Direct mail Products. The list may be modified based on the practical business needs under the negotiations and agreement of both parties. 3.2. 合同期限内,乙方可根据市场实际状况建议甲方调整

27、供货产品并以书面形式达成一致。 During the validity period of this Agreement, based on the practical market conditions, Party B may advise Party A to adjust the supply products and reach an agreement with Party A in writing. 4. 合同期限 Validity Period of the Agreement 4.1. 本合同期限自2016年 月 日始,至 年 月 日止。 This

28、Agreement is valid from 4.2. 本合同自双方授权代表签字并/或加盖公章之日起生效。 This Agreement takes effect upon signing and/or stamping by the authorized representatives of both parties. 5. 甲方的责任与义务 Responsibilities and Obligations of Party A 5.1. 甲方应根据乙方的实际经营状况和需求提供甲方相关证照(如营业执照、法人代表身份证、组织机构代码、税务登记证等

29、经销授权(此处“经销授权”包括品牌方给予甲方的授权以及甲方给予乙方的授权)以及商品相关文件(如商品的商标注册证明、商标使用权)。 Party A shall provide relevant certificates (such as business license, ID of legal representative, organization code, and tax registration certificate) of Party A, distribution authorization (“distribution authorization”here include

30、s brand owner’s authorization to Party A and Party A’s authorization to Party B), and product-related documents based on the actual business conditions and needs of Party B(such as Certificate of Registration of Trade Mark or right to use the trademark). 5.2. 甲方保证其提供的直邮商品与商标注册地国家商品描述及要求相符,均品质优良,不

31、属于残次品、返厂货或压仓货,所有直邮商品的制造、包装或标签均符合产地国以及销售地国(即中国)以及其它相关国家和地区的法律法规的规定.如甲方提供的商品未达到上述标准而给乙方造成损害及损失,甲方应承担相应法律责任及赔偿乙方因此遭受的一切损失。如任何第三方就商品提出任何索赔或其它权利主张的,甲方应采取一切必要措施,确保乙方免受损害,如乙方因此遭受损失的,甲方应当承担赔偿责任。 Party A hereby promises that the direct mail products it provides comply with the country of origin description

32、and requirements, are of good quality, and are not defective products, returned products, or products that have long been stored in the warehouse, and that the manufacture, packaging, or label of all direct mail products comply with the relevant laws and regulations of the country of origin. Should

33、the products provided by Party A fail to reach the aforementioned standards, causing any damage or loss to Party B, Party A shall be liable for all relevant legal responsibilities and shall compensate for all the losses thus incurred to Party B. 5.3. 甲方若需乙方提供市场营销、客服服务以及其他服务,则甲方应确保提供给乙方相应的素材、培训以及

34、其他协助以便乙方推广合作品牌。 If Party A would require Party B to do marketing promotion, customer service and other services, Party A promises to provide the relevant marketing materials, customer service training, and other assistance to Party B so as to facilitate the latter to promote the Cooperating Brand.

35、 6. 乙方的责任与义务 Responsibilities and Obligations of Party B 6.1. 乙方应提供其在合同期间合法经营的证照依据,如营业执照、法人代表身份证、组织机构代码、税务登记证等。 Party B shall provide the relevant certificates for its legitimate business operation during the contract validity period, such as business license, ID of legal representative, organ

36、ization code, and tax registration certificate. 6.2. 乙方不得经营销售非国家法律规定的供货的、假冒或仿冒的合作品牌商品的非法进口商品、侵权商品或其它假冒伪劣商品,一经发现,甲方有权立即终止本协议并保留采取法律行动、追究乙方的责任之权利。 Party B shall not distribute Cooperating Brand of products that are supplied from unauthorized channels, illegally exported products, infringing produc

37、ts, or other fake or counterfeit products. Upon detection of any such activities of Party B, Party A has the right to immediately terminate this Agreement and the right to take legal activities against Party B. 6.3. 若发现第三方侵犯合作品牌其关联公司的商标、商号、专用权或其它知识产权,乙方应及时通知甲方。 Upon discovery of any infringemen

38、t by any third party on the trademarks, trade names, exclusive rights, or other intellectual property rights of Cooperating Brand and its related company, Party B shall notify Party A in time. 7. 商品供备货 products Supply and Stocking 7.1. 甲方应保证合理的库存,尽量避免缺货情况的发生或将缺货所造成的影响降为最低。 Both parties shall

39、collaborate with each other to ensure reasonable inventory and avoid the occurrence of products shortage or minimize the impact of the products shortage. 7.2. 甲方向消费者提供的直邮商品的品名数量和发货期等需与乙方提供的商品订单保持一致。若由于信息不一致导致收货和销售产生任何问题,由甲方承担。 The names, quantity and other essential information of the direct mai

40、l products provided by Party A to Party B shall comply with the products order form; Party B may refuse to pay for products that do not meet the order form requirements and Party A shall immediately replace the products according to the order form. 7.3 若由于甲方错发漏发消费者订单对乙方的正常业务运作带来不良影响,甲方应当及时纠正其行

41、为并及时对给乙方造成的不良影响进行补救,甲方应赔偿乙方因此遭受的一切损失。 If Party A sends wrong piece(s) or misses customers ‘order(s) and brings about negative effect to Party B, Party A should correct its behavior promptly and make some compensation to Party B for the negative effect. 8. 结算条款 8.1 甲方提供乙方市场销售建议价;乙方根据甲方的市场销售建

42、议价销售,并在甲方确认的情况下可以打折销售。 结算价见附件A。 Party A will offer Party B the sales proposal price; Party B will sale based on the proposal price, and can offer discounts that confirmed by Party A. Settlement price is as attachment A. 8.2 结算: Settlement: □ 每自然月:以每个自然月为结算期,每个月1日为上月结

43、算日; Each calendar month: Each calendar month is taken as a settlement period, with the first day of each month being the settlement day for the previous month; □ 每半自然月:以每半个自然月为结算期,每月16日与次月1日为结算日; Every half calendar month: Each half calendar month is taken as a settlement period, with the sixte

44、enth day of each month and the first day of the next month being settlement days; □ 每自然旬:以每自然旬为结算周期,每月10日、20日、30日的次日为结算日; Every one-third calendar month: Each one-third calendar month is taken as a settlement period, with the days immediately following the tenth, twentieth and thirtieth days of e

45、ach month being settlement days; □ 每周:以一周为结算周期,每周一为上周的结算日; Weekly: Each week is taken as a settlement period, with Monday being the settlement day for the previous week; □ 每三天:以三天为结算周期,结算周期结束的次日为结算日; Every three days: Three days are taken as a settlement period, with the day immediately followi

46、ng the end of the settlement period being the settlement day. 以上结算日遇休息日或法定节假日的,顺延至休息日或法定节假日结束后的第一个工作日。 The aforesaid settlement day shall be extended to the immediately next working day if it falls on a non-working day or public holiday. 9. 质量条款和售后处理 Quality Problems and After-sales Service

47、 9.1. 甲方对其所供货之商品的质量问题负责,甲方提供的商品必须符合产地国、销售地国(即中国)及其它相关国家和地区的法律规定和行业标准。 Party A shall be responsible for the quality problems of the products it provides. The products provided by Party A shall comply with the GMP and TGA production quality standards of the country of origin. 9.2. 甲方保证提供产品的剩余保质

48、期为产品有效期的75%以上。 Party A shall ensure the validity of such supplied products has more than 75% remaining. 9.3. 甲方保证向乙方提供合法、有效的企业资格证书,并保证文件的真实性、有效性。其中需包 括原产国厂家准许生产、贸易证明、营业执照、卫生证书(食品、化妆品等需)、授权书。 Party A should offer legal and valid certificates of enterprise qualification (including manufacturing

49、 license in the country of origin, certificate of free sale, business license, health certificate and authorization documents) to Party B and ensure the authenticity and validity of these documents. 9.4. 甲方须向乙方提供产品基本信息(包括:名称、规格、箱装、条形码、效期、包装、标签、说明书等)、产品质量标准、原产国生产厂家放行报告。 Party A should offer the b

50、asic product information (including product name, specification, packing information, barcode, period of validity, packaging, label and instruction book, etc.), quality standard and the release report of manufacturers in the country of origin to Party B. 9.5. 因为甲方未如实对商品进行描述等甲方原因所引发的售后问题,其责任由甲方承担
