外国公司有权签字人授权书.doc

授 权 书

（1）授权****先生（海外护照号码：*********）代表本公司签署有关文献以取得该等证照及办理登记手续，以及获授权委托以本公司代表人身份，代表本公司签署及取得与设立外商投资公司有关的一切文献，涉及但不限于：

1. 外商投资公司设立审批时审批机关规定的设立外商投资公司申请书、《法律文献送达授权委托书》、可行性研究报告及其他文献；

2. 外商投资公司设立登记时登记机关规定的设立登记申请书、《法律文献送达授权委托书》、《公司秘书（联系人）登记表》及其他文献；及

3. 办理与外商投资公司设立相关的其他手续时有关政府部门规定的其他文献；

以及以其独一即绝对的酌情权视作适当而做出有关该等证照及登记手续及有关设立外商投资公司的任何行动，涉及但不限于任何为上述目的而草拟的任何授权书或委托书及办理任何相关证照的公证，及在必要时使用本公司的公司公章。

（2） 授权***先生（海外护照号码：*********）人名外商独资公司的法人代表，并代表本公司签署有关该等任命的一切文献，以及以其独一及绝对的酌情权视作适当而做出有关该等任命的任何行动。

(1) We authorize ***********( Foreign Passport No.: *******) to sign the related documents on behalf of the company to obtain the license and to deal with the registration procedure, and also entrusted him to be the company's authorized legal representative to sign and obtain all documents pertaining to the installment of foreign-invested companies on behalf of us, including but not limited to:

1. “The Establishment Registration Application Form for Foreign Invested Enterprises”, "Legal Documents Power of Attorney", “Feasibility Studies” and other documents which the approving authority requires in the establishment assessment of foreign-invested enterprises;;
2. “Establishment Registration Application”, "Legal Documents Power of Attorney", "Corporate Secretary (contact) Registration Form" and other documents the registration authority requires in the establishment registration of foreign-invested enterprises; and
3. The other documents related to the establishment of foreign-invested enterprises the government requires;

And take its absolutely unique discretion as appropriate and take any actions about the license and registration procedures and the establishment of foreign-invested enterprises, including but not limited to any draft of “Power of Attorney” or “Engagement Letter” or any relevant certificates of the notary, and also not limited to the use of company's seal when necessary for that purpose.

(2) We authorize ***********( Foreign Passport No.: *******) as the foreign-owned enterprise's legal representative, and also authorize him sign all documents relating to such appointments on behalf of the company, and take its absolutely unique discretion as appropriate and take any actions about the related appointments.
