二、质量要求、技术标准：符合国家相关最新质量标准要求。
三、乙方对质量负责的条件及期限：
产品抽样检测必须符合第二条标准要求，检测费由乙方承担；如检测不合格，由乙方承担全部责任，并赔偿由此引起的损失。
四、交货时间：
2012年X月X日前全部到货。
五、验收标准、方法和期限：
货到工地乙方需提供产品出厂证明、产品合格证、检测报告等证件原件，由甲方与本项目监理单位、施工单位共同验收。
六、包装要求、包装物的供应与回收及费用负担：
由乙方负责包装运输到田雨润华国际酒店西餐厅施工现场，按照甲方要求装卸到指定位置，费用由乙方承担（包括但不限于运费、包装费、装卸费）。
七、材料检测：
所有设备石材在运输至工地现场时，均须进行质量检测，检测费用由乙方支付；经检验不合格的产品全部退回乙方。
八、质保期：
产品质保期为壹年，自材料验收合格之日起算。
九、结算方式及期限付款方式：
货到工地验收合格后付至实际到货数量价款的60%，安装完毕验收合格后付至实际到货数量价款的95%，余款待壹年后无质量问题30日内付清。
达到付款条件后乙方应向甲方提交书面付款申请、到货产品验收合格证明、税务部门认可的款项发票，经甲方审核无误后付款，否则，甲方有权拒绝付款且不构成违约。
十、违约责任：
（一）乙方延期交货，除不可抗力的因素外，乙方应向甲方偿付10000元/天的延期违约金并赔偿甲方由此产生的全部损失，延期超过10日，甲方有权解除合同。
（二）乙方产品质量达不到本合同约定及相关行业标准，甲方有权要求乙方退换，乙方应按甲方要求的时间退货更换，直到符合约定条件，并承担相应费用，供货期不予顺延。乙方拒不退换或退还后仍不合格的，甲方有权解除合同，乙方除应向甲方支付合同总价款20%的违约金外还另行据实赔偿甲方一切损失。
（三）乙方未在甲方要求的时间内履行包修义务，每延迟一日向甲方支付合同总价款1%的违约金，超过三日，甲方有权自行维修或委托第三方维修，所发生的费用（乙方放弃对该费用提出异议的权利）由乙方承担，乙方须在接到甲方通知后3日内向甲方付清。
（四）乙方按本合同约定应向甲方支付的违约金、赔偿金等，甲方有权自尚未向乙方支付的款项中直接扣除，不足扣除部分，乙方须在接到甲方通知后3日内向甲方付清。
（五）乙方保证不将本合同约定之供货义务转包或分包给任何第三方，并保证具备签订和履行本合同的合法资格，否则，甲方均有权解除本合同，并且乙方应向甲方支付合同总价款的20%的违约金。
（六）因乙方原因导致本合同解除的，乙方须向甲方支付合同总价款20%的违约金，同时还需另行据实赔偿甲方损失（包括但不限于第三方索赔、诉讼费、律师费、评估费、差旅费等）。
十一、解决合同纠纷的争议解决方式：
执行本合同发生争议，由当事人双方协商解决。协商不成，双方同意向甲方所在地有管辖权的人民法院提起诉讼。
十二、合同生效及其他：
（一）本合同如有未尽事宜，由双方共同协商，作出补充规定，补充规定与本合同具有同等法律效力。
（二）合同附件与本合同具有同等法律效力。
（三）合同一式六份，甲方五份，乙方一份。
