2. 合同终止后，保密条款仍然有效，双方应继续保守相关机密信息。
**六、其他条款**
1. 本合同一式两份，双方各执一份，具有同等法律效力。
2. 本合同未尽事宜，双方可另行协商补充或修改。
**七、法律适用与争端解决**
1. 本合同适用中华人民共和国法律。
2. 若双方在履行合同过程中发生争议，应通过友好协商解决；协商不成的，任何一方均可向当地人民法院提起诉讼

**1. Purpose of the Contract**
In accordance with the mutual agreement of both parties, Party A and Party B hereby enter into the following research and development contract:

1. Party B commissions Party A to carry out the research and development of the project, including but not limited to the design, development, and testing of the project.
2. All results of the research and development process belong to Party B, and Party A has no right to commercially promote or transfer them.
**3. Development Period**
1. This contract shall come into effect from the date of signature by both parties until the completion of the research and development project and mutual confirmation and acceptance.
2. In the event of a delay in development due to force majeure or other special circumstances, both parties may negotiate and adjust the development period.
**4. Payment Terms**
1. Party B shall pay the research and development fees to Party A in accordance with the agreed payment method and schedule.
2. Any additional expenses incurred during the research and development process shall be separately discussed and documented in a supplementary agreement.
**5. Confidentiality**
1. Both parties shall keep confidential any information or data related to commercial secrets and shall not disclose it without written permission from the other party.
2. The confidentiality clause shall remain valid even after the termination of the contract, and both parties shall continue to keep the relevant confidential information.
**6. Other Provisions**
1. This contract is made in duplicate, with each party holding one copy, and both copies have equal legal effect.
2. Matters not covered in this contract may be supplemented or amended by mutual agreement of both parties.
**7. Governing Law and Dispute Resolution**
1. This contract is governed by the laws of the People's Republic of China.
2. In the event of a dispute between the parties during the performance of the contract, they shall first attempt to resolve it amicably. If no agreement can be reached, either party may bring a lawsuit before the local People's Court.

2. The results of the research and the produced products belong to Party B, and Party A has no authority to use or transfer them without consent.
**3. Division of Work**
1. Both parties shall designate project leaders, team members, and roles, clarifying responsibilities and authorities.
2. In case of issues during work, timely communication and negotiation shall take place to ensure timely project completion.
**4. Expenses and Payments**
