contracts1.1选词方面多用正式或法律上用词，与口头表述不一样，协议是法律性正式书面文件，使用正式、法律用词是必要。协议起草者应多加强这方面学习。比如：第3页1.1选词方面1）At the request of Party B,Party A agrees to send technicians to assist Party B to install the equipment.应乙方要求，甲方同意派遣技术人员帮助乙方安装设备。assist 较 help 正式；2）The personnel shall not to partake in any political activities in Iraq.全部些人员不得参加伊拉克国内任何政治活动。partake in 较 take part in 正式；3)The employer shall China.第8页1.3情态动词多用shall代替will或should加强语气和强制力。协议中，shall并非单纯表示未来时，而惯用来表示法律上可强制执行义务，含有约束力，宜译为“应”、“应该”、“必须”；will不论语气还是强制力要比shall弱，宜译为“将”、“原”、“要”；should通常只用来表示语气较强假设、比如“万一”。第9页1.3情态动词1)This Contract shall liabilities（债权和债务）existing between both parties on the expiry of the validity of the contract shall not be influenced by the expiration of this contract.The debtor shall be kept liable until the debtor fully pays up his debts to the creditor.本协议期限届满时，双方发生未了债权和债务不受协议期满影响，债务人应向债权人继续偿付未了债务。第25页4.Special terms4.1 partial shipment分批装运是国际贸易术语，不能称为分批装船或其它，因为装运方式能够是航空（空运）。所谓分批装运，是指一笔成交货物，分若干批装运。国际贸易协议或信用证往往有一项清楚条款明确要求分批装运是否被允许，假如违反该条款，能够造成买方不付货款或者不完全付清货款。第26页4.Special terms4.2 transshipment转船装运指货物由运输协议中要求船只在抵达目标地之前转到另一艘船只。无正当理由转船是一个违约行为，而且一旦货物丢失，应由承运人负责。Transshipment is the shipment of goods to an intermediate destination,and then from there to yet another destination.One possible reason is to change the means of transport during the journey(for example from ship transport to road transport),known as intermodal freight transport.Transshipment usually takes place in transportation hubs.第27页4.Special terms4.3 arbitration仲裁是指由双方当事人协议将争议提交第三者，由该第三者对争议是非曲直进行评判并作出裁决一个处理争议方法。中国国际经济贸易仲裁委员会China International Economic and Trade Arbitration Commission（英文简称CIETAC，以下简称仲裁委员会）是世界上主要常设商事仲裁机构之一，于1956年4月成立，附设于中国国际贸易促进委员会China Council for the Promotion of International Trade，当初名称为对外贸易仲裁委员会。中国实施对外开放政策以后，为了适应国际经济贸易不停发展需要，对外贸易仲裁委员会于1980年更名为对外经济贸易仲裁委员会，又于1988年更名为中国国际经济贸易仲裁委员会。，中国国际经济贸易仲裁委员会同时启用中国国际商会仲裁委员会名称。第28页5.Practice1.We are satisfied with the terms of this considers it is necessary to extend the contract the proposing party may take the initiative to conduct negotiation with the other party one month prior to its
