经甲乙双方协商，就甲方向乙方购买舒肤佳香皂的相关事宜达成如下协议：
This purchase contract (hereinafter referred to as “contract”) is signed by and between the Buyer and the Seller, whereby the Buyers agrees to buy and the sellers agrees to sell Safeguard Soap upon equal negotiations
第一条 产品名称、规格和质量 section 1: Specification and Quality
1. 产品的名称和规格：舒肤佳香皂（以下简称“产品”）：
Specifications: Safeguard Soap (hereinafter referred to as “Product”)
2. 产品的质量要求：须符合国家的有关标准。

第三条 价款 Section 3 Price

2、甲方预付货款 30%，货到后甲方即付清余下货款。
Party A will prepay 30% of the total price (pay．．．in advance) and then pay off the rest/ the remainder on arrival of the products.

第四条 交货地点和交货日期 Section 4: Delivery Address and Date
交货地为重庆火车北站，须在合同签订后的三个月内交付。
Unless otherwise stipulated with the Buyer when an order is accepted, the vendor will deliver the products in Chongqingbei Railway Station within 3 months after the conclusion of the contract.
第五条 包装与运输 Section5: Packing and Transportation
1、 包装方式：按照行业习惯包装；纸箱或木箱包装
Manner of Packing: Cartons and Wooden case
2、运输安排由乙方负责，由乙方代办运输至甲方指定地点，运输费用由乙方承担。
Party B shall arrange for transportation, delivering the Product to the place appointed by Party A and the freight is for Part B account.
第六条 收货和验收条款
Article 6 Acceptance and Inspection
1． 验收标准：按照本合同第二条约定的质量要求标准进行验收。
1. Inspection Criteria: Party A shall check the Product in accordance with the quality requirements stipulated in Article 2.
2． 乙方在交货地点有办事机构的（以乙方确认书为准），甲方在产品运输至交货地点收货同时进行验收；乙方在交货地点没有办事机构的，甲方在产品运输至交货地点之日起三日内进行验收。验收中存在异议的，甲方向乙方出具书面异议理由，由乙方协同生产厂商按照本合同第二条质量要求及标准进行检查。
2. Where Party B has an office in the place of delivery (Party B's Letter of Confirmation prevails), Party A shall conduct inspection and acceptance after the arrival at the set place; where Party B does not have an office in the place of delivery, Party A shall check within 3 days after the delivery of the Product. In case any objections exist, Party A shall present the reasons in written form to Party B and Party B in cooperation with the manufacturer may conduct inspection subject to the quality requirements and standards stipulated in Article 2.
3．产品运输至交货地点后三日内甲方未提出书面异议理由的，视为验收合格。
3. Where Party A fails to present reasons in written form within 3 days after the delivery of the products, the set product shall be deemed as qualified.
第七条 违约责任
Article 7 Liability
1． 甲方延期付款的，乙方交付产品的时间可相应顺延，甲方按照延期支付金额的 0.5% /日向乙方支付滞纳金，直至款项付清之日。甲方延期支付超过三十日的，乙方有权选择解除合同，而甲方须按照合同滞纳金标准向乙方支付违约金（支付至乙方提出解除日），向乙方返还产品，甲方已经支付的款项作为赔偿，如不足以弥补乙方的损失的，由甲方另行赔偿。
1. Where Party A fails to make payment when due, Party B reserves the right to postpone the delivery accordingly. Party A is liable for fine of 0.5% penalty for late payment per day to Party B till the day of payment in full. Should Party A deferred for more than 30 days, Party B is entitled to terminate the contract, while Party A shall pay penalties to Party B on the basis of the fine for late delivery(until the day Party B terminates contract), and return the products to Party B. The fund paid by Party A shall be regarded as compensation and if it is not enough to make up Party's B's losses, Party B shall compensate alternatively.
2．乙方按照本合同约定的时间、地点、质量要求和技术标准向甲方提供定购产品，如延期交付的，应按照未交付产品金额的0.5%/日向甲方支付滞纳金。因乙方延期供货给甲方造成的损失由乙方赔偿。因延期支付价款而导致延期交货的除外。
2. Party B shall offer Party A the set product in accordance with the time, place, quality requirements and technical standards stipulated in contract. Party B, if failing to make delivery on time, shall pay penalty for late delivery of 0.5% per day on overdue delivery amounts. Party B shall also be liable for the losses and damages sustained Party A due to the late delivery, except for the late delivery resulting from late payment on the part of Party A.
3． 甲方未按合同约定收货、验收或无正当理由提出异议拒绝收货的，乙方将产品运输至交货地点之日视为甲方收到货物和验收合格的时间，此后造成的损失由甲方负责。
3. Where Party A fail to receive, check the products as the requirement of contract and reject the products on unjustified grounds, the date when Party B transported the products to the place of delivery shall be deemed to be the time that Party A received the products and checked qualified. Any losses incurred thereafter shall be borne by Party A.
4． 除本合同约定外，任何一方擅自解除合同的，应当按照本合同总价款的0.5％向另一方支付违约金，由此给另一方造成的损失，由擅自解除合同一方负责赔偿。
4. Any party, terminating the contract without reasonable grounds, shall pay a penalty of 0.5% of the total price to the other, and shall also be liable for compensating for the loss incurred hereby, unless otherwise stipulated in the contract.
第八条 不可抗力
Article 8 Force Majeure
任何一方由于不可抗力原因不能履行合同的，应在不可抗力事件发生后 3 日内通知对方，并尽力减少损失。不可抗力造成的损失，由双方自行承担。
Any party failing to perform the contract due to force majeure shall advise the other within 3 days after the occurrence mentioned above and make all reasonable efforts to mitigate losses. Both parties shall bear the losses therefrom respectively.
第九条 争议解决办法
Article 9 Method of dispute resolution/ settlement
双方发生争议的，应协商解决，协商不成的，可向乙方所在地有管辖权的人民法院提起诉讼。
Any dispute arising out of the contract shall be settled or resolved through negotiation, failing which, the dispute shall be then submitted to the court competent in the place where Party B resides.
第十条 合同期限
本合同自签订之日起生效，于合同项下所有义务全面履行或合同解除之日起自动期满失效。
The contract comes to effect as of/ commence on the date of/ upon the signature of the Contract by both parties. The Contract shall become null and void automatically after the performance of all obligations hereunder / termination or rescission of the contract.
第十一条 其他规定
Article 11 Miscellaneous
1．本合同未尽事宜或合同变更，经双方协商一致后签订补充合同，效力与本合同一致。
1. If there are any matters not covered in this contract or amendments, it can make up as the accessories of the agreement under both parties' negotiation, and supplementary agreement has the same binding force of this agreement.
2．因生产厂商产品调整或国家政策原因导致产品调整的，乙方应尽快通知甲方并变更合同约定。
2. Where the products need modification due to the manufacturers or national policies, Party B shall advise Party A promptly and modify the contract clauses.
3．本合同附件应经双方确认后成为本合同不可缺少的组成部分，效力与本合同一致。
3. Any annexes thereof shall be bonded to the contract as a whole after both parties' confirmation and have equal effectiveness.
4. 本合同一式二份，双方各执一份，经双方签字后即生效，传真件亦适用。
4. This contract is in two duplicates/copies/ originals each for either party, effective since being signed by both parties and the fax one shall also be of the same effect.
