租赁合同续租协议(一)
Agreement for Renewal of Tenancy Agreement (I)

鉴于：
Whereas

1. 甲方与乙方于［ ］年［ ］月签署了一份有关乙方承租甲方所有的位于［ ］的房屋（“该物业”）的《租赁合同》（“该合同” ，见附件1 《租赁合同》），有效期自［ ］至［ ］。
Party A and Party B executed a Tenancy Agreement ("the Agreement", see Appendix 1 Tenancy Agreement) in ［ ］concerning Party B's lease of Party A's owned premises ("the Premises") located ［ ］, valid from ［ ］ to ［ ］.

2. 现甲方与乙方就该合同的续租事宜达成了一致。
Party A and Party B have reached terms on the renewal of “the Agreement”.

经协商，双方就该合同的续租事宜达成如下租赁合同续租协议（“续租协议”）：
Through negotiations and communications, both Party A and B have agreed on the following terms on the renewal of the Agreement (“Renewal Agreement”):

一、该物业的续租期间为：自［ ］起至［ ］止（“续租期间”）。 其中， ［ ］至［ ］为固定期，［ ］至［ ］为非固定期。在非固定期内，乙方有权提前终止本续租协议且无违约责任，条件是必须提前壹个月书面通知甲方（即乙方有权自［ ］起向甲方发出提前终止的书面通知）。在此情形下，乙方应根据实际租期结清相应的租金和退还房屋，甲方应在乙方退还房屋后的［ ］日内全额向乙方退还本续租协议下乙方已支付的租赁保证金。
The renewal lease term of the Premises shall be the period from ［ ］to ［ ］(the "Renewed Term"). From ［ ］to ［ ］is the fixed lease term, from ［ ］to ［ ］is the optional lease term. During the optional lease term, Party B shall have the right to early terminate this Agreement without penalty by giving Party A one month prior notice ( i.e. Party B is entitled to serve a early-termination written notice to Party A starting from ［ ］). Under this circumstance Party B shall settle the corresponding rental according to the actual lease term and return the property, and Party A shall return in full the Security Deposit paid by Party B to Party A within [  ] days after Party B returns the property.

二、续租期内，该物业租金与保证金条款如下：
During the Renewed Term, the Rent and the Security Deposit shall be revised as follows:

2.1该物业租金为每月人民币［ ］元（大写：［ ］ 元）。其中包括物业管理费人民币［ ］元。
The Rent for the Premises is RMB ［ ］yuan per month, which includes the property management fee RMB［ ］.

2.2自［ ］至［ ］的租金为RMB ［ ］；其余租期的租金仍然按照原合同按自然月结算。
From ［ ］to ［ ］，the rental should be RMB ［ ］. Others would be calculated according to the natural monthly rentals pursuant to the Agreement.

2.3乙方已经支付原合同之租赁保证金为人民币［ ］元自动顺延至本续租协议。本续租协议结束后，甲方应在乙方归还该物业并结清应付费用后20个工作日内将剩余保证金返还给乙方。
The deposit of the original Agreement RMB ［ ］yuan has been paid to Party A will become the deposit for this Renewal Agreement. After this renewal Lease Agreement is expired, Party A shall return the remaining part of the deposit to Party B within 20 working days after Party B returns the Premises and settle all payable fees.

三、乙方在此同意及确认乙方就该物业不享有优先购买权（包括在甲方出卖该物业或其任何部分时的优先购买权）或类似的权利；若任何法律或法规就该物业赋予乙方优先购买权（包括在甲方出卖该物业或其任何部分时的优先购买权）或类似的权利，则乙方在此明确放弃此等优先购买权和类似的权利。
  Party B hereby agrees and acknowledges that Party B shall not have the right to, first right to purchase (including first right to purchase upon Party A’s sale of the Premises or any part thereof) or similar rights in respect of the Premises. If any law or regulation confers on Party B first right to purchase (including first right to purchase upon Party A’s sale of the Premises or any part thereof) or similar rights in respect of the Premises, Party B hereby expressly waives, first right to purchase and similar rights.

四、 在续租期间，甲方保留出售本出租房屋的权利，但需提前60日向乙方发出书面通知，在此情况下乙方放弃对该物业的优先购买权，此时乙方有权选择（1）终止本续租协议，甲方应把保证金全款退还以及退还乙方已向甲方支付但尚未使用的租金；或者（2）选择要求继续履行本协议，甲方应确保新业主同意概括承受本续租协议项下剩余租赁期限内甲方的所有权利及义务，且甲方、乙方及新业主应当签署三方转让协议，明确本协议项下乙方已向甲方支付但尚未使用的租金以及其他任何乙方已付未用费用，以及租赁保证金应当由甲方直接转交至新业主，并由新业主向乙方开具新的租赁保证金收据。若前述三方转让协议未能签署导致乙方无法继续承租该房屋的，则甲方应赔偿乙方由此遭受的全部损失，并双倍返还保证金，和返还所有已付未用的租金及其他费用给乙方。
During the renewal lease term, Party A reserves the right to sell the Property, provided a prior 60 days written notice is given to Party B. Under the above conditions, Party B forgoes priority to purchase the said property. Under this the situation, Party B shall have the right to choose to i) terminate the lease and Party A shall return Party B’s Security Deposit in full and return any rental which has paid by Party B to Party A but not yet used; or ii) keep executing this Renewal Lease Agreement, then Party B shall ensure the new property owner agree to bear all rights and obligations of Party A during the remaining lease term under this Renewal Lease Agreement, and Party A, Party B and the new landlord shall enter into a tri-party transfer agreement, which shall clearly stating that all the Security Deposit in full and any rental and other fees which has paid by Party B to Party A but not yet used shall been directly transferred from Party A to the new landlord, and the new landlord shall issue the new receipt to Party B for the Security Deposit. If the aforesaid tri-party transfer agreement is not signed and Party B could not further lease the Premises, then Party A shall bear all the losses for Party B which incurred, and shall double return Party B the Security Deposit and return any rental and other fees which has paid by Party B to Party A but not yet used.

五、本续租协议是该合同不可分割的一部分，除本续租协议对该合同的变更条款及本续租协议另有约定的条款外，本续租协议未尽事宜均按照该合同之约定。
This Renewal Agreement shall be an integral part of “the Agreement”. Except for the provisions amended or supplemented to “the Agreement” herein, the matters not covered herein shall follow the provisions of “the Agreement”.

六、 本续租协议一式四份，双方各执两份，具备同等法律效力。本续租协议自双方签章起生效。中英文内容不一致的，以中文为准。
This Renewal Agreement shall be made in four counterparts and each party shall hold two counterparts with the same legal effect. This Renewal Agreement shall come into effect upon the signatures of the parties. The Chinese version shall prevail in case there is any discrepancy between the Chinese version and English version.
