Whereas Licensor owns certain valuable registered trademarks; Whereas Licensee hope to utilize the trademark upon and in connection with the manufacture, sale and distribution of the Contract Products; Both parties authorized representatives, through friendly negotiation, agree to enter into this Contract under the terms as stipulated below.第一条 定 义Section 1 Definitions1.1 “注册商标”-是指本合同附件一所指的在欧盟内部市场协调局注册登记的第*类商标，注册商标的编号为*。“Registered Trademarks” means the trademarks which have been described in Appendix 1 to the Contract and have been registered by OHIM in Class *. The registered number is *.1.2 “许可方”是指 中 国 *公司，或者该公司的法人代表、代理和财产继承者。“Licensor” means *. of China, or the legal representative, or agency or the property successor of the Company.1.3 “接受方”是指 * 公司，或者该公司的法人代表、代理和财产继承者。“Licensee” means *, or the legal representative, or agency or the property successor of the Corporation.1.4 “合同产品”是指合同附件二所列的产品。“The Contract Product” means the products stipulated in Appendix 2 to the Contract.1.5 “合同生效日”是指本合同双方签字日。“The Date of Effectiveness of the Contract” means the date of signing this Contract by both parties.第二条 合同范围Section 2 Scope of the Contract2.1 根据以下条款的规定，接受方同意从许可方取得，许可方同意向接受方授予单独使用附件一所指的注册商标的许可权利，且只在制造和出售、分销合同产品时使用。合同商品详见本合同附件二。这种权利是独占性的，是不可转让的权利。许可方同意在合同的有效期内不在合同有效区域内再授予别人销售合同产品时使用这两个商标。Upon the terms and conditions hereinafter set forth, Licensee agree to obtain from Licensor, and Licensor agree to grant Licensee the right to utilize the Registered Trademark solely and only upon and in connection with the manufacture, sale and distribution of the Contract Products. The Contract Products are detailed in Appendix 2 to the Contract. The license and right are exclusive and untransferable. Licensor agrees that during the validity of this Contract, it will not authorize a third party to utilize the Registered Trademarks upon and in connection with the manufacture, sale and distribution of the Contract Products in the same area specified in this Contract.2.2 许可只在 欧盟 地区有效。接受方同意不在其他地区直接或间接使用或授权他人使用这两个商标，且不在知情的情况下向有意或有可能在其他地区出售合同产品的第三者销售该产品。The license hereby granted extends only to European. Licensee agrees that it will not make, or authorize, any use, direct or indirect, of the Registered Trademarks in any other area, and that it will not knowingly sell the Contract Products covered by this Contract to persons who intend or are likely to resell them in any other area.2.3 许可方负责向接受方提供注册商标的有关资料，包括注册商标的文字、图案、申请情况、编号等，具体的资料详见本合同附件一。Licensor is responsible for providing Licensee with the documents related to the Registered Trademarks, including the words, designs, applications for registration and registered numbers, etc., the specific documentations are detailed in Appendix 1 to the Contract.第三条 资料的交付Section 3 Delivery of the Documents3.1 许可方应按本合同附件一的规定向接受方提供注册商标的名称、内容以及许可方向欧盟内部市场协调局申请注册的有关情况。The names, contents and related situations which Licensor applied for the registration from OHIM shall be provided by Licensor to Licensee in accordance with stipulations in Appendix 1 to the Contract.3.2 许可方应在签订本合同的同时，将3.1条中规定的资料交付给接受方。The documents stipulated in Section 3.1 to the Contract shall be provided by Licensor to Licensee while the Contract is signing.第四条 侵权和保证Section 4 Infringements and Guarantees4.1 许可方保证是本合同注册商标的合法持有者，并且有权授予接受方使用，如果在合同的执行过程中一旦发生第三方指控侵权时，则由许可方负责与第三方交涉，并承担由此引起的一切法律和经济上的责任。Licensor guarantees that Licensor is the legitimate owner of the Registered Trademarks under the Contract, and that Licensor is lawful in a position to authorize Licensee to utilize the Registered Trademarks upon or in connection with manufacture, sale and distribution of the Contract Products. In the course of implementation of the Contract, if any third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise.4.2 接受方负责为自己和/或许可方就其非经授权使用合同产品商标、专利、工艺、设计思想、方法引起的索赔、诉讼或损失，就其他行为或产品瑕疵导致的索赔、诉讼或损失进行辩护，并使许可方免受损失。Licensee hereby undertakes to defend Licensee and/or Licensor against and hold Licensor harmless from any claims, suit, loss and damage arising out of any allegedly unauthorized use of any trademark, patent, process, idea, method or device by Licensee in connection with the articles covered by this Contract or any other alleged action by Licensee and also from any claims, suits, loss and damage arising out of alleged defects in the articles.4.3 接受方同意向许可方提供必要的帮助来保护许可方就该商标拥有的权利。接受方在可知的范围内应书面告知许可方就合同产品的商标的侵权和仿制行为。双方可以各自以自己的名义或以双方的名义针对这样的行为提起诉讼或索赔。Licensee agrees to assist Licensor to the extent necessary in the procurement of any protection or to protect any of Licensors rights to the Registered Trademarks, and shall notify Licensor in writing of any infringement or imitations by others in the Registered Trademark on articles the same as or similar to those covered by this Contract which may come to Licensees attention. Both parties have the right to determine to prosecute any claims or suits in its own name or in the name of Licensee and Licensor join together against such behavior.第五条 促销资料Section 5 Promotion Material5.1 在任何情况下，接受方如果期望得到合同产品的宣传材料，那么生产该宣传材料的成本和时间由接受方承担。所有涉及本合同商标或其复制品的宣传材料的产权应归接受方所有。如果许可方要求使用或将其许可给他方使用,许可方应支付有关费用。届时双方可另行协商签订合同。In all cases where Licensee desires artwork involving articles which are the subject of this license to be executed, the cost of such artwork and the time for the production thereof shall be borne by Licensee. All artwork and designs involving the Registered Trademarks, or any reproduction thereof, shall be owned by Licensee. If Licensor requires or authorizes the other party to utilize the artwork and design, it should pay reasonable fees to Licensee. When the time comes, both parties will sign the new contract through friendly consultation.第六条 分 销Section 6 Distribution6.1 接受方同意将克尽勤勉，并且持续制造、分销或销售合同产品，而且还将为此作出必要和适当的安排。Licensee agrees that during the term of this license it will diligently and continuously manufacture, distribute and sell the Contract Products covered by this Contract and that it will make and maintain adequate arrangement for the distribution of the Contract Products.第七条 违约Section 7 Violation7.1任何一方都无权终止合同。Neither of the party has the right to terminate the Contract. 第八条 争议的解决Section 8 Dispute Settlements8.1 因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决。All disputes in connection with or in the execution of the Contract shall be settled through friendly consultation by both parties.第九条 合同的生效及其他Section 9 Effectiveness of the Contract and Miscellaneous9.1 本合同由双方授权代表于_年_月_日在_签字。并自签字之日起生效。The Contract is signed by the authorized representatives of both parties on _, and comes into force immediately after the date of signing.9.2 本合同的有效期从合同生效日起算共_年，有效期满后，本合同自动续期。如许可方商标继续有效，本合同可延续至下一个商标有效期内，继续生效。 The Contract shall be valid for a period of _years from the date of the effectiveness of the Contract. The Contract shall be renewed automatically. Where the registered trademarks of the licensor are still valid, the Contract will be valid for consecutive validity period of the trademarks. 9.3 本合同的执行中，对其条款的任何变更、修改和增减，都须经双方协商同意并签署书面文件，作为合同的组成部分，与合同具有同等效力。In the course of implementation of the Contract, all the alterations, amendments, supplements and subtractions to the Contract have been agreed upon and signed in written documents through consultation by both parties. They are integral parts of the Contract and have same legal force and effect as in the Contract.9.4 本合同期满后，双方的未了债权和债务不受合同期满的影响，债务人应对债权人继续完成未了债务。After the date of the expiry of the validity period of the Contract, all those creditors rights and debts which have not been fulfilled by either of the Parties shall still be fulfilled by both parties without any influence of the expiry of validity period of the Contract.9.5 本合同由第一条至第九条和附件一至附件二组成，合同的正文和附件是不可分割的部分，具有同等法律效力。The Contract consists of Section 1 to Section 9 and Appendix 1 to Appendix 2, the text of the Contract and annexes are integral parts of the Contract and have same legal force and effect.9.6 本合同用英文书就，双方各持两份。在合同的有效期内，双方通讯以英文进行。正式通知应以书面形式，特快专递或航空挂号邮寄，一式两份。合同双方的法定住址如下：接受方住址：*许可方住址：*The Contract is made out in English in four originals, two for each party. Within the validity period of the Contract, the communication between both parties shall be made in English; the formal notice shall be made in written form in two copies, sending by registered airmail.
