This CONTRACT is entered into and is effective this ________ day of __________, 2005, 本合同于2005年___月___日由以下双方签订并生效。

Between

BP(CNOOC) a corporation incorporated under the laws of the People’s Republic of China, having its registered office at ___________, (hereinafter referred to as “Owner”, which expression includes its successors in title and assigns)

And

______________________________, a corporation incorporated under the laws of _________________, [and ________________________________, a corporation incorporated under the laws of the People’s Republic of China,] (hereinafter referred to [together] as “PMC Contractor”, which expression includes its successors in title and permitted assigns).

Owner and PMC Contractor are referred to herein individually as “Party” or jointly as “Parties”. 业主和项目管理承包商在本文单独称为“一方”或者合称为“各方”。

WHEREAS, Owner intends to build the Refinery Project. The nameplate crude processing capacity is fixed at 12 million ton/y and the Project consists of the following process units; crude distillation 12,000 k ton/y capacity, catalytic reforming and aromatics extraction 2,000 k ton/y, diesel / Av. Gas hydrodearomatization 3,500 k ton/y, hydrocracking 4,000 k ton/y, delayed coking 4,200 k ton/y, gasoline/diesel hydrogenation 1,800 k ton/y, catalytic cracking 1,500 k ton/y, gas fractionation 250 k ton/y, alkylation 160 k ton/y, sour water stripping, fuel gas, desulfurization / sulfur plant, hydrogen production plant, fluidized bed combustion of coke for steam and power generation, MTBE production, and associated utilities and offsite facilities. Owner therefore desires that PMC Contractor render certain project management and related services required to ensure the smooth, coordinated, expeditious and state of the art execution of the Project; and业主希望项目管理承包商提供其所需的部分项目管理服务和相关服务，确保顺利、有序、快速地且以当前科技水平实施本项目；并且

WHEREAS, PMC Contractor represents that it is able and willing to render to Owner such services during all phases of the Project implementation; 鉴于项目管理承包商表明其有能力而且愿意为业主在项目实施的所有阶段提供上述服务；

NOW THEREFORE, in consideration of the mutual covenants and obligations of the Parties, it is hereby agreed as follows: 据此，现为了明确双方之间达成的契约和各方应承担的义务，双方达成协议如下：

Article 1 - DEFINITIONS第1条 定义

Unless the terms or context of this Contract provide otherwise, the following terms shall have the meanings set out below: 除非本合同条款或者上下文另有规定，以下术语应具有下文给定的含义：

1.1 “Affiliate” means, with respect to any person, any other person that, alone or together with any other person, directly or indirectly through one or more intermediaries, controls, or is controlled by or is under common control with such person. For the purpose of this definition, “control” (including the terms “controlling”, “controlled by” and “under common control with) as used with respect to any person shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of such person, whether through the ownership of voting securities, by contract, agency or otherwise. “关联方”系指就任何人而言，单独或者与他人一起，直接或者间接通过一个或者多个中间层控制此人、或者受控于此人或者与此人受共同控制的任何其他人。仅就本定义而言，“控制”（包括“控制、受控于和与此人受共同控制”）与任何人一起使用时，指直接或者间接拥有指示或者命令该人的管理层或者制定政策的权利，无论该权利是通过拥有投票权、合同、代理或者其他方式来实现的。

1.2 "Change(s)" means any change, amendment or modification of this Contract in accordance with Article 7. “变更”系指符合合同第7款规定的、对本合同所作的任何变更、修改、或更改。

1.3 "Commencement of Operations" means that point in time when after all acceptances of the Work and all work carried out by Other Contractors has taken place Owner fully commences operational use of the whole of the Project facilities including the complete use of all accessory and support systems at a continuous production rate of not less than that established in the Refinery Design Basis and in a steady state condition for not less than seven (7) calendar days. Owner shall indicate the date of Commencement of Operations through the issuance of a written notice to PMC Contractor. “投产”系指本工程和由其他承包商负责完成的所有工作全部通过验收后，业主以不低于炼油厂设计基础中规定的连续生产率且在稳定运行条件下全面开始运行包括所有辅助和配套系统在内的全部项目设施七（7）个日历日以上这一时间点。业主应通过向项目管理承包商发出书面通知的方式来告知投产日期。

1.4 “Commissioning” means the checkout, testing, and demonstration of the safety, operability, and intended functionality of equipment, instrumentation and control systems, subsystems, and components with process fluids, hydrocarbons, and chemicals introduced into the Plant(s), and “Commissioned” should be construed accordingly. “投料试车”系指在已向装置内引入工艺流体、碳氢化合物和化学品的条件下，对设备、仪表和控制系统、子系统和部件的安全性、可操作性及其设计功能性进行检查、测试和验证。“试车完毕”也应同理进行解释。

1.5 "Confidential Information" means any and all information, data or knowledge which is made available to PMC Contractor by Owner or its representatives relating to the performance of the Work or otherwise in connection with this Contract or which concerns the Owner or its Affiliates. “保密信息”系指由业主或其代表提供给项目管理承包商的、与本工程的实施或与本合同或与业主或者其关联方相关的其它工程的实施有关的所有信息、数据或知识。

1.6 “Consents” means all authorizations, consents, decrees, licenses, certificates, visas, registrations, exemptions, assents, reviews, releases, permits, waivers, privileges, approvals and the like from, and filings with, any person. “同意”系指由任何人作出的所有授权、同意、法令、许可、证书、签证、登记、免除、赞成、审核、放行、许可、弃权、特权、批准及类似行为和文件。

1.7 "Contract" means this Contract, including the Annexes attached hereto. “合同”系指此本合同，包括有关合同附件。

1.8 “Contract Documents” means the documents comprising the Contract. “合同文件”系指组成本合同的文件。

1.9 “Day” means calendar day“日” 系指日历日。

1.10 “Dissolution” of a person includes the bankruptcy, insolvency, liquidation, winding-up, administration or dissolution of that person and the appointment in respect of that person or any of its assets of a receiver, administrator, manager or similar officer and any proceeding or event which is equivalent or analogous to any of the same by whatever name known and in whatever jurisdiction and any step taken for or with a view to any of the foregoing. “解散”包括一方破产、无力偿还、清算、结束、代管或者解散，并指定该方或者其财产的接收人、管理人、经理或者类似人员，以及同前述相同或者类似的任何诉讼或者事件，不论前述是以何种名义和在任何司法管辖下采取何种措施来进行的。

1.11 “Effective Date” means the date first written above. “生效日”系指本文文首所载日期。

1.12 “EPC Contractor(s)” means the engineering, procurement and/or construction contractors employed by Owner for the implementation of the Project. “EPC承包商”系指受雇于业主、负责实施项目的设计、采购和/或施工工作的各承包商。

1.13 “Good Industry Practice” means those practices, methods, standards, techniques and acts engaged in, as are generally considered good practice in the international petrochemical and oil refinery industry for projects similar to the Project and as are expected to accomplish the desired result in an economic manner and consistent with reliability, safety, environmental protection and law, as such practices, methods, standards, techniques and acts may change from time to time. “良好行业作法”系指在国际石化和炼油行业中的那些与本项目类似的项目中所采用的、通常被视为良好实践的作法、方法、标准、技术和行为。同时，在这些作法、方法、标准、技术和行为发生变化时，仍能经济地并能够在符合可靠性、安全性以及环保和法律要求的条件下获得所需结果。

1.14 “Incentive Scheme” means the scheme set forth in Annex I. “奖励机制”指附件I中规定的奖励机制。

1.15 “Integrated Project Management Team” or “IPMT” means the combined project team comprised of PMC Contractor’s and Owner’s personnel. “一体化项目管理组”或称“IPMT”系指由项目管理承包商和业主人员组成的联合项目组。

1.16 “Intellectual Property Right” means copyright, patent, registered design, design right, service mark, trade mark, trade name, trade secret or other intellectual property right or any right similar or analogous to any of the foregoing or any right or interest of any kind arising out of or created in respect of any of the foregoing or any right to bring an action for passing off or any similar or analogous proceeding, in each case in or of any jurisdiction whatsoever. “知识产权”系指版权、专利、注册设计、设计权、服务标记、商标、品名、商业秘密或者其它知识产权或者与前述相同或者类似的任何权利，或者因前述任何内容而形成或者创造的任何种类的权利或者利益，或者针对侵犯知识产权在任何司法管辖区起诉的权利或者任何相同或者类似诉讼的权利。

1.17 “Liability” includes any cost, expense (including attorneys’ fees and court costs), damage, injury, loss claim, action, demand, proceeding, cause of action, or liability whatsoever. “责任”包括任何成本、费用（包括律师费用和诉讼费用）、损害、伤害、损失、索赔、诉讼、要求、控诉、诉因或者任何种类的责任。

1.18 “Mechanical Completion” or “MC” means that the Plant(s), facility, system and all its components including buildings, structures, equipment, instrumentation and control systems, utility systems, civil works, communications and computer systems, and other components, systems, or subsystems have been installed and completed in accordance with design, precommissioned and accepted in writing by Owner. This includes correction and completion by PMC Contractor or Other Contractors, as the case may be, and acceptance by Owner of all items identified as incorrect or incomplete during the turnover inspection process with the exception of minor incomplete items such as non-critical insulation and painting as agreed in writing by the Owner. Facilities or systems provisionally turned over to Owner at Owner’s request for precommissioning and Commissioning must also be accepted by Owner. In general the Plant, facility, or system must be ready for use, occupancy, and safe operation with the introduction of process fluids, hydrocarbons, and chemicals as applicable to it. “机械完工”或称“MC”系指包括厂房、构件、设备、仪表及控制系统、公用工程系统、土建工程、通信和计算机系统以及其它组件、系统或子系统在内的装置、设施和系统及其所有组成部分已按照设计要求完成安装和预投料试车并由业主书面确认已通过业主验收。视具体情况，此项工作还包括由项目管理承包商或其他承包商对所有那些在中交检查过程中被认定为有缺陷或未完工项目所实施的整改和完善工作通过业主验收，但经业主书面同意的一些次要未完工项目除外（例如非关键保温和油漆工程）。应业主要求，临时交付给业主进行预投料试车和投料试车的设施或系统也必须经过业主验收。简而言之，装置、设施或系统必须在引入有关工艺流体、碳氢化合物和化学品的情况下具备了投用、投料和安全运行条件。

1.19 “Milestone(s)” means the events identified as such in Annex G. “节点”指附件G中规定的事件。

1.20 “Milestone Completion Certificate” is defined in Article 4.2.2. “节点完工证书”的定义见4.2.2条。

1.21 “Other Contractors” means all persons (other than the PMC Contractor) engaged by the Owner in connection with the Project and all subcontractors of every tier to all such persons, including all persons engaged to provide engineering, procurement and/or construction services or works. “其他承包商”系指由业主雇佣的、参与本项目建设的所有人（项目管理承包商除外）及其各级分包商，包括提供设计、采购和/或施工服务或工作的所有人。

1.22 “Phase 1 is defined in Article 2.2. “第一阶段”的定义见2.2条。

1.23 “Phase 2” is defined in Article 2.2. “第二阶段”的定义见2.2条。

1.24 “Plant(s)” means the plant or plants that form or will form part of the Project. “装置”系指组成本项目或者构成本项目一部分的一套或多套装置。

1.25 “PRC” means the People’s Republic of China. “PRC”系指中华人民共和国。

1.26 “Precommissioning” means the cleaning, testing, reinstatement or reassembly, preparation, leveling and alignment, demonstration of correct installation, hookup, functionality, and removal of temporary supports, bracing, and transportation related packing material as is applicable to that particular Plant, equipment, system, or facility in accordance with established Project procedures and Good Industry Practice. It also includes installation of internals, lubricants, desiccants, and catalysts, unless otherwise required by Owner for reasons of safety, instability, or potential deterioration, and “Precommissioned” shall be construed accordingly. “预投料试车”系指根据已确定的项目程序和良好的工业作法，针对某一特定装置、设备、系统或设施所进行的清洗、试验、复位或重新组装、准备、校平和找正、正确安装、连接、功能性验证以及临时支架、托架和运输包装材料的拆除等工作。另外，它还包括内部构件的安装、润滑剂、干燥剂和催化剂的装填，除非业主出于安全、不稳定性或者可能变质等原因另有要求；“预投料试车完毕”应作同理解释。

1.27 “Progress Report(s)” means the reports to be provided by PMC Contractor according to Annex J. “进度报告”系指项目管理承包商按附件J的要求提交的报告。

1.28 “Project” or “CNRP” means Owner’s project for the design, engineering, procurement, financing, construction, testing, commissioning, owning, operating, management and maintenance of the CNOOC South China Sea Refinery, as further described in AnnexA. “项目”或称“CNRP”系指进行BP炼油项目设计、工程、采购、融资、施工、试验、投料试车、所有权、运行、管理和维护的业主项目，详细内容见附件A。

1.29 “Ready for Startup” or “RFSU” means that all Plants, facilities, systems, subsystems, and components have been installed and completed in every respect, Precommissioned, Commissioned, and accepted by Owner as ready for the safe introduction of feed stocks, and chemicals for operation at design rates and conditions, that all documentation has been furnished to Owner in the required format (electronic or hardcopy), and all Consents within PMC Contractor’s scope of responsibility have been ob
