本合约由上列甲乙双方于中华人民共和国上海市订立。
　　This Agreement is made and entered into by and between the two parties in Shanghai, the people’s republic of China

鉴于甲方决定聘用乙方为其常年法律顾问，甲乙双方经友好、充分之协商，就聘请合约的条款及内容达成如下协议：
Whereas Party A decides to retain Party B as its long-term legal counsel, the parties agreed the following terms and conditions after friendly and thorough negotiation.

第一条 聘用与期间
　　Article 1 Retaining and service period
　　1.1 甲方聘请乙方作为常年法律顾问, 聘用期间为壹年，从 2016年1月1日至2016 年12月31 日;
　　Party A retains Party B as its long-term legal counsel, the service period is one year, from 1 January 2016 to 31 December 2016.
1.2乙方指定 、 作为主要联系人，负责跟进和处理甲方法律顾问事宜。
Party B assigns lawyer , as major coor dinators, they will be responsible for following law consulting affairs of Party A.

第二条 服务内容及费用
Article 2 Service content and service fees　
2.1 本合约期(一年)的法律顾问费共人民币 万元整，包括如下内容：
The legal counseling price of the agreement (One year) is RMB Yuan, the service content is as follows:
　 a) 法律咨询：解答法律疑问，提供法律建议，出具法律意见;
　　Legal consult: Answer legal questions, give legal suggestions, and give legal opinions.
　　b) 合同审查：起草审阅合同，提出修改意见，规范合同管理;
　　Review contract: draft and review contract, give amending suggestions, standardize contract management.
　　c) 参与决策：参与客户决策，提供法律依据，防范法律风险;
　　Participate decision: participate decision of the client, provide legal basis, and keep away legal risks.
　　d) 发函交涉：发出律师信函，代表甲方交涉，催促相关事宜;
　　Give letter to communicate: give lawyer’s letter, represent the client to deal with, press related issues.
　　e) 公开声明：受权发表声明，陈述甲方立场，澄清事实真相;
　　Public declaration: publish authorized declaration, states the opinion of Party A, clarify the facts.
　　f) 内部培训：修改规章制度，举办法律讲座，培训客户员工;
　　Internal training: modify rules and policies, hold legal seminars, and give training to employees of the client.
　　g) 其它约定.
　　Any other business agreed by both parties.　　
　　2.2 下列事务，甲方委托乙方办理的，须另付律师费.
a) If Party A consigns Party B to deal with the following affairs, Party A will pay additional attorney fee to Party B:
Party A has lawsuit or arbitration need to entrust Party B to on behalf of party A on court, including the first instance infringement or defense, second instance infringement or defense, Retrial appeal or defend. Domestic arbitration or international arbitration, appeal executing of sentence or arbitration, promote execution dispute. Apply national compensation etc,

2.3 以上乙方收取的法律服务费用不包括由法院或其他行政、事业机构收取的官方费用，如诉讼费、查档费、公证费等以及乙方为处理甲方事务去外地出差的差旅、住宿费等。
　　The above service fees charged by party B does not include fees charged by courts or other public authorities（filing fee, notary fee, fee of consulting archives etc.） and transportation and lodging costs incurred when party B needs to deal with affaires of party A outside of Shanghai.

　　第三条 服务方式
　　Article 3 service method
　　3.1 甲方获得或者乙方提供法律服务的方式或途径包括：
　　3.1 The ways and methods Party A got legal service from Party B:
　　a) 电话咨询; Phone consultation;
　　b) 面见商谈; Interview;　　
　　c) 书面意见; Written comments;　　
　　d) 参与谈判; Participate in negotiation;
　　e) 出庭诉讼; Appear in court to litigate;
　　f) 庭外协调; out of court settlement;
　　g) 代为交涉; Represent to deal with;
h) 其它方式。 Other methods.

　　第四条 保密义务
　　Article 4 Confidentiality obligations
　　4.1 任何一方在履行本合约过程中所获得的与另一方有关的任何信息，包括但不限于合同、资料、专业意见或其它商业秘密，非经授权或同意，不得以任何方式向第三方及双方各自无关人员传递泄露;
　　Unless authorized or agreed on by both parties, neither party shall disclose to any third Party or irrespective persons in either party any information about the other party including but not limited to contract, document, professional suggestions or other business secrets obtained during the execution of the agreements.
　　4.2 前项所列保密义务不因本合约的终止、解除、变更或废止而免除。
The above mentioned confidentiality obligation will not be waived after the termination, cancellation, amend or revoke of the agreement.

　　第五条 责任担保
　　Article 5 Warranties
　　5.1 甲方保证，其向乙方提供的文件、资料及事实真实、完整与全面，力免误导与失实;
Party A warrants that, all files, documents, affairs are complete and in accordance with the fact, should avoid misleading or inconsistent with the fact.
5.2 乙方保证，其向甲方提供的专业意见合法、准确。
Party B warrants that, the professional suggestions provided by party B is legal and correct.

第六条 付款
Article 6 Payment
　 甲方于本合约签订后3日内支付 元法律顾问费给乙方。乙方的收款账户为：
　　Party A shall pay the legal counseling fee of Yuan to Party B within 3 days after the agreement signed by both parties. The bank account of party B is:

第七条 合约的终止
Article 7 Termination of the agreement
7.1本合约期届满，则本合约终止。若一方决定续签合约，应在合约到期前一个月通知对方。
The agreement will terminate on expiration. If one Party decides to extend the agreement, he should notify the other party one month before expiration.
7.2 本合约终止时，甲方在合约终止前委托乙方办理的事情未处理完毕的，乙方须将事情处理完毕。
When the agreement is terminated, party B should finish the affairs which Party A has consigned Party B to deal with before expiration of the agreement.

　　第八条 争议解决
　　Article 8 Dispute settlement
　　8.1 本合约在履行过程中若发生争议，双方应友好协商妥善解决，若协商不成，双方可以向被告方所在地法院提起诉讼。
　　Any dispute arises during the execution of the agreement, both parties will settle them by friendly negotiation, if not settled by mutual agreement; both parties could submit the case to the court where the defendant is located.
　　8.2 本合约及与本合约有关的争议，均适用中华人民共和国法律。
The laws of the People’s Republic of China shall govern this agreement and any disputes related with the agreement.

　　第九条 合约的生效
　　Article 9 Effective date of the date
　　9.1 本合约一式二份，经双方代表签字或盖章后生效。
　　This Agreement has two copies, shall become effective when signed by the representative or stamped by the two parties
　　9.2 本合约未尽事宜，双方另行协商，签订补充协议。
　　Other miscellaneous items uncovered in this agreement will be negotiated by both parties and sign appendix agreement.
