CAR RENT LEASE AGREEMENT
This agreement is made between
出 租 方 名 称 , address 出 租 方 地 址 hereafter called as “the Lessor”
And
CCECC Mieso-Dawanle Railway Project ( 几部 )address Dire Dawa Melka-Jebdu, hereafter called as “the Lessee”
The contracted parties agreed on the following terms and conditions:

Article One
Objective of the Contract
1.1 This agreement is signed by the two parties for governing the rent of several vehicles by the Lessor to the Lessee. Pursuant to this contract, the service provider undertakes the transportation of CCECC MDRP employee.

Article Two
Agreement Extension
2.1 By mutual understanding of the two contracting parties, this agreement could be extended for further period. A short amendment mentioning the new agreement duration and signed by both parties would then official the extension of this agreement.

Article Three
Rent and Payment
3.1 Both the Lessee and the leaser agreed on a daily rent mentioned in the above table and the payment is without fuel. The payment will be made on monthly basis after the leaser provided service to the Lessee.

Article Four
Parties’ obligation
4.1 Lessor’s Obligations
4.1.1 The Lessor will put at the disposal of the Lessee the above mentioned vehicle in good working order and in safe condition together with a suitably qualified driver, the designated drivers needs to be on duty from 7:00 am to 18:30pm (from morning 1:00 to 12:30 local time). If the Designated driver is absent from his duty the Lessor will pay 2 days rent penalty.
4.1.2 The responsibility of meeting all legal requirements of the vehicles is the sole responsibility of the Lessor. The cost of legal formalities like: Insurance, taxation and other related costs will be met by the Lessor. The Lessor agreed that only authorized personnel, materials, goods or other items authorized by the Lessee will be transported.
4.1.3 The Lessee has the right to deduct same amount of money from the payment for misconduct such as theft in the construction site by the operator assigned from the Lessor.
4.1.4 In the event breaking down the Lessor shall make all necessary arrangements for a replacement of another vehicle to be used by the lessee while the leased vehicle is being repaired. The Lessor will pay for all maintenance costs.
4.1.5 The Lessor will be fully responsible for accommodation and food expenses of the driver.
4.1.6 In case of accident, the cost of repair, replacement of damaged parts, and any associated costs will be borne by the Lessor.
4.1.7 Transportation of contraband or items not approved by the Lessee is strictly prohibited.
4.2 Lessee’s Obligations
4.2.1 The Lessee bears no responsibility for any theft, commandeering or hijacking of the vehicle, or any part of it, during the period of this contract.
4.2.2 The Lessee will be responsible for providing fuel to the vehicle during this agreement period.
4.2.3 The logistics/Fleet personnel from the Lessee will manage the driver in his day-to-day activities. This includes setting working conditions and hours of duty and arranging all movements that the vehicle makes.
Article Five
Contract Termination
5.1 The contract can be terminated by either party before the expiry of the period stated in article two by providing 3 days notice in writing or by oral.

Article Six
Dispute Resolution mechanism

6.1 That if any dispute arises in connection with or under this Contract between the Parties hereto, the matter shall be resolved amicably by negotiations.

6.2 If either party be dissatisfied with the amicable settlement, the court A/A of
Jurisdiction the dispute arises gives a final decision according to the low of Ethiopia.

This agreement is prepared and agreed in English in two originals one each to be kept with the parties, each of which shall have the same status. Parties may have it translated in any language for ease of reference or understanding. However in case of ambiguity or interpretation, the English language will have preference over the other languages.

In witness whereof, the undersigned duty authorized there to, have signed this agreement on behalf of the parties here unto the day and year written above.
