Appointment:The Agent shall be appointed the ship repair agent in area _2. Duties of the Agent:The Agent shall:(1) Request price enquiries for vessels and ship-repairing from ship-owner of Area and redirect them to SUNSHINE;(2) Advise on general market conditions in the Area;(3) Assist in the arrangement of business activities of sales personnel;(4) Regularly conduct market research on behalf of the manufacturer;(5) Assist the manufacturer (without involvement in legal proceeding unless otherwise agreed upon) in the collection of debts;(6) Report on his activities in the Area to SUNSHINE in the agreed form.3. The Area: For the purpose of clarification, SUNSHINE shall send to the Agent a list of owners in the Agents Area and the Agent shall review this list suggesting any additions or amendments which SUNSHINE shall then consider. In the event of any dispute between Areas arising as to whether a particular vessel shall be considered for commission, SUNSHINE shall be the sole arbitrator to give final judgment according to the situation.4. Commissions: SUNSHINE shall pay _% of the total vessels repair fee to the Agent in the region commissions. Commissions for bulk contracts shall be decided upon separately; payment terms 5% of commission shall be paid first while the remaining part shall be paid after the receipt of the vessels repair fee. Whenever commissions are needed to cover owners brokers and third Party middlemen, etc., the agent shall advise SUNSHINE in advance and the commission will be paid at Sunshines discretion.5. Expenses:(1) Visit to SUNSHINE at a time to be fixed by SUNSHINE;(2) Exceptional costs of communications (long faxed, specifications, etc.);(3) Costs incurred during Sunshines sales visit to the area.6. Duties of SUNSHINESUNSHINE shall:(1) Supply the Agent with samples and other promotion materials;(2) Supply the Agent with lists of vessels of important customers of the improvement of sales;(3) Inform the Agent of any direct approaches to owners concerning vessels within the Area;(4) Send to the Agent copies of all principal documents exchanged with owners on condition that all information shall be kept confidential.7. Limits of Authority: The Agent shall have no right to intervene with SUNSHINE either in terms of price, time specification or other conditions of contract; The acceptance of business shall be at the sole discretion of SUNSHINE.8. Conflict of Interest: The Agent hereby declares that the agent shall not represent any other ship-repairing yard that is or that could reasonably be constructed as being in conflict with Sunshines interest during the period of the Agreement. The Agent therefore agrees to consult with SUNSHINE before entering into any agency contract. The agent undertakes that he shall not, without the consent of SUNSHINE, disclose to any third Party information that could be prejudicial to Sunshines commercial dealing.9. Termination: Either Party can terminate this Agreement by a three-month notice in writing; Commission shall be payable on all ships steamed during the period of the Agency Agreement whether they arrive in the shipyard or nor during that period.10. Divulgence of Companys Affairs: The Agent shall, during and after the period of their Agreement, undertake that he shall not divulge to any other Party any information concerning SUNSHINE of a confidential nature without the prior consent of SUNSHINE.11. Arbitration: In the event of any dispute concerning the interpretation of this Agreement between the two Parties other than that referred to in clause 3, the dispute shall be referred to a single arbitrator agreed upon by both Parties should they fail to reach an agreement.
