ARTICLE 1: SCOPE OF APPLICATION第一节：适用范围
1.4 MERIAL, E.P.C.M. and SUPPLIER 　梅里亚，美滋威尔和供应商
In construing the Order the following words and expressions shall have the following meanings hereby assigned to them.在发布命令的过程中，以下的文字和表达在签署时将表示以下的意思。
‘E.P.C.M.’ means M+W ZANDER (Shanghai) Co., LTD., who is responsible to MERIAL for provision of the engineering, procurement and construction management services in accordance with the CCAG and CCAP for Order of Engineering Service; and shall provide engineering, oversight and management services to the Works, and test and examine any of the facilities, equipment, machinery, tools, apparatuses or workmanship used and adopted in connection therewith.ＥＰＣＭ表示美滋威尔（上海）有限公司，他将对梅里亚负责，根据专门管理条款和总管理条款条件的关于工程服务命令的管理规定提供工程，采购和施工管理服务，同时需要提供工程建造，检查和管理服务，测试和检查所有的设施，设备，机械，工具仪器和在连接工作中需要的使用的工作间。
1.4.1 MERIAL shall carry out such duties in issuing certificates, decisions, instructions and orders as are specified in the Order.梅里亚需要执行在决议中规定的下列工作，发布证书，决定，说明和决议。
Whenever the above-mentioned certificates, decisions, instructions and orders are to be issued to the SUPPLIER, MERIAL shall address the same to the SUPPLIER, copying the E.P.C.M.以上所提及的任何证书，决定，说明和决议需要签署发布给供应商时，梅里亚应该致函相同的内容给供应商，并且将复印版给美滋威尔。
1.4.2 The E.P.C.M. shall be responsible to MERIAL for provision of the engineering, procurement and construction management stipulated in the CCAG and CCAP for Order of Engineering Services entered into by and between MERIAL and the E.P.C.M. and shall provide engineering, oversight and management services to the Works, test and examine any of the facilities, equipment, machinery, tools, apparatuses or workmanship used and adopted in connection therewith.　美滋威尔将对梅里亚负责，根据专门管理条款和总管理条款条件的由美滋威尔和梅里亚双方之间的关于工程服务命令的管理规定提供工程，采购和施工管理服务，同时应该提供工程建造，检查和管理服务，测试和检查所有的设施，设备，机械，工具，仪器以及在连接工作中需要使用的工作车间。
In this regard, the E.P.C.M. can issue certificates, decisions, instructions and orders as are specified in the Order to be issued by MERIAL, on MERIAL’s behalf per MERIAL’s request and such certificates, decisions, instructions and orders shall be copied to MERIAL and shall have the same effect as being given by MERIAL except for those concerning matters of increasing and decreasing in the costs to the Order. In any case, such certificates, decisions, instructions and orders concerning matters of increasing and decreasing in the costs to the Order shall be approved by MERIAL in writing in advance with MERIAL’s authorized signature of approval.在这点上，根据梅里亚的要求，美滋威尔能够代表美滋威尔签署发布证书,决定，说明和在决议中规定的决议。除了在增加和减少有关决议的费用外，美滋威尔签署的上述文件和美滋威尔签署的具有同等的作用。在任何情况下，这些证书，决定，说明和跟增加和减少成本的决议有关的事情必须由事先带有梅里亚同意的行政签字的书面批准证明。

Any delegation or revocation shall be made in writing. MERIAL shall furnish to the SUPPLIER a copy of any such written delegation or revocation. Any written decision, instruction, order or approval given by the E.P.C.M. to the SUPPLIER in accordance with such delegation shall have the same effect as though it had been given by MERIAL.任何授权和撤销都必须是书面的文件。梅里亚应该供应给供应商一份复印的授权和撤销的文件。任何的书面的决定，说明，决议和美滋威尔提供给供应商的批准如果已经提交给梅里亚，那么包括这些内容的授权将和梅里亚具有同等的效用。
If the SUPPLIER disputes or questions any certificate, decision, instruction or order issued by the E.P.C.M., the SUPPLIER may refer the same to MERIAL who shall confirm, reverse or modify such certificate, decision, instruction or order in accordance with Article 1.4.6.如果供应商对美滋威尔发布签署的任何证书，决定，说明和予以有争议和怀疑，供应商可以向梅里亚回报，并且梅里亚应该根据第１·４·６条款进行证实，推翻和修改这些证书，决定，说明和决议。
1.4.4 The SUPPLIER shall proceed with the Order in accordance with any decisions, instructions and orders given by MERIAL which are issued to the SUPPLIER, copying the E.P.C.M. and the decisions, instructions and orders given by the E.P.C.M. in accordance with the CCAG, 　供应商应该根据梅里亚签署给承包商的任何决定，说明和决议着手进行工作，根据总管理条款和条件，对美滋威尔和美滋威尔给予的决定，说明和决议进行复制备份。
1.4.5 The SUPPLIER may request MERIAL or the E.P.C.M. to confirm in writing any decision, instruction or order from MERIAL or the E.P.C.M. which is not issued in writing. The SUPPLIER shall make such request in writing without undue delay. In any case, such request shall be submitted to MERIAL, copying the E.P.C.M within 14 days from the date of receiving such decision, instruction or order. Such decision, instruction or order shall not become effective until written confirmation from MERIAL has been received by the SUPPLIER.供应商可以要求梅里亚和美滋威尔对那些来自梅里亚和美滋威尔的没有进行书面签署的任何决定，说明和决议进行书面的证实。供应商提出这些要求应该提出书面要求，并且不能进行过度延误和推迟。在任何情况下，这些要求应该提交给梅里亚，并且在接到这些决定，说明和决议的十四天内复制给美滋威尔。这些决定，说明和决议只有在梅里亚收到供应商的要求后作出书面的证实以后才能生效。
1.4.6 If the SUPPLIER disputes or questions any decision, instruction or order from the E.P.C.M. in writing or written confirmation issued by MERIAL under Article 1.4.5 (Confirmation in Writing), the SUPPLIER shall give a written notice to MEIRAL, copying the E.P.C.M., providing the reasons within 14 days after receiving such decision, instruction, or order from the E.P.C.M. or written confirmation from MERIAL. MERIAL shall within 14 days after receipt of written notice from the SUPPLIER, revert to the SUPPLIER, copying the E.P.C.M. to confirm, reverse or change such decision, instruction or order. The written replies from MERIAL mentioned above shall be final and binding on the SUPPLIER and the E.P.C.M. and the SUPPLER shall act based upon such replies from MERIAL, otherwise, the SUPPLER shall take all the relevant responsibilities. 如果供应商对美滋威尔的书面的或者是梅里亚根据条款１·４·５（书面确认）签署的书面确认书的任何决定，说明和决议存在争议和疑问，供应商应该提供给梅里亚一个书面的通知，并且复制给美滋威尔，在收到这些来自美滋威尔和梅里亚书面确认的决定，说明和决议的是四天内提供理由。梅里亚在接到来自供应商的书面通知的十四天内，，应该给予供应商答复，并且复制给美滋威尔进行证实，推翻或者是改变这些决定，说明和决议。这些来自梅里亚的上面提到的书面回复应该是最终的并且对供应商有约束力的。美滋威尔和供应商应该根据来自梅里亚的回复开展工作，另外，供应商应该承担所有的相关责任。
1.4.7 All correspondences between the E.P.C.M. and the SUPPLIER shall be copied to MERIAL simultaneously. All correspondences between the SUPPLIER and MERIAL shall be copied to the E.P.C.M. as well. 所有的美滋威尔和供应商的信件都应该同时复制给梅里亚。所有的梅里亚和供应商的信件也相应的要复制给美滋威尔。
1.4.8 Whenever the SUPPLIER is required to issue certain notice, submit for approvals or confirmation, or reply under the CCAG, the SUPPLER shall send its correspondences directly to MERIAL, copying the E.P.C.M.任何时候，当供应商被要求签署发布相应的通知，提交批准和认证，或者是总管理条款和条件下的回复，这些供应商都应该将这些信函直接交给梅里亚，复制给美滋威尔。
1.4.9 Wherever under the CCAG, the E.P.C.M. as MERIAL’s representative, is required to exercise his discretion:在总管理条款和条件的约束管理下的任何时候，美滋威尔作为梅里亚的代表，被要求实行他的自我判断力：
(a) by giving his decision, opinion or consent;　给予他的决定，意见和承诺时

ARTICLE 2: THE ORDER’S CONDITIONS决议条件

The following documents shall be deemed to form and be read and construed as part of the Order between the parties. In case of discrepancies, the priority of the following documents shall be in accordance with the following sequence:以下的文件应该构成双方决议的一部分。当有任何矛盾时，以下文件的优先权应该按照以下的顺序

1. the Specific Administrative Terms and Conditions (CCAP);专门管理条款条件
2. the Specific Technical Terms and Conditions (CCTP);专门技术条款条件

4. the General Administrative Terms and Conditions (CCAG).通用行政管理条款条件

All the general terms and conditions in respect of building work or infrastructure issued by the SUPPLIER shall not applicable to the Order. 所有的关于供应商签署的房屋工程和基础设施的通用条款条件不适用于决议。

The SUPPLIER shall be deemed to have inspected and examined the Site and its surrounding and to have been satisfied as far as the Works can reasonably be carried out under the condition of and all circumstances affecting the Site (including any safety regulations of MERIAL applicable thereto), and to have examined the Order documents, specifications, drawings, schedules, plans and information as may be annexed thereto or referred to therein before submitting the Tender.供应商应该监督和检查现场和周围的情况，满意的标准是至少确保工程能够在这样的条件和与现场（包括梅里亚适用于那里的安全规章制度）的环境下顺利实施。应该在提交标书前检查决议文件，规范说明书，图纸，日程表，计划表和所有附录和与此有关的信息。

The SUPPLIER shall be deemed to have obtained and prudently reviewed such data on climatic, hydrological, soil and general conditions of the Site and for the operation of the Works as MERIAL has made available in writing to the SUPPLIER for the purposes of the Tender. The SUPPLIER shall be responsible for interpreting all such data provided by MERIAL.

供应商应该获得并且谨慎的审阅那些关于气候，水利，土壤和现场的一般情况，以及那些梅里亚写给承包商的有效文件中为了使工地正常运行的需要审阅的所有其他情况。供应商应该负责将梅里亚提供的资料进行翻译。
ARTICLE 3: PROVISION OF THE ORDER’S DOCUMENTS　第三节；决议文档的提供

ARTICLE 5: SUB-CONTRACTING 第五节　分包
In addition to the obligations specified in the CCAG, any subcontractor nominated by the SUPPLIER shall obtain the written approval from MERIAL before it starts its work on the Site in respect of this site preparation mission under the Order.除了履行通用管理条款条件中规定的职责以外，任何由供应商提供的分包商都应该在他在现场开始工作前获得梅里亚的书面批准，尊重在决议下这个工地的准备工作任务。

ARTICLE 6: REPRESENTATIVES OF THE PARTIES第六节：　双方的代表

ARTICLE 7: PREPARATION OF IMPLEMENTATION OF THE ORDER 决议实施的准备工作
Notwithstanding approval by MERIAL of drawings, samples, patterns, models or information submitted by the SUPPLIER, the SUPPLIER shall be responsible for any errors, omissions or discrepancies contained therein.
尽管供应商提交的图纸，样品，图案模式，模型和信息已经获得梅里亚审批，但是供应商依然要对其中的错误，疏忽或者是里面包括的差异负责。
The SUPPLIER shall bear any cost he may incur as a result of delay in providing such drawings, samples, patterns, models or information or as a result of errors, omissions or discrepancies contained therein. The SUPPLIER shall at his own expense carry out, or bear the reasonable cost of, any alterations or remedial work necessitated by such errors, omissions or discrepancies for which he is responsible and modify the drawings, samples, patterns, models or information accordingly to the satisfactory of MERIAL. The performance of the SUPPLIER’s obligations under this Article shall be in full satisfaction of MERIAL but shall not relieve the SUPPLIER of any of his liability under Article 14 (Penalties).

ARTICLE 8: TECHNICAL CONDITIONS FOR WORK EXECUTION -– INSPECTIONS第八章：工作执行的技术条件

ARTICLE 9: SITE INSTALLATION　第九章　现场安装
The following items: 1) general site security; 2) general site safety; 3) general site cleaning; 4) general site insurance and 5) temporary site electrical power and water supplies will be provided by MERIAL but the fees for MERIAL’s provision of such items shall be charged to the SUPPLIER equal to 0.5% of the total amount of the Order (the Contract price).

ARTICLE 11: HEALTH AND SAFETY OF SITES & STAFF AND LABOUR
第十一章：　现场和员工以及劳动力的健康和安全
Unless otherwise provided in the Order, the SUPPLIER shall be responsible for the adequacy, stability and safety of his operations on the Site and shall comply with MERIAL’s safety regulations applicable on the Site unless specifically authorized by MERIAL to depart therefrom under any particular circumstances. However, in any case, the nature and scope of the responsibility of the SUPPLIER or its subcontractor regarding health and safety of the Sites, staff and labour under applicable labour laws and regulations shall not be waived or affected by such departure. A copy of a Safety Management Manual will be provided to the SUPPLIER prior to commencement of the Works and the SUPPLIER hereby undertakes to comply with such Safe Management Manual through the course of his performance of the Order.

ARTICLE 14: TIMESCALE for Execution of the Order - PENALTIES

14.3.3 In the event of a delay in executing any Works by the SUPPLIER under the Order, the SUPPLIER shall be subject to a penalty of 0.5% of the Contract price per each calendar day of delay (subject to a maximum limit of 10% of the Contract price). Such delay penalties shall be applied where the SUPPLIER fails to meet the major key milestone dates as listed below (Key Milestone Dates). Days on which delay penalties imposed shall be inclusive of Saturdays, Sundays and Public Holidays. The payment of delay penalties shall not release the SUPPLIER from his obligation to deliver the work items listed below. In the event the SUPPLIER delays in delivery of any work item listed below for a period over three (3) months, MERIAL has the right to unil
