This supplementary agreement is signed by the Supplier (hereinafter called “SUPPLIER”) and the Buyer (hereinafter called “BOSCH”) based on the main Purchase Contract ( ) with friendly consultation, under the principle of fair cooperation, mutual benefit for both parties.
供应商（以下简称“供应商”）和采购商（以下简称“博世”）在双方签订的主采购合同( )基础之上，经友好协商，本着平等合作、互惠互利的原则签订本补充协议书。

1. Consignment Stock Model – Automatic Production
库存运转模式 – 自动生产

Definition of Goods or Product: The “Goods” or “Product” under this Agreement refer to all types of products ordered by “BOSCH” from the SUPPLIER. The detailed products information shall refer to the main Purchase Contract and “Purchase Order” from BOSCH.
“货物”或“产品”定义：本协议所称“货物”或“产品”，指由博世向供应商订购的各类产品，具体产品信息见双方主采购合同及博世下达之“采购单”。

The SUPPLIER should automatically and timely arrange the production of the consignment stock and make the related material planning according to the “Demand Forecast” (see the Annex 1) given by BOSCH 30 days in advance.
供应商根据博世提前三十天时间提供的《需求预测表》（参见附表一）自动及时地安排库存的生产和相关的备料计划。

Under this Agreement, the SUPPLIER shall bear all taxes and fees/costs relating to the stock, such as storage fee, water and power fee, stock and property insurance premium etc by itself.
本协议下供应商自行负责货物备库所需的税费/成本，如仓储费、水电费及货物和财产保险等费用。

2. Demand Forecast
《需求预测表》

The first week of each month, the list “Demand Forecast” will by updated by “Production Planning Department” of BOSCH (hereinafter called “BOSCH/MFO”) and then given to the SUPPLIER by fax.
每个月的第一周，博世生产计划部对《需求预测表》进行更新，并以传真的方式提供给供应商。

The list “Demand Forecast” shall include the demand forecast of at least three months, for each month there is an upper limit and a lower limit. Among which, the first month is fixed quantity, which should be taken by the SUPPLIER as the basis for production of consignment stock. The second and third month is only forecast quantity and not binding, which should be taken by the SUPPLIER only for the purpose of future material planning
《需求预测表》应至少包含三个月的预测需求量，每个月的数量均有一个上限数量和一个下限数量。其中，第一个月的数量为固定数量，作为供应商库存生产的依据。第二、第三个月的数量为预测数量，不具约束力，仅为供应商制定日后备料计划预测用途。

The SUPPLIER must make sure that the upper and lower limits required by BOSCH can be met accordingly. In principle, the consignment stock reaches the lower level, the SUPPLIER should start to replenish the stock level. Adversely, when the consignment stock exceeds the upper level, the SUPPLIER should reduce the stock level to a reasonable level by adjusting their production plan.
供应商必须保证满足博世的上下限要求。原则上，当供应商的库存降至下限要求时，供应商应开始补库；反之，当供应商的库存超过上限要求时，供应商应通过调整生产计划，将库存水准降至合理的水准。

3. Delivery and Transportation
发货与运输

The delivery shall be arranged by the SUPPLIER according to the Fourth Shift “Purchase Orders” issued by BOSCH/MFO 1 ~ 2 days in advance by fax. The related “Purchase Orders” include the codes, type descriptions, quantities, required delivery date, unit prices and amounts of the cargo etc. Such “Purchase Orders” only become effective after signed by the duly representative of BOSCH. For any delay in goods delivery, the SUPPLIER shall compensate economic losses if any caused to BOSCH’s production thereof.
供应商根据博世生产计划部提前一至两天提供的四班“采购单”(传真件)安排发货。“采购单”的内容包括产品代码、产品型号、数量、要求交货日期、单价、金额等内容。该类“采购单”须经采购商的有效授权代表签署方为生效。如延期交货，应向博世承担因此影响博世生产而造成的经济损失。

The SUPPLIER is responsible to deliver the required goods to the warehouse (or assembly line) of BOSCH at the required dates, this means, transportation expenses from SUPPLIER’s warehouse to BOSCH’s warehouse shall be paid by the SUPPLIER.
供应商负责按照博世的具体要求，在指定的日期将货物运送至博世的仓库(或总装生产线上)，亦即，供应商承担从其仓库至博世仓库(或总装生产线)之间的运费费用。

The goods delivered by the SUPPLIER to BOSCH must be the ones, which have been released by “Quality Assurance Department” of BOSCH (hereinafter called “BOSCH/QAS”) and also tally with the related Purchase Orders of BOSCH/MFO. The paper showing the information about the related release by BOSCH and the copy of “Purchase Order” should accompany with the delivery of SUPPLIER. The warehouse (or assembly line) of BOSCH accepts the delivery by “Release Paper” and “Purchase Order” involved.
供应商的交货必须是博世质检部已经放行了的产品，且与博世的采购单相吻合。“产品放行证明” (复印件)和“采购单” (复印件)应随货同行。博世的仓库(或总装生产线)凭“采购单” (复印件)和“产品放行证明” (复印件)办理货物的接收。

4. Release of Products
产品放行

Each batch of products manufactured by the SUPPLIER have to obtain the release approval from BOSCH/QAS. How to release the related products (random check or batch-by-batch check) is subject to the decision of BOSCH/QAS
供应商生产的每一批产品，均要获得博世质检部的放行许可。是百分之百每批检验放行，还是抽查检验放行，取决于博世质检部的决定。

In case of quality checks of 100% batches, when the production is finished by the SUPPLIER, Quality Assurance Department of “BOSCH” send the IQC-people to the place of the SUPPLIER to make the quality check at the SUPPLIER according to the time schedule agreed by both sides.
百分之百检验放行时，供应商完成生产之后，根据双方确认的时间表，博世质检部派人到供应商所在地进行产品的质量检查。

In case of random checks, it is a must for the SUPPLIER to get the original written copy or fax release from BOSCH by offering their full sets of inspection reports by original written copy or fax.
抽查检验放行时，供应商必须通过书面原件或传真向“博世”质检部提供全套的质检报告，以取得博世质检部的放行许可（书面原件或传真）。

No matter which checks mode is taken by the representatives of relevant department of BOSCH, the release of products shall not exempt the liability of the SUPPLIER for those internal and intangible defect existing in products
不论博世相关部门代表对产品采取何种检验方式并予以放行，但并不能免除供应商应承担的所有产品内在隐蔽的质量缺陷或瑕疵责任.

When the SUPPLIER has worked out the production plan based on the “Demand Forecast” of BOSCH, the SUPPLIER is responsible to inform BOSCH/QAS and BOSCH/MFO earlier enough in advance about the detailed time schedule for when the quality audit can be carried out. BOSCH/QAS is responsible to fix the audit date accordingly, or get the dates acceptable to both sides through mutual negotiations.
当“供应商”根据“博世”提供的《需求预测表》制定出生产计划之后，“供应商”负责提前足够的时间通知“博世”的质检部和生产计划部可以开始产品质量的检验时间。“博世”质检部负责确定质量检验的日期，或者通过协商决定质量检验的日期。

5. Warehousing of Products

产品的仓储

The SUPPLIER should arrange a separate place for the consignment stock. Only those products, which have been released by BOSCH/QAS, can be stored in the assigned place at the SUPPLIER. The stock should be provided with the correct and clear labeling containing BOSCH code, type description, production batch and quantity etc.
“供应商”应安排一个专门的地方存放货物。只有那些获得了“博世”质检部放行了的产品，才能存放在这个专门的地方。库存的产品应有博世代码、产品型号与名称、生产批次、数量等标识。

Without agreement of BOSCH, it is not allowed for the SUPPLIER to move or exchange any consignment stock, which has been released by BOSCH.
未经博世同意，供应商不得随意搬动或调换已检验合格的产品。

The SUPPLIER should make sure that the storage of the qualified products matches the dust-proof, moisture-proof and sunshine-proof conditions and environmental and fire protection etc. requirements of the national standard.
供应商应确保存放检验合格后的产品的仓库，应防尘、防潮、防晒，并满足此类产品存放的国家环保及消防等方面要求。

The SUPPLIER should have an Inventory Management System capable measuring inventory turns and stock level of the parts, ensuring the stock rotation on a “First In First Out” (FIFO) principle and supporting consignment stock, Ship to Stock (STS) or Ship to Line (STL) deliveries.
供应商应有一个可以监测仓库周转、库存水准的仓库管理体系。货物的出仓必须满足先进先出”之基本原则，并按照需要供货至博世仓库或总装生产线上。

The SUPPLIER shall take a proactive approach and communicate all potential delivery problems before they affect current BOSCH stock levels and production planning/arrangement.
供应商应建立一个有效的预防和沟通机制，防范潜在的交货问题影响博世的库存水准和生产计划/安排。

6. Change of Design
设计更改

If the design of outsourcing parts have to be changed by BOSCH, BOSCH will inform the SUPPLIER one-month in advance. BOSCH is only responsible for the fixed quantities of the first month and non-common-parts of second month, the costs for the above modifications have to be negotiated by both parties；While the SUPPLIER shall be responsible for the rest forecast quantities by itself.
当外购件或外协件需要更改时，博世将提前一个月通知供应商，同时只负责预测表中固定量及第二月中专用件的数量，上述更改所需费用由双方协商解决；其它预测量由供应商自行处理。

7. Payment
货款支付

The detailed conditions of payment are subject in the main Purchase Contract signed by both parties.
合同产品的具体支付条款，参照双方签订的主采购合同。

8. Quality Assurance
质量保证

The quality assurance of the related products is subject to the Quality Agreement and Instructions on Quality Assurance signed by both parties.
产品的质量保证，根据双方签订的《质量协议》和《供应商质量保证指南》。

9. Adjustment of BOSCH-Orders
博世订单的调整

When the total quantities of actual “Purchase Orders” issued by BOSCH are exceeding the upper limit mentioned in the “Demand Forecast”, the supplier should ensure to arrange the production of the over-parts as first priority.
当博世的实际采购单大于《需求预测表》的上限时，供应方应保证在生产安排中优先完成，并制定出相关的处理方案，以满足要求。

When the total quantities of actual monthly “Purchase Orders” issued by BOSCH are less than the given lower limit, the SUPPLIER should pay close attention to their stock and make related adjustment in order not to exceed the given upper limits.
当博世当月实际采购定单的总数低于规定的下限时，供应商应密切关注其库存水准，并进行相应的调整，以保证库存的水准不超过规定的上限。

When the stock level reach or become lower than the required lower limit, the SUPPLIER should take the immediate actions for replenishment of the consignment stock so as to avoid that the stock runs out of the levels.
当供应商的库存水准达到或低于规定的下限时，供应商应立即采取补库措施，防止短货、断库现象的出现。

When it comes to the cooperation or agreement expiration, the surplus stocks (if any) shall be disposed properly by the SUPPLIER after negotiation with BOSCH: If Bsoch understand it has no capability to absorb them, the SUPPLIER shall dispose them properly in a manner agreed by BOSCH, including but not limited to permanent removing of BOSCH’s nameplate, trade mark, logos and patent.
双方合作或协议期满，如供应商尚有剩余库存时应与博世协商妥善处置：博世认为无法消化时，供应商必须以一种博世同意的方式妥善处理该类库存产品，包括但不限于永久性去除产品上的博世铭牌、商标、标识、专利等。

10. Valid Term of Agreement
协议有效期：
The Agreement valid term shall keep conforming to the main Purchase Contract.
本协议有效期应与主采购合同保持一致。

11. Matters not mentioned in this agreement shall be negotiated separately by both parties.
此协议未尽事宜，由双方协商解决。
