This Buy-Sell Agreement, hereinafter referred as the Agreement, is governed by the following terms and conditions:

1. The agreement is affective on September 1, 2010/after signed or typing name on the Signature line by both of XXXXXXXXXX and XXXXXXXXXX.

3. Packing
To be packed in carton(s), Suitable for long distance ocean or air transportation. The Sellers shall be liable for any damage of the commodity and expenses incurred on account of improper packing.

10. Documents
(1) One original bills of lading marked “Freight Collect” notifying the Buyer.
(2) Commercial Invoice in 3 copies indicating contract number, made out in details as per relative contract.
(3) Packing list in 3 copies issued by the Seller.

11. Shipment
The Sellers shall ship the goods within the shipment time. Partial shipment is not allowed.
12. Shipping Advice
The Sellers shall, immediately upon the completion of the loading of the goods, advice the Buyers of the Contract No., quantity, invoice value, gross weight, date of shipment etc.
13. Guarantee of Quality
The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract.

14. Warranty
The seller guarantees the goods delivered are in conformity with quantity, quality and specifications as provided in the Contract.

15. Force Majeure
The Sellers shall not be hold responsible for the delay in shipment or non-delivery of the
goods due to Force Majeure, which might occur during the process of manufacturing or
the course of loading or transit. The Sellers shall advice Buyers immediately of the
occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by
airmail to the Buyers for their acceptance a certificate of the accident issued by the
Competent Government Authorities where the accident occurs as evidence thereof.
Seller’s inability in obtaining export license shall not be considered as Force
Majeure.Under such circumstances the Sellers, however, are still under the obligation to
take all necessary measures to hasten the delivery of the goods. In case the accident lasts
for more than 10 weeks, the Buyers shall have right to cancel the Contract.
16. This contract is made in English, Two copy ones of this contract will be held by the Buyer, the Seller respectively.

By signing or typing name below，both parties have agreed on the terms and conditions of the Agreement on the date written below. This Buy-Sell Agreement shall be governed by applicable federal and state laws and statues.
