**第一章 合作协议的目的**
本《大型活动合作协议书》（以下简称“协议”）旨在明确双方为了共同开展一项大型活动所达成的合作意向，约定各自的权利和义务，规范合作关系，保障活动的顺利进行。
**Chapter 1 Purpose of Cooperation Agreement**
This "Large-scale Event Cooperation Agreement" (hereinafter referred to as the "Agreement") is intended to clarify the cooperation intention reached by both parties for the joint conduct of a large-scale event, to agree on their respective rights and obligations, regulate cooperation relations, and ensure the smooth progress of the event.
**第二章 合作方式**
1. 双方将本着平等、互利、诚信的原则，共同开展合作活动。
2. 合作方式包括但不限于资金支持、人力支持、资源共享等各项合作方式。
**Chapter 2 Mode of Cooperation**
1. The two parties will conduct cooperation activities on the principle of equality, mutual benefit, and good faith.
2. The cooperation methods include but are not limited to fund support, manpower support, resource sharing, and other forms of cooperation.
**第三章 义务和责任**
1. 双方应维护协议约定的合作关系，积极参与活动的筹备和执行。
2. 合作双方应按照协议约定的分工和时间节点，完成各自的任务。
3. 如一方未能履行协议规定的义务，应承担相应的责任和违约责任。
**Chapter 3 Obligations and Responsibilities**
1. Both parties should maintain the cooperative relationship defined in the agreement and actively participate in the preparation and implementation of the event.
2. The cooperating parties should complete their respective tasks according to the division of work and time frame stipulated in the agreement.
3. If one party fails to fulfill the obligations stipulated in the agreement, it shall bear the corresponding responsibility and liability for breach of contract.
**第四章 监督和沟通**
1. 双方应建立健全的监督机制，定期对合作进展进行评估和汇报。
2. 合作双方应保持畅通的沟通渠道，及时沟通合作中的问题和困难。
**Chapter 4 Supervision and Communication**
1. The two parties should establish a sound supervision mechanism to regularly assess and report on the progress of cooperation.
2. The cooperating parties should maintain smooth communication channels and timely communicate issues and difficulties in cooperation.
**第五章 资金管理**
1. 合作双方应共同制定资金使用计划和预算，严格按照计划和预算执行资金支出。
2. 资金使用情况应及时报告并接受监督检查。
**Chapter 5 Fund Management**
1. The cooperating parties should jointly formulate a fund utilization plan and budget, and strictly follow the plan and budget to execute fund expenditures.
2. The fund utilization should be reported promptly and undergo supervision and inspection.
**第六章 保密条款**
1. 双方同意保护属于对方的商业机密和合作信息，不得擅自泄露给第三方。
2. 在合作结束或终止后，双方应销毁相关机密资料或协议书。
**Chapter 6 Confidentiality Clause**
1. Both parties agree to protect each other's business secrets and cooperation information and not disclose them to third parties without authorization.
2. After the cooperation ends or terminates, both parties should destroy relevant confidential materials or agreements.
**第七章 协议变更**
1. 在合作过程中，如需变更协议内容，应经双方协商一致并签订书面变更协议。
2. 未经双方书面同意，任何一方不得单方面变更协议内容。
**Chapter 7 Amendment of Agreement**
1 If the agreement content needs to be changed during the cooperation process, it should be agreed upon by both parties through consultation and a written amendment agreement should be signed.
2. Neither party shall unilaterally change the agreement content without the written consent of both parties.
**第八章 争议解决**
1. 如在合作过程中发生争议，双方应协商解决；协商不成的，提交有关法院处理。
2. 本协议适用中华人民共和国法律，并由双方友好协商解决争议。
**Chapter 8 Dispute Resolution**
1. In the event of a dispute during the cooperation process, the two parties should negotiate for a resolution; if negotiations fail, the matter should be submitted to the relevant court for handling.
2. This agreement shall be governed by the laws of the People's Republic of China, and disputes shall be resolved through friendly consultation between the two parties.
**第九章 协议生效**
1. 本协议自双方代表签字盖章后生效，至合作结束或终止后终止。
2. 协议生效后，对双方均具有法律约束力。
**Chapter 9 Effectiveness of Agreement**
1. This agreement shall come into effect upon signature and seal by the representatives of both parties and shall be terminated upon the end or termination of cooperation.
2. After the agreement comes into effect, it shall be legally binding on both parties.
