第一条 服务内容
Article 1 Service Contents
1.1 乙方授权甲方在其明示指示下，代理进行金融产品的买卖、交易委托及其他金融服务。
1.1 Party B authorizes Party A to act on its explicit instructions to buy and sell financial products, place orders for transactions and provide other financial services.
1.2 乙方应向甲方提供充足、准确、真实的授权委托，甲方将根据乙方的授权委托开展相关的金融产品经纪服务。
1.2 Party B shall provide Party A with sufficient, accurate, and truthful authorization, and Party A will conduct related financial product brokerage services based on the authorization provided by Party B.
1.3 在履行合同的过程中，甲方应遵循诚信、谨慎、有效的原则，维护乙方的利益，并保守乙方的商业秘密。
1.3 In the performance of the contract, Party A shall adhere to the principles of honesty, prudence, and effectiveness, safeguard Party B’s interests, and maintain the confidentiality of Party B’s commercial secrets.
第二条 报酬方式
Article 2 Method of Remuneration
2.1 乙方应按照甲方规定的收费标准支付金融产品经纪服务的报酬，支付方式可以为一次性支付或按照服务的进展进行阶段性支付。
2.1 Party B shall pay the remuneration for financial product brokerage services in accordance with the charging standards specified by Party A. The payment method can be a one-time payment or incremental payments based on the progress of the services.
2.2 如果乙方提前终止合同，并不再需要甲方提供金融产品经纪服务，已支付的报酬不予退还。
2.2 If Party B prematurely terminates the contract and no longer requires Party A to provide financial product brokerage services, the remuneration already paid shall not be refunded.
第三条 违约责任
Article 3 Liability for Breach of Contract
3.1 任何一方未履行本合同约定的义务构成违约，违约方应承担违约责任。违约责任的标准为受违约方因此产生的损失，并应及时赔偿。
3.1 Failure by either party to fulfill the obligations as stipulated in this contract constitutes a breach of contract. The defaulting party shall bear liability for breach of contract. The standard for liability is the losses incurred by the non-defaulting party due to the breach, and compensation shall be timely provided.
3.2 发生争议，应友好协商解决；如不能达成一致意见，任何一方均可向有关部门申请仲裁。
3.2 In the event of a dispute, the parties should seek an amicable resolution through negotiation. If an agreement cannot be reached, either party may apply for arbitration to the relevant authorities.
第四条 保密条款
Article 4 Confidentiality Clause
4.1 双方保证对于在履行本合同过程中所涉及的商业秘密和信息予以保密，不得向第三方透露。保密期限自乙方所提供的资料在合同终止或履行完毕后开始计算，期满后双方无约束。
4.1 Both parties undertake to keep confidential any commercial secrets and information involved in the performance of this contract and shall not disclose them to third parties. The confidentiality period begins upon the termination or completion of the contract based on the material provided by Party B, and expires without any constraints thereafter.
第五条 通知方式

Article 5 Method of Notification
5.1 在履行本合同期间，双方应确保及时有效的通讯，通知方式可以包括书面通知、传真、电话、电子邮件等形式。
5.1 During the performance of this contract, both parties shall ensure timely and effective communication. The methods of notification may include written notification, fax, telephone, email, etc.
第六条 其他约定
Article 6 Other Agreements
6.1 本合同自双方签字生效，合同期为______年。如双方未提出终止合同的意向，自然延期。
6.1 This contract shall come into effect upon the signatures of both parties and the term of the contract is ____ years. In the absence of a termination notice from both parties, the contract shall be automatically renewed.
62 本合同的附件构成本合同不可分割的部分，具有同等的法律效力。
6.2 The annexes to this contract form an integral part of this contract and have equal legal effect.
第七条 合同终止
Article 7 Termination of Contract
7.1 本合同到期，双方如无异议，视为终止。如需继续合作，双方应另行协商签订新的合同。
7.1 Upon the expiration of this contract, if there is no objection from both parties, it shall be deemed terminated. If cooperation needs to continue, the parties shall negotiate and sign a new contract.
7.2 本合同明确约定的其他情形，发生时，本合同亦自动终止。
7.2 This contract shall also automatically terminate upon the occurrence of other circumstances explicitly stipulated in this contract.
本合同正本分成甲、乙双份，自双方签字盖章生效。
