第一节：引言

第三节：背景
1. A公司是一家在 行业里享有一定声誉和地位的公司，主要从事 业务。在依据本协议先前达成一致意见的情况下，A公司拟将旗下某些业务进行分拆，并建立独立的分拆子公司——B公司来管理。
2. B公司是由A公司依照本协议拟立项设立的一家公司，B公司的注册资本由A公司提供，公司的股东、经营范围等均经过双方协商一致。

第四节：分拆内容

第五节：运营管理
1. B公司应按照本协议规定之目的、原则和程序来运营管理分拆资产，并保证其独立性和有效性。
2. B公司应当合理有效地利用分拆资产，确保分拆资产的经济效益和社会效益。
3. B公司应及时向A公司提供经营情况、财务状况、投资情况等信息报告，保证信息报告的真实、准确。
第六节：风险责任
1. 在分拆资产运营中，如因B公司的原因造成分拆资产的价值或效益受损的，B公司应当承担相应的经济赔偿责任。
2. 合同双方应当共同承担分拆资产运营过程中的风险，并在损失分拆资产的情况下共同承担损失。
3. 本协议签署后如出现其他事项，双方应当尽快进行协商，共同解决。
第七节：协议变更和终止
1. 合同双方如对本协议内容需变更或补充的，应当经过双方书面协商一致，并签署变更协议。
2. 合同双方如需终止协议的，应提前30天通知对方，并进行清理分拆资产等工作。
3. 本协议终止后，双方应维护各自的商业秘密，保障双方的利益。
第八节：争议解决
1. 本协议任何一方如认为另一方违反了本协议，有权向有管辖权的法院起诉。
2. 在诉讼期间，本协议应继续执行，不得受到诉讼影响。

Section Three: Background
1. Company A is a reputable and influential company in the industry, primarily engaged in business. With mutual consent based on this agreement, Company A intends to split certain businesses and establish an independent subsidiary, Company B, to manage it.
2. Company B, established by Company A according to the agreement, will be provided with the registered capital by Company A. Shareholders, business scope, and other details of Company B have been agreed upon by both parties.
3. Company A and Company B express full trust and cooperation in this split operation, aiming to proceed smoothly and uphold the legal rights and interests of both parties.
Section Four: Splitting Details
1. Company A will split certain assets, equipment, customers, and employees from its existing business and incorporate them into the operation of Company B.
2. The split assets, equipment, and properties will be independently operated and managed by Company B, relieving Company A of management responsibilities.

2. Company B shall utilize the split assets reasonably and effectively, guaranteeing economic and social benefits.

Section Six: Risk and Liabilities
1. In the operation of the split assets, if Company B causes a decrease in the value or benefits of the split assets, Company B shall bear the corresponding economic compensation liability.
2. Both parties shall share the risks during the operation of the split assets and jointly bear losses in the event of asset damage.
3. In case of any other matters arising after the signing of this agreement, both parties shall promptly negotiate and resolve them together.
Section Seven: Amendment and Termination of Agreement
1. If either party wishes to amend or supplement the content of this agreement, it must be agreed upon in writing by both parties and signed in an amendment agreement.
2. If either party wishes to terminate the agreement, a 30-day notice must be provided to the other party for the clearance of split assets, among other necessary tasks.
3. After the termination of this agreement, both parties shall safeguard their respective trade secrets and interests.
Section Eight: Dispute Resolution
1. If either party believes the other has violated this agreement, they have the right to sue in a court of competent jurisdiction.
2. During legal proceedings, the agreement shall remain in effect and shall not be affected by the lawsuit.
