经双方友好协商，就甲方提供技术支持、平台服务，乙方提供二手商品交易业务及相关服务的合作事宜，达成如下协议：
第一条 合作内容
1.1 甲方将向乙方提供二手交易平台技术支持和服务，包括但不限于网站搭建、系统升级、用户管理、安全维护等。
1.2 乙方将在甲方平台上开设专区，展示和销售其旗下二手商品并为用户提供优质的售后服务。
第二条 权利与义务
2.1 甲方有权对乙方提交的商品信息进行审核和管理，确保信息真实、合法、有效。
2.2 乙方有义务保障所售商品的质量和售后服务，若出现纠纷或投诉，应积极配合甲方处理。
第三条 服务费用
3.1 甲方向乙方提供的技术支持和平台服务免费，但若乙方销售额达到一定标准，甲方有权向乙方收取一定的推广费用。
3.2 具体的推广费用标准由双方协商确定，并在合作协议中明确约定。
第四条 保密条款
4.1 双方应保护对方的商业秘密，未经对方书面同意，不得泄露或披露任何合作内容。
4.2 在合作期间和合作结束后，双方应继续履行保密义务。
第五条 违约责任
5.1 若任何一方违反本协议的任何条款，应当承担违约责任，包括但不限于赔偿损失、承担法律责任等。
5.2 若因不可抗力等原因导致无法履行本协议，双方可以免除责任，但应尽最大努力减少损失。
第六条 协议变更与解除
6.1 本协议任何条款如需变更，须经双方协商一致，并签订书面变更协议。
6.2 若一方提出解除合作协议的要求，须提前30天书面通知对方，并协商解决合作事宜。
第七条 法律适用与争议解决
7.1 本协议适用中华人民共和国法律，对于本协议的解释和执行均应依照中华人民共和国法律进行。
7.2 因本协议引起的争议，双方应通过友好协商解决。若协商不成，应提交有管辖权的人民法院诉讼解决。
第八条 其他
8.1 本协议自双方签订之日起生效，有效期为一年。届满前两个月，双方如无异议，可自动续签。
8.2 本协议正本一式两份，甲乙双方各持一份，具有同等法律效力。

Considering that Party A is a platform operator dedicated to second-hand goods trading, possessing advanced technological platform and rich user resources; Party B is a second-hand goods trading enterprise with a certain scale and influence, intending to cooperate with Party A to jointly explore the market and achieve mutual benefits.
After friendly negotiation, the parties have reached the following agreement on the cooperation concerning Party A providing technical support, platform services, and Party B providing second-hand goods trading business and related services:
Article 1 Cooperation Contents
1.1 Party A will provide Party B with technical support and services for the second-hand trading platform, including but not limited to website construction, system upgrades, user management, security maintenance, etc.
1.2 Party B will establish a dedicated zone on Party A's platform to display and sell its second-hand goods, and provide high-quality after-sales services to users.
Article 2 Rights and Obligations
2.1 Party A has the right to review and manage the product information submitted by Party B to ensure the information is true, legal, and valid.
2.2 Party B is obliged to guarantee the quality of the goods sold and the after-sales service. In the event of disputes or complaints, Party B should actively cooperate with Party A in handling the issues.
Article 3 Service Fees
3.1 Party A provides technical support and platform services to Party B for free. However, if Party B's sales reach a certain standard, Party A has the right to charge Party B a certain promotion fee.
3.2 The specific promotion fee standards are to be determined through negotiation between the parties and clearly stipulated in the cooperation agreement.
Article 4 Confidentiality Clause
4.1 Both parties shall protect each other's trade secrets and may not disclose any cooperation content without written consent from the other party.
4.2 During and after the cooperation period, both parties shall continue to fulfill their confidentiality obligations.
Article 5 Breach of Contract Liability
5.1 In case of any party's violation of any terms of this agreement, the defaulting party shall bear the breach liability, including but not limited to compensating for losses and assuming legal responsibilities.
5.2 In the event of force majeure or other circumstances that prevent the fulfillment of this agreement, the parties may be exempted from liability but shall exert utmost efforts to minimize losses.
Article 6 Agreement Amendments and Termination
6.1 Any changes to the terms of this agreement must be agreed upon by both parties through negotiation and recorded in a written amendment agreement.
6.2 If one party requests the termination of the cooperation agreement, they must notify the other party in writing at least 30 days in advance and negotiate the settlement of cooperative matters.
Article 7 Applicable Law and Dispute Resolution
7.1 This agreement shall be governed by the laws of the People's Republic of China, and the interpretation and enforcement of this agreement shall be in accordance with the laws of the People's Republic of China.
7.2 Disputes arising from this agreement shall be resolved through friendly negotiation between the parties. If no agreement can be reached, the dispute shall be submitted to the competent People's Court for litigation.
Article 8 Miscellaneous
8.1 This agreement shall become effective upon signing by both parties and shall be valid for one year. Two months before the expiration, if there are no objections from both parties, the agreement may be automatically renewed.
8.2 This agreement is executed in duplicate, with each party holding one original copy, both having equal legal effect.
