第一条 交易内容
1.1 甲方委托乙方独家经销其产品______________。

第二条 定货与交货
2.1 乙方须接到订单后，在三个工作日内将订单和付款确认发给甲方。

第三条 定价与支付
3.1 产品价格由甲方与乙方双方协商确定。乙方可根据市场情况灵活调整售价，但需提前告知甲方。

3.3 交易结算以人民币为准，乙方负责费用的承担，包括但不限于运输费、保险费等。
第四条 售后服务
4.1 乙方负责产品的安装、维修、退换货及相关售后服务，甲方给予必要的支持和帮助。
4.2 甲方应提供相关产品的培训和技术支持，确保乙方了解产品和技术特点，提高服务质量。
第五条 保密条款
5.1 乙方应妥善保管甲方产品和技术的机密信息，不得泄露给第三方或用于其他目的。
5.2 协议终止后，乙方仍需履行保密义务，不能擅自使用甲方的商业机密信息。
第六条 违约责任
6.1 一方违反本协议的约定，应承担违约责任，包括但不限于赔偿损失、支付违约金等。
6.2 如由于不可抗力等客观原因导致无法履行本协议的一方免责，但需及时通知对方并尽力减少损失。
第七条 协议变更
7.1 本协议任何条款的修改或补充必须经双方协商一致，并以书面形式确认。
7.2 协议变更需在双方签署的协议书中作出明确规定。
第八条 协议解除
8.1 本协议有效期为______________年，到期后自动终止。如有续签意愿，需提前一个月书面通知另一方。
8.2 发生以下情形，任何一方有权解除本协议：一方严重违反本协议且在收到书面通知后未改正；发生不可抗力且影响履行协议。

Party B (Distributor):______________
Whereas, Party A is a ______________ manufacturer and operating enterprise, with ______________ as its operating project, and has a consumer market of ______________; and Party A is willing to cooperate with Party B to expand the market and promote sales. In consideration of the “Contract Law of the People's Republic of China” and relevant regulations, the two parties hereby agree upon the following terms through friendly negotiation:
Article 1 Transaction Contents
1.1 Party A entrusts Party B to exclusively distribute its products, ______________.
1.2 Party B sells the relevant products through an exclusive channel at the prices provided by Party A.
Article 2 Ordering and Delivery
2.1 Party B must send the order and payment confirmation to Party A within three working days upon receiving the order.
2.2 Party A arranges production and delivery according to Party B’s requirements, ensuring product quality and delivery dates.
Article 3 Pricing and Payment
3.1 The product price is determined by mutual agreement between Party A and Party B. Party B may adjust the selling price flexibly based on market conditions but must inform Party A in advance.
3.2 Party B shall settle the payment in a timely manner at the agreed price, with payment receipts subject to remittance vouchers.
3.3 The transaction settlement is in Chinese Yuan. Party B is responsible for expenses, including but not limited to transportation fees, insurance fees, etc.
Article 4 After-sales Service
4.1 Party B is responsible for product installation, maintenance, returns, and related after-sales services, with necessary support and assistance from Party A.
4.2 Party A shall provide training and technical support for the products to ensure that Party B understands product and technical characteristics, thereby improving service quality.
Article 5 Confidentiality Clause
5.1 Party B shall properly safeguard the confidential information of Party A’s products and technology, without disclosing it to third parties or using it for other purposes.
5.2 Even after the agreement is terminated, Party B must still fulfill confidentiality obligations and may not use Party A’s trade secrets without authorization.
Article 6 Liability for Breach of Contract
6.1 If either party violates the terms of this agreement, they shall bear liability for breach of contract, including but not limited to compensation for losses and payment of liquidated damages.
6.2 If objective reasons such as force majeure cause one party to be unable to fulfill the agreement, they shall be exempt, but they must notify the other party promptly and make efforts to minimize losses.
Article 7 Amendment of Agreement
7.1 Any modification or addition to the terms of this agreement must be agreed upon by both parties and confirmed in writing.
7.2 Any amendment to the agreement shall be explicitly stated in the signed agreement by both parties.
Article 8 Termination of Agreement
8.1 The term of this agreement is ______________ years automatically terminating upon expiration. If there is a willingness to renew, one month’s advance written notice must be provided to the other party.
8.2 Either party has the right to terminate this agreement under the following circumstances: serious breach of the agreement by one party and failure to correct it after receiving written notice; occurrence of force majeure affecting the performance of the agreement.
8.3 After the agreement is terminated, Party B must immediately cease sales of Party A’s products and settle outstanding debts.
