第一章 总则
第一条 目的及范围

第二章 代理商品或服务
第三条 代理商品或服务的定义

第四条 代理区域
乙方的代理区域为_____________地区，乙方在其他地区销售甲方商品或服务需经过甲方书面同意。
第五条 价格及销售方式

第三章 交易确认与结算

乙方应在销售结束后及时向甲方报告销售额及销售情况，甲方应对销售情况进行确认。
第十条 结算方式

第四章 信息保密与守法经营

第十三条 守法经营

第五章 协议变更与解除

任何一方在履行本协议中如需变更内容，应经另一方同意并双方签署书面协议后方可生效。
第十五条 协议解除

Chapter II Agency of Products or Services
Article 3 Definition of Agency of Products or Services
Party B shall provide and sell the products or services designated by party A to consumers in accordance with party A's requirements, including but not limited to _____________, specific products or services can be found in Appendix_____.
Article 4 Agency Area
Party B's agency area is in _____________ area, party B must obtain written consent from party A for selling party A's products or services in other areas.
Article 5 Price and Sales Method
Party A shall provide clear prices of products or services to party B, party B cannot adjust the prices arbitrarily during the sales process, and the sales method can be decided by party B or designated by party A.
Article 6 Responsibilities of Products or Services
Party A shall ensure that the products or services provided meet the relevant national standards, and shall be liable for any disputes arising from product quality issues.
Article 7 Returns and Refunds
Party B should ensure that consumers have the legal right to return and refund in accordance with party A's regulations, and inform consumers of the related procedures to protect the legitimate rights and interests of consumers.
Article 8 Procurement and Inventory Management
Party B should purchase the corresponding products or services reasonably in advance and manage inventory properly according to market demand during the agency sales process, to avoid losses caused by inventory backlog.
Chapter III Transaction Confirmation and Settlement
Article 9 Transaction Confirmation
Party B should report the sales volume and sales situation to party A in a timely manner after the completion of the sales, and party A should confirm the sales situation.
Article 10 Settlement Method
The settlement method agreed upon by party A and party B is _____________, specific settlement methods can be found in Appendix_____.
Article 11 Settlement Time
Party A shall settle the sales proceeds to party B within the agreed settlement time.
Chapter IV Information Confidentiality and Legal Operation
Article 12 Information Confidentiality

Article 13 Legal Operation
Both parties shall comply with national laws and regulations, shall not engage in illegal activities, and guarantee the authenticity and validity of the related qualification certificates and information provided.
Chapter V Amendment and Termination of the Agreement
Article 14 Amendment of the Agreement
If either party needs to change the content of this agreement during its performance, it shall be effective only after the agreement of the other party and the signing of a written agreement by both parties.
Article 15 Termination of the Agreement
This agreement expires upon the expiry of the agreed term, and if early termination is required, written notice must be given to the other party ____months in advance.
