鉴于甲方为_______________（以下简称"产品"）的合法拥有者，具有开发、生产、销售产品的能力； 乙方为___________________，经营活动正常，愿意合作销售产品，双方本着平等、自愿、互利、诚实信用的原则洽谈合作事宜，达成如下协议：

第二条 销售范围
乙方负责在本协议签订地推广销售甲方产品，并协助解决销售过程中出现的问题。
第三条 销售方式
1. 乙方可通过线上线下渠道销售甲方产品，但需遵守相关法律法规，遵循市场规则；
2. 乙方应确保销售产品的真实性和完整性，不得以任何方式损害甲方产品声誉；
3. 乙方可以对产品进行适当的宣传和推广，但不得进行虚假宣传。
第四条 价格和结算
1. 甲方和乙方协商确定产品价格，乙方按照约定价格进行销售；
2. 甲方和乙方每月底结算一次销售情况，乙方应如实提交销售情况，甲方按照实际销售额支付相应的销售提成；

第五条 售后服务
1. 产品售后服务由甲方负责，乙方协助处理售后问题；

第六条 违约责任
1. 任何一方违反本协议的约定，应承担相应违约责任；
2. 违约方应承担因违约造成的全部损失，包括但不限于实际损失、律师费用等。
第七条 保密条款
1. 双方在履行本协议过程中获悉的商业秘密、合作内容等信息，应保密；
2. 未经对方书面同意，任何一方不得向第三方透露协议内容。
第八条 协议变更
任何一方若需变更本合作协议内容，应经双方协商一致，签订书面补充协议。
第九条 协议解除
1. 合作期届满，双方经协商一致可续签合作协议；
2. 出现以下情形，本协议自动终止：
a. 甲方或乙方宣布破产；
b. 丧失独立法主体资格；
c. 其它影响合作履行的不可抗力因素。
第十条 协议争议解决
本协议因履行而引起的争议，双方应友好协商解决；如协商不成，应提交有管辖权的人民法院裁决。
第十一条 附则
1. 本协议自双方签字盖章之日起生效，有效期为_______________；
2. 本协议一式贰份，甲乙双方各执壹份，具有同等法律效力；
3. 本协议未尽事宜，双方可以签订补充协议，视作本协议的补充。

Whereas Party A is the legal owner of _____________ (hereinafter referred to as "Product"), with the ability to develop, produce, and sell the product; Party B is _____________, operating normally, willing to cooperate in selling the product. Both parties, based on the principles of equality, voluntariness, mutual benefit, and good faith, have negotiated cooperation matters. The agreement is reached as follows:

Article 2 Sales Scope
Party B is responsible for promoting and selling Party A products at the location of this agreement and assisting in resolving sales-related issues.
Article 3 Sales Method
1. Party B can sell Party A products through online and offline channels, but must comply with relevant laws and regulations and follow market rules;
2. Party B shall ensure the authenticity and integrity of the products sold, and shall not damage the reputation of Party A products in any way;
3. Party B may carry out appropriate publicity and promotion of the product, but shall not engage in false advertising.
Article 4 Pricing and Settlement
1. Party A and Party B shall negotiate and determine the product price, and Party B shall sell at the agreed price;
2. Party A and Party B shall settle the sales situation at the end of each month, and Party B shall truthfully submit the sales situation. Party A shall pay the corresponding sales commission based on the actual sales amount;

Article 5 After-sales Service
1. Party A is responsible for the after-sales service of the product, and Party B shall assist in handling after-sales issues;
2. Party B should promptly feedback after-sales issues to Party A and actively cooperate in resolving them.
Article 6 Breach of Contract Liability
1. If either party violates the provisions of this agreement, it shall bear corresponding liability for breach of contract;
2. The defaulting party shall bear all losses caused by the breach of contract, including but not limited to actual losses, attorney's fees, etc.
Article 7 Confidentiality Clause
1. Both parties shall keep confidential any business secrets, cooperation content, and other information obtained during the performance of this agreement;
2. Without the written consent of the other party, neither party shall disclose the contents of the agreement to a third party.
Article 8 Agreement Amendment
If either party needs to change the content of this cooperation agreement, it shall be agreed upon by both parties through consultation and signed as a written supplementary agreement.
Article 9 Agreement Termination
1. Upon the expiration of the cooperation period, both parties may renew the cooperation agreement by mutual agreement;
2. The following circumstances will automatically terminate this agreement:
a. Party A or Party B declares bankruptcy;
b. Loss of independent legal personality;
c. Other force majeure factors that affect the performance of the cooperation.
Article 10 Dispute Resolution
Any disputes arising from the performance of this agreement shall be resolved amicably by both parties; if no agreement can be reached, it shall be submitted to the competent People's Court for judgment.
Article 11 Miscellaneous Provisions
1. This agreement shall come into effect from the date of signature and seal by both parties and shall be valid until _____________;
2. This agreement shall be made in duplicate, with Party A and Party B each holding one copy, having equal legal effect;
3. Matters not covered in this agreement can be supplemented by both parties signing a supplementary agreement, which shall be considered as a supplement to this agreement.
