鉴于：
1. 甲方是一家具有生产医疗器械资质并在相关监管部门注册备案的企业，具备提供医疗器械产品并与经销商合作的资质；
2. 乙方是一家具有从事医疗器械经销业务的企业，愿意向其客户提供甲方提供的医疗器械产品；
基于双方自愿、平等、友好的原则，经充分协商，达成如下协议：
第一条 产品信息
1.1 甲方提供的医疗器械产品信息详见附件1《医疗器械产品目录》，乙方可以根据实际需求进行订购。
1.2 甲方可根据实际生产情况调整产品种类及产能，但需提前通知乙方。
1.3 乙方应确保所售医疗器械产品符合国家相关质量标准，并承担因产品质量问题可能产生的法律责任。
第二条 价格和结算方式
2.1 甲方应向乙方提供明细的价格表和相关产品信息，价格以人民币为基础，不含税。
2.2 双方约定的付款方式为：乙方接到货后，应在15天内将货款支付给甲方。若逾期支付，需额外支付延迟付款费用。
2.3 乙方可以选择银行转账或现金支付的方式进行结算，具体账户信息详见本协议附件。
第三条 销售和分销
3.1 乙方将承担医疗器械产品的销售和分销工作，包括但不限于产品推广、渠道开发、售后服务等。
3.2 乙方应妥善保管甲方提供的产品样品和宣传资料，确保不会私自出售或影响产品形象。
3.3 乙方应定期向甲方提供销售情况报告，包括销售额、库存情况、市场反馈等。
第四条 质量保证
4.1 甲方应保证提供的医疗器械产品质量符合国家相关标准，并承担产品质量问题可能带来的责任；
4.2 乙方应定期进行产品质量检查，确保产品符合要求，如发现问题应及时向甲方反馈。
第五条 违约责任
5.1 一方违约给对方造成损失的，应承担相应的违约责任，并赔偿对方的损失。
5.2 若因不可抗力情况导致合同无法履行，双方可协商解除合同，不承担违约责任
5.3 本合同一经双方签署生效，双方应严格遵守合同约定。
第六条 争议解决
6.1 合同履行过程中如发生争议，双方应友好协商解决；协商不成的，提交负责双方认为的人民法院处理。
6.2 本合同有效期为____年，到期如需继续合作，双方可另行协商签署新的合同。

Whereas:
1. Party A is an enterprise with the qualification to produce medical devices, registered with the relevant regulatory authorities, and has the qualification to provide medical device products and cooperate with distributors;
2. Party B is an enterprise engaged in the distribution of medical devices, willing to provide Party A's medical device products to its customers.
Based on the principles of voluntariness, equality, and friendship, and through full negotiation, the following agreement is reached:
Article I Product Information
1.1 The product information provided by Party A for medical device products is detailed in Appendix 1 "Medical Device Product Catalog", and Party B can place orders according to actual needs.
1.2 Party A may adjust the types and production capacity of products according to actual production conditions, but must notify Party B in advance.
1.3 Party B shall ensure that the medical device products sold meet the relevant national quality standards and shall bear the legal responsibility that may arise from product quality issues.
Article II Pricing and Settlement Method
2.1 Party A shall provide a detailed price list and related product information to Party B, the prices are based on Chinese Yuan and exclusive of tax.
2.2 The agreed payment method between the two parties is: Party B shall pay the goods to Party A within 15 days after receiving the goods. If payment is delayed, Party B shall pay additional late payment fees.
2.3 Party B can choose bank transfer or cash payment for settlement, and the specific account information is detailed in the appendix of this agreement.
Article III Sales and Distribution
3.1 Party B shall be responsible for the sales and distribution of medical device products, including but not limited to product promotion, channel development, and after-sales service.
3.2 Party B should properly keep the product samples and promotional materials provided by Party A, ensuring that they will not be sold privately or affect the product image.
3.3 Party B shall regularly provide sales reports to Party A, including sales volume, inventory status, market feedback, etc.
Article IV Quality Assurance
4.1 Party A shall guarantee that the quality of the medical device products provided meets the relevant national standards and shall bear the responsibility for any product quality issues.
4.2 Party B shall conduct regular product quality inspections to ensure that the products meet the requirements. If any issues are found, Party B should promptly provide feedback to Party A.
Article V Breach of Contract Liability
5.1 If either party breaches the contract causing losses to the other party, they shall bear corresponding breach of contract liability and compensate for the losses.
5.2 if the contract cannot be fulfilled due to force majeure, the two parties may negotiate to terminate the contract without assuming breach of contract liability.
5.3 Once this contract is signed by both parties, they shall strictly abide by the contract terms.
Article VI Dispute Resolution
6.1 In the event of a dispute during the performance of the contract, the two parties shall friendly negotiate for settlement. If negotiation fails, the dispute shall be submitted to the people's court chosen by both parties.
6.2 The term of this agreement is ___ years. If there is a need to continue cooperation at the expiration, the two parties may negotiate and sign a new contract separately.
