一、甲方：中方高校名称，法定代表人姓名，职务，地址，电话，传真。
二、乙方：外方高校名称，法定代表人姓名，职务，地址，电话，传真。
三、甲方与乙方根据《中华人民共和国教育法》、《中外合作办学条例》等法律、法规的规定，结合双方学校的实际情况，就中外合作办学事宜达成如下协议：
第一条 合作办学项目的基本情况
甲方与乙方同意合作办学的项目为（项目名称），学历授予为（文凭名称），学制为（学制招生专业为（专业名称），学生实习或实践环节为（实习/实践安排），现将项目的基本情况作如下说明。
1. The parties of the agreement are as follows: Party A: Name of Chinese university, legal representative's name, position, address, telephone, and fax. Party B: Name of foreign university, legal representative's name, position, address, telephone, and fax.
2. In accordance with the laws and regulations of the People's Republic of China, including the Education Law and the Regulations on Sino-Foreign Cooperative Education, and considering the actual situations of both schools, Party A and Party B agree to cooperate on the following matters related to Sino-foreign cooperative education.
Article 1: Basic Information of the Cooperative Education Project
Party A and Party B agree to cooperate on the project of (Project Name), which grants the degree of (Diploma Name) with a duration of (Duration) and offers the major of (Major Name). The internships or practical components for students will be organized as (Internship/Practical Arrangement). The basic information of the project is explained as follows.
二、双方合作的内容和方式
1、双方合作的内容包括：

（3）学生招生和管理
（4）师资建设和培训
（5）质量保证和评估
2、双方合作的方式为：
（1）乙方向甲方提供教学计划和教材

Article 2: Content and Methods of Cooperation
1. The content of cooperation includes:
(1) Curriculum and teaching arrangements
(2) Teaching facilities and resources
(3) Student recruitment and management
(4) Faculty development and training
(5) Quality assurance and evaluation
2. The methods of cooperation are as follows:
(1) Party B provides teaching plans and materials to Party A
(2) Party A offers internships or practical training opportunities for students
(3) Both parties organize academic exchange activities
(4) Other cooperation arrangements agreed upon by both parties
三、教学质量保证和考核
1、甲方和乙方合作办学应当遵守中华人民共和国的教育法规和学位授予标准，确保合作项目的教学质量。
2、为保证教学质量，甲方和乙方应当制定相应的教学质量评估制度，并定期进行评估和考核。
3、对合作项目中出现的教学质量问题，双方应当及时协商解决，保障学生的学习权益和教育质量。
Article 3: Quality Assurance and Assessment
1. Party A and Party B shall abide by the education laws and standards of degree awarding of the People's Republic of China to ensure the quality of the cooperative education project.
2. To ensure teaching quality, Party A and Party B shall establish a quality assessment system and conduct regular evaluations and assessments.
3. In case of any issues regarding teaching quality in the cooperative project, both parties shall promptly negotiate and resolve them to safeguard the rights and quality of education for students.
四、经费管理和分配
1、合作办学项目的经费来源包括：项目拨款、学生学费、合作研究经费等。
2、甲方和乙方应当就合作办学项目的经费管理和分配达成书面协议，并确保各项经费的使用符合规定和合同约定。
3、对于经费使用不当或者存在争议的情况，双方应当及时协商解决，不得影响合作办学项目的正常运行。
Article 4: Financial Management and Allocation
1. The funding sources of the cooperative education project include project grants, student tuition fees, cooperative research funds, etc.
2. Party A and Party B shall reach a written agreement on the financial management and allocation of the cooperative education project, ensuring that the use of funds complies with regulations and contract agreements.
3. In case of improper use or disputes regarding fund allocation, both parties shall promptly negotiate and resolve the issues without affecting the normal operation of the cooperative education project.
五、知识产权和保密条款
1、甲方和乙方在合作办学过程中产生的知识产权归各自所有，双方应当尊重知识产权的保护，不得侵犯他方的合法权益。
2、双方在合作过程中获取的涉密信息应当严格保密，不得擅自泄露给第三方，确保合作项目的机密性和安全性。
3、对于知识产权纠纷或保密泄露等问题，双方应当通过友好协商或法律途径解决，避免引起不必要的争端和损失。
Article 5: Intellectual Property Rights and Confidentiality
1. Intellectual property rights generated during the cooperative education process belong to the respective parties. Both parties should respect the protection of intellectual property rights and refrain from infringing on the legitimate rights of the other party.
2. Information of a confidential nature acquired by both parties during the cooperation should be strictly kept confidential and not disclosed to third parties to ensure the confidentiality and security of the cooperative project.
3. In case of intellectual property disputes or confidentiality breaches, both parties should resolve the issues through amicable negotiations or legal channels to prevent unnecessary disputes and losses.
六、期限和解除条款
1、合作办学项目自双方签署本协议之日起生效，至合作项目完成或终止之日结束。
2、如因一方违约或其他不可抗力因素导致合作项目无法继续进行，双方应当及时通知对方并协商解决，如无法达成一致意见，双方有权提前终止合作关系。
3、合作解除后，双方应当完成相关手续和经济结算，确保双方权益不受损失。
Article 6: Duration and Termination Clause
1. The cooperative education project shall come into effect upon the signing of this agreement by both parties and shall end upon the completion or termination of the cooperative project.
2. If one party breaches the agreement or if unforeseeable factors lead to the inability to continue the cooperative project, both parties shall promptly inform the other party and negotiate a solution. If no consensus is reached, both parties have the right to terminate the cooperation relationship in advance.
3. Upon termination of the cooperation, both parties should complete the relevant procedures and financial settlements to ensure that their rights are not compromised.
七、争议解决和协议变更
1、合作双方如在履行本协议过程中发生争议，应当通过友好协商解决；如协商不成，可由双方协商选择仲裁或向有管辖权的法院提起诉讼。
2、如有变更本协议的情况，双方应当书面同意并签署协议变更书，经双方法定代表人或授权代表签字后方为生效。
Article 7: Dispute Resolution and Agreement Amendment
1. In the event of disputes between the cooperating parties in the implementation of this agreement, they should seek a resolution through amicable negotiations. If negotiations fail, both parties may, by mutual agreement, choose arbitration or litigation in a competent court.
2. In the case of amendments to this agreement, both parties should reach a written agreement and sign an amendment to the agreement. The amendment shall only become effective after being signed by the legal representatives or authorized representatives of both parties.
八、附则
1、本合同自双方签署之日起生效，至合作项目结束后终止。
2、本合同的任何修改或补充均需双方书面同意后生效。
3、本合同一式两份，甲乙双方各执一份，具有同等法律效力。
Article 8: Supplementary Provisions
1. This contract shall come into effect upon its signing by both parties and shall terminate upon the completion of the cooperation project.
2. Any modifications or supplements to this contract shall be effective only after written agreement by both parties.
3. This contract is made in duplicate, with each party holding one copy, both of which have equal legal effect.
