鉴于甲方与乙方就合作事项达成一致意见，为明确双方权利义务，特订立本合作协议。
一、合作内容
甲方为餐饮行业从业者，经营【餐饮业务描述，如餐厅/酒吧/咖啡店等】。乙方为具备【具体合作内容，如供应商/合作品牌方等】资质的企业。
双方将在合作中保持诚信合作、互惠互利的原则，共同努力发展业务，实现共赢。

二、合作期限

三、权利与义务
1. 甲方的权利与义务：

（4）保护甲方的商业秘密，不得泄露给第三方。
四、价格与结算
双方就具体产品或服务的价格、结算方式、发票开具等事项另行签订补充协议，并严格按照协议执行。
五、保密条款
双方在合作过程中可能涉及商业机密或重要信息，双方应保密，并不得对外透露。如因一方的过失或故意泄密，应承担相应法律责任。
六、合作风险
由于市场变化或其他不可抗力因素，导致合作出现风险或不确定性的，双方应共同协商解决，并承担各自应当承担的责任。
七、违约责任
若一方违反本协议的约定，构成违约的，对方有权要求违约方承担违约责任，并赔偿因此造成的损失。
八、协议终止
本协议期满、终止或解除后，双方仍应继续遵守保密及其他约定事项，直至商业秘密不再具有保密性为止。
九、法律适用与争议解决
本协议的签订、生效、解释、执行及争议的解决均适用中华人民共和国法律。双方如因履行本协议发生争议，应通过友好协商解决；协商不成的，任何一方均可向有管辖权的人民法院提起诉讼。
十、其他
本协议签署后，对双方具有合法有效力。未尽事宜，双方可另行协商补充。

Whereas Party A and Party B have reached an agreement on cooperation matters, in order to clarify the rights and obligations of both parties, this cooperation agreement is hereby established.
1. Cooperation Content
Party A is an operator in the catering industry, specializing in [Description of catering business, such as restaurants/bars/cafés, etc.]. Party B is a company qualified in [Specific cooperation content, such as supplier/cooperating brand, etc.].

(2) Ensure the quality of products meets the standards and guarantee the reliability of supplies;
(3) Assist Party A in conducting market promotions and activities;
(4) Protect the commercial secrets of Party A and not disclose them to third parties.
4. Pricing and Settlement
Both parties shall sign a supplementary agreement on specific products or services' prices, settlement methods, invoice issuance, etc., and strictly abide by the agreement.
5. Confidentiality Clause
In the process of cooperation, both parties may involve trade secrets or important information, which should be kept confidential and not disclosed to outsiders. If one party's negligence or intentional leaking of secrets occurs, they shall bear legal responsibility accordingly.
6. Cooperation Risks
In the event of risks or uncertainties in cooperation due to market changes or other force majeure factors, both parties shall negotiate and resolve them jointly, and bear their respective responsibilities.
7. Breach of Contract Liability
If one party breaches the provisions of this agreement, constitutes a breach of contract, the other party has the right to demand that the breaching party bear the liability for breach of contract and compensate for the losses caused thereby.
8. Agreement Termination
After the expiration, termination, or rescission of this agreement, both parties shall continue to comply with confidentiality and other provisions until the trade secrets are no longer confidential.
9. Applicable Law and Dispute Resolution
The signing, effectiveness, interpretation, execution, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. If there is a dispute arising from the performance of this agreement, the parties shall attempt to resolve it amicably through negotiation. If negotiation fails, either party may bring a lawsuit to a competent People's Court.
10. Other Provisions
This agreement shall be legally binding on both parties upon signing. Matters not covered herein may be supplemented by mutual negotiation.
