二、 服务内容

3. 乙方应设立24小时客服热线，接受甲方的咨询、投诉等服务需求，并及时做出反馈。
六、 保密协议
1. 双方应对在履行本协议中获悉的商业机密、技术秘密等信息进行保密。
2. 任何一方未经对方书面同意，不得将对方的商业机密、技术秘密等信息泄露给第三方。
3. 在本协议终止或解除后，双方仍应保持对双方商业机密的保密义务。
七、 违约责任
1. 若任何一方未履行本协议的任何一项义务，应承担相应的违约责任。
2. 违约方应承担因其违约行为而给对方造成的一切损失，包括但不限于经济损失、声誉损失等。
3. 针对违约行为，双方可协商解决方案，如协商未果，可向有关部门申请仲裁。
八、 协议变更与解除
1. 在服务期内，如因业务发展等原因需对本协议进行修改，应经双方协商一致并签署书面协议。
2. 任何一方需解除本协议，应提前 ________ 天书面通知对方，并协商制定解除方案。
3. 本协议解除后，双方应及时结清未尽事宜，并共同保留必要的资料、数据备份。
九、 其他约定

Model Information Technology Service Agreement
Party A is ________ (hereinafter referred to as Party A), Party B is ________ (hereinafter referred to as Party B). In the spirit of friendly cooperation, mutual benefit, and voluntary equality, Party A has placed an order for information technology services provided by Party B and reached the following agreement:
Service Contents
1. The information technology services provided by Party B to Party A include but are not limited to: ________ (specific services included).
2. Party B guarantees that the services provided have sufficient technical capabilities and corresponding qualifications to meet the needs of Party A.
3. The specific content, standards, procedures, and other matters of the services shall be agreed upon at the time of signing this agreement based on the actual situation and recorded in written documents.
Service Form
1. Party B will provide information technology services to Party A in the form of ________.
2. The time and progress of the service shall be supervised and managed by both parties in accordance with the contract.

Service Fees

3. If Party A fails to pay the service fees on time, Party B has the right to suspend or terminate the service and reserves the right to hold Party A accountable.
Service Quality and Guarantee
1. Party B shall ensure that the information technology services provided meet industry standards and guarantee stable and reliable service quality.
2. In case of quality issues with the service, Party B shall deal with them promptly, take remedial measures, and ensure the normal operation of the service.
3. Party B shall establish a 24-hour customer service hotline to receive Party A's inquiries, complaints, and other service needs and provide timely feedback.
Confidentiality Agreement
1. Both parties shall keep confidential any business secrets, technical information, or other information acquired during the performance of this agreement.
2. Without the written consent of the other party, neither party shall disclose the other party's business secrets, technical information, or other information to a third party.
3. After the termination or rescission of this agreement, both parties shall continue to maintain the confidentiality of each other's business secrets.
Breach of Contract Liability
1. If either party fails to fulfill any obligation under this agreement, they shall bear the corresponding liability for breach of contract.
3. The defaulting party shall bear all losses caused to the other party due to its breach of contract, including but not limited to economic losses and reputational damage.
4. In the event of a breach, the parties may negotiate a solution; if no agreement is reached, they may seek arbitration from the relevant authorities.
Amendment and Termination of the Agreement
1. During the service period, if changes to this agreement are required due to business development or other reasons, both parties shall reach a consensus through negotiations and sign a written agreement.
2. If either party needs to terminate this agreement, they shall provide written notice to the other party ________ days in advance and negotiate an termination plan.
3. After the termination of this agreement, both parties shall promptly settle any outstanding matters and jointly retain necessary records and data backups.
Other Agreements

3. This agreement is governed by the laws of the People's Republic of China. In case of a dispute between the parties, they shall seek an amicable resolution, and if not possible, submit to the jurisdiction of a competent People's Court.
