Whereas Party A intends to purchase advertising promotion services from Party B through internet promotion services, the two parties have reached the following agreement through consultation:
Article 1. Service Content
Party B will conduct advertising promotion and publicity to specified target audience through online platforms according to Party A's requirements and instructions, in order to enhance the visibility and sales of Party A's products or services.
Article 2. Service Fees
1. Party A shall pay the fees for advertising promotion services as provided by Party B's price list, and make payments according to the agreed payment method and schedule.
2. In case Party A terminates the cooperation in advance or breaches the agreement, resulting in the inability to continue the service, Party A shall pay the corresponding fees for the performed service.
Article 3. Confidentiality
Both parties shall keep confidential any business secrets and other confidential information obtained during the performance of this agreement, and shall not disclose it to any third party without the written consent of the other party.
Article 4. Liability for Breach of Contract
Any party that violates the provisions of this agreement shall bear corresponding liability for breach of contract and compensate the other party for any losses incurred as a result.
Article 5. Termination of Agreement
1. This agreement shall come into effect upon the signing by both parties, with a validity period of one year, and can be renewed upon negotiation upon expiry.
2. If either party terminates cooperation in advance, a written notice of 30 days in advance shall be provided to the other party.
Article 6. Dispute Resolution
Any dispute arising from this agreement shall be resolved through friendly consultation between the parties; if no agreement can be reached, it shall be submitted to the People's Court at the place where Party A is located for litigation.
