鉴于甲方拥有（保险公司名称）的保险产品代理资质，并有能力推广销售其保险产品；乙方具有销售保险产品的意愿，并具备丰富的保险销售经验和良好的市场口碑。为了双方的共同利益，经友好协商，达成如下协议：
第一条 保险产品代理范围
1.1 甲方授权乙方代理销售（保险公司名称）旗下的指定保险产品，具体保险产品范围和条款在附件《保险产品列表》中列明。
1.2 乙方在销售过程中，应当保证所销售的保险产品信息真实、准确，并遵循保险监管规定，保护客户合法权益。
第二条 代理合作期限
2.1 本合作协议自双方签署之日起生效，有效期为（具体日期），到期后自动终止，如需继续合作，应在到期前双方友好协商办理续约手续。
2.2 任何一方在合作期间有违反国家法律法规或违反本合作协议的行为，另一方有权提前终止合作协议，并要求赔偿损失。
第三条 产品推广和销售
3.1 甲方负责向乙方提供准确、最新的保险产品资料和宣传材料，协助乙方进行产品推广和销售。
3.2 乙方应认真学习掌握所销售保险产品的特点、条款和销售技巧，提升销售能力，并须定期参加由甲方组织的培训和考核。
第四条 保密责任
4.1 双方在履行本合作协议过程中，可能接触到对方的商业秘密和保险产品信息，应当严格保密，未经对方允许，不得向外泄露。
4.2 如因一方违反保密责任导致的信息泄露，需承担相应的法律责任，并赔偿对方的损失。
第五条 合作方式
5.1 本协议项下的合作方式为独家合作，乙方不得在与甲方有关保险产品的代理合作期间内与其他保险公司开展类似业务。
5.2 未经甲方许可，乙方不得私自改变或转让其代理权，否则将被视为违约，需承担相应的法律责任。
第六条 协议变更和终止
6.1 本合作协议任何一方如需变更或解除协议，应提前书面通知对方，并经双方协商一致后签订书面协议。
6.2 在合作协议终止后，双方仍应共同履行因合作而产生的义务，并保留解释和履行权利。
第七条 法律适用和争议解决
7.1 本合作协议适用于中华人民共和国法律，并由双方友好协商解决任何争议。
7.2 如发生争议，双方应首先通过协商解决，协商不成的，提交至有管辖权的人民法院解决。
第八条 其他事项
8.1 本合作协议自双方签署之日起生效。
8.2 本合作协议一式两份，甲、乙双方各持一份，具有同等法律效力。

Whereas Party A has the qualification to act as an agent for the insurance products of (Insurance Company Name), and has the ability to promote and sell its insurance products; Party B is willing to sell insurance products and has rich experience in insurance sales and good market reputation. For the mutual benefit of both parties, after friendly negotiation, the following agreement is reached:
Article 1 Scope of Insurance Product Agency
1.1 Party A authorizes Party B to act as an agent to sell the designated insurance products under (Insurance Company Name), and the specific range and terms of the insurance products are listed in the appendix "Insurance Product List."
1.2 Party B shall ensure that the information of the insurance products sold is true, accurate, and comply with insurance regulatory requirements in the sales process, and protect the legitimate rights and interests of clients.
Article 2 Term of Agency Cooperation
2.1 This cooperation agreement shall take effect from the date of signature by both parties, with a term of (specific date), and shall automatically terminate upon expiration. If it is necessary to continue the cooperation, both parties shall negotiate friendly renewal procedures before expiration.
2.2 If either party violates national laws and regulations or this cooperation agreement during the cooperation period, the other party has the right to terminate the cooperation agreement in advance and claim compensation for losses.
Article 3 Product Promotion and Sales
3.1 Party A is responsible for providing accurate and up-to-date insurance product information and promotional materials to Party B, and assisting Party B in promoting and selling the products.
3.2 Party B shall study and master the characteristics, terms, and sales skills of the insurance products sold, enhance sales capabilities, and regularly participate in training and assessments organized by Party A.
Article 4 Confidentiality Obligations
4.1 During the performance of this cooperation agreement, both parties may have access to each other's trade secrets and insurance product information, which shall be strictly kept confidential and shall not be disclosed without the other party's permission.
4.2 The party that violates the confidentiality obligation resulting in information leakage shall bear corresponding legal responsibilities and compensate for the losses of the other party.
Article 5 Mode of Cooperation
5.1 The mode of cooperation under this agreement is exclusive cooperation, and Party B shall not engage in similar business with other insurance companies during the agency cooperation period related to Party A's insurance products.
5.2 Without Party A's permission, Party B shall not change or transfer its agency rights privately, otherwise it shall be considered a breach and bear corresponding legal responsibilities.
Article 6 Agreement Amendment and Termination
6.1 If either party needs to amend or terminate the agreement, written notice shall be given in advance to the other party, and a written agreement shall be signed after mutual consultation.
6.2 After the termination of the cooperation agreement, both parties shall continue to fulfill the obligations arising from the cooperation and reserve the right to interpret and implement.
Article 7 Applicable Law and Dispute Resolution
7.1 This cooperation agreement is governed by the laws of the People's Republic of China, and any disputes shall be resolved through friendly negotiation between the parties.
7.2 In the event of a dispute, the parties shall first attempt to resolve it through negotiation. If negotiation fails, it shall be submitted to the competent People's Court for resolution.
Article 8 Other Matters
8.1 This cooperation agreement shall take effect from the date of signature by both parties.
8.2 This cooperation agreement is made in duplicate, with Party A and Party B holding one copy each, with equal legal effect.
