第一条 基本情况

第三条 承包费标准

第四条 甲方应按照国家和省有关出租汽车的规定及上级主管部门的要求，及时、准确办理相关营运手续。乙方在承包经营过程中，应遵守出租汽车客运相关法律法规的规定，遵纪守法、诚信经营、文明服务。
第五条 甲方根据《中华人民共和国道路交通安全法》和《中华人民共和国保险法》的相关规定，代乙方为车辆办理规定的强制参保险种（车上责任险）和其他相关保险的投保和续保手续，保险受益人为乙方。
当需要办理保险理赔事项时，甲方应协助乙方办理保险索赔手续。
第六条 合同有效期内，乙方应严格遵守交通法规，安全、谨慎驾驶车辆，确保乘客、第三人的生命财产安全。
乙方应对车辆、车上驾驶员、乘客及第三人的生命财产安全承担法律责任。若发生交通事故，乙方应及时向有关部门报案，并及时向甲方报告。甲方因交通事故赔偿和事故处理支出的实际费用有权按本合同规定向乙方追偿。
第七条 本合同有效期内，车辆营运变动成本，包括修理费、检测费、燃油费等由乙方承担。乙方应按照技术规范使用车辆，保持车辆技术状况完好。乙方不得转包营运车辆。本合同到期后，车辆（含附属设施、设备及相关证照）由乙方按规定处理。

第八条 乙方聘请出租汽车驾驶员的，被聘请的驾驶员必须经运管机构培训合格，取得出租汽车客运从业资格证，且应当经过甲方的同意，并将聘请的驾驶员的相关资料报甲方备案，服从甲方统一管理。
第九条 甲方的权利和义务
（一）甲方的权利：
1甲方有权对乙方经营活动实行监督和管理。
2、在合同有效期内，非因甲方原因造成乙方本人、乙方聘请的驾驶员、乘客及第三人的人身和财产损害的，甲方在承担赔偿责任后有权向乙方追偿。
3、在合同有效期内，车辆发生交通事故或由乙方引起的其他事故，造成甲方财产损失的，甲方有权向乙方索赔。甲方因处理事故支出的费用有权向乙方追偿。
4、乙方违反出租汽车客运管理法律法规或甲方管理规章制度，甲方可依据本单位的规章制度处理，直到解除本合同。
5、遇有重大的外事、抢险任务和主要客运集散点供车及其它特殊任务时，甲方可以调度乙方承包的车辆。
6、甲方有权根据经营需要，要求乙方适时对出租汽车进行更新。
7、甲方按照规定，有权组织乙方参加职业培训和安全教育。
（二）甲方的义务：
1、甲方有义务做好驾驶员、营运车辆及相关证件的年审工作。
2、甲方有义务协助乙方做好交通事故的处理工作。
3、甲方有义务提供营运所需的出租汽车客运票据。
4、甲方有义务及时宣传国家和省有关出租汽车客运法规政策。
5、甲方有义务组织乙方参加各项文明创建活动。
6、甲方有义务公示办事程序、办事结果及相关规章制度。
第十条 乙方的权利和义务
（一）乙方的权利：
1、在合同有效期内，乙方自主经营、自负盈亏，有权要求甲方依本合同的规定提供相应的服务。
2、乙方有权参加甲方组织安排的各种活动和安全培训。
3、在发生交通事故后，乙方有权要求甲方协助做好交通事故的处理工作。
4、乙方有权要求甲方提供营运所需的出租汽车客运票据。
（二）乙方的义务：
1、乙方应严格遵守国家的法律、法规和规章，守法经营，文明经营，保障乘客的合法权益。
2、乙方应接受甲方的监督和管理，遵守甲方内部管理制度，维护甲方的整体形象。
3、乙方应按时足额缴纳承包费给甲方。
4、未经甲方同意，乙方不得改变出租车内外设施，包括但不局限于车身颜色、营运标志、车身广告、车身喷字等。
5、乙方应保证完成甲方担负的外事、抢险、主要客运集散点供车及其它特殊任务。
第十一条 订立本合同所依据的客观情况发生重大变化，致使本合同无法履行的，经双方协商同意，可以变更本合同相关内容。
第十二条 经甲乙双方协商一致，本合同可以解除。
第十三条 乙方有下列情形之一，甲方可以解除本合同：
（一）严重违反行业管理规定或甲方规章制度的；
（二）发生重大服务质量事件，对甲方名誉造成恶劣影响的；
（三）被有关部门吊销《机动车驾驶证》、《从业资格证》的；

（四）被依法追究刑事责任的。
第十四条 违约责任
（一）本合同生效后，甲乙双方应严格遵守，并诚实信用地行使各自权利、履行各自义务，任何一方不得无故违约。如一方违约给另一方造成损失的，违约方应当向另一方承担赔偿责任。
（二）乙方不按约定向甲方支付承包费的，每逾期一天，乙方按拖欠费用总额的_________‰向甲方支付违约金。逾期30天仍没有按约定支付承包费的，甲方有权解除经营合同，由此造成的损失由乙方承担。
（三）乙方擅自转包车辆的，甲方有权解除经营合同，由此造成的一切损失由乙方承担。 （五）乙方无故不按照规定参加一年一度的轮训或者安全例会的，每缺一次处以100元罚款。
（六）乙方聘请驾驶员未向甲方报备的，每次处以100元罚款。
（七）因甲方原因办理相关营运证照不及时、代缴纳税费不及时给乙方造成的经济损失由甲方承担。

第十五条 乙方解除本合同，应当提前30天以书面形式通知甲方。
乙方给甲方造成经济损失尚未处理完毕或因其他问题正在被审查或处理期间，乙方不得依据第一款解除本合同。
第十六条 本合同期限届满，本合同即终止。在本合同期满前30天甲方向乙方表明终止或续订意向，经双方协商同意续订经营合同。
第十七条 甲乙双方当事人任何一方违反本合同规定，给对方造成损失或损害的，应当依据国家和湖北省有关规定承担赔偿责任。
第十八条 当事人约定的其他内容：_________。
第十九条 因履行本合同发生争议，当事人可以向仲裁委员会申请仲裁，对仲裁不服的，可以自收到仲裁裁决书之日起15天内，向人民法院提起诉讼也可直接向人民法院提起诉讼。

一、预习是学习的重要环节上课前充分预习，考试前充分地复习，及“打有准备之仗”有同曲之道。预习效果好，听课才能有针对性；听课有针对性，复习才能顺利进行；复习深刻，作业、考试才能得心应手。所以说预习是学生学习过程中一个必不可少的环节。　
　　二、掌握好高效的听课方法课上集中精力听课，是掌握知识的捷径。听讲时，思想上必须及老师讲解的思路保持一致，听老师对事物是怎样分析、推理；听老师解决问题是用什么方法、技巧；听老师对问题有哪些提问和解释。这样才能把握住听课的重点。听讲中，要把自己在预习中的理解，和老师讲解的相比较，看自己和老师有哪些相同点和区别点。　
　　三、合理安排复习时间很多科学家通过研究发现，有几个时间段有利于巩固记忆：一是学习后最初几分钟内，电生理活动引起蛋白质的合成；二是学习后在48小时内复习；三是一周之后脑突触发生永久性变化。根据人在学习过程中这一生理变化，采用复习加强记忆就显得特别重要了。如果我们能够在学习的内容即将忘记时进行复习，那么复习的效果最好，效率也最高。著名的心理学家艾宾浩斯通过实验发现了人的记忆及遗忘规律。实验证明：在学习仅过了20分钟后，就忘记记忆内容的42%，1天后忘却量已经达到了66%，到了第31天，忘却量高达79%。他根据实验结果，画成了著名的遗忘曲线。并表明遗忘的规律是“先快后慢”。这条规律提示我们，—定要尽早、及时地对所学知识进行复习，以便在知识还在大脑内时就加深印记，否则大脑中已经没有痕迹了，只能再费精力重学。合理安排复习时间特别重要并且必要，制定复习计划，严格按精英特计划执行，并力求形成习惯，是我们每一位学生都应该力求努力做到。　我们为什么要复习呢？因为我们记忆效果没有那么好，不可能过目不忘，所以需要重复、增强记忆。同时，复习的进展也有利于学习效率的提高。　
　　四、做作业的科学方法这里有七种做作业的技巧：
　　1、先复习后做作业。复习是做好作业的关键，只有复习得好，作业才能做得好。做作业前先把老师这一节课所讲的内容认真地看一看，弄清楚基本原理和概念后再去做作业，作业才能做得既快又好。
　　2、认真审题。 做作业最关键的—步就是审题，连题都判断错了，作业内容就全错了。首先第—步要弄清楚题目的内容，所给的条件，什么要求，需要联系哪些知识等等；其次是考虑好解题思路、方法、步骤，要善于把—道题分成几部分，化大为小、化难为易、分清其中的已知和未知，弄清各部分的联系，设计好整个解题步骤，—定要让自己做到不明白题意不做题，不清楚方法步骤不下笔。
　　3、细心的做题。 做题是表达思路的全过程，这个过程要求既动脑、又动手。做题的关键是要保证“规范”、“准确”。要做到这两点就要求学生认真的抄好题，书写格式必须正确、规范，严格按照各类题的解题要求，仔细演算解题的每—步，得出正确的结果。只有平时做题认真细致，步骤完整，思路正确，表达严密，准确无误，考试时才能按照这种良好的习惯进行
　　五、重视错题积累在学习的过程中，同学们可能遇到过一错再错的现象
