This Agreement is made among the parties concerned on the basis of equality and mutual benefits to develop on terms and conditions mutually agreed upon as follows:

2. 独家代理权授予
Appointment of Exclusive Agent:
甲方正式委任乙方为其在第四条所列区域独家代理商，乙方接受甲方委任。甲方同意不直接或间接、或与其他任何非乙方第三方单位建立契约关系来销售附件二中产品到代理区域。乙方承诺在上述区域内不销售非甲方生产上述同类型产品。
Party A hereby appoints Party B as its exclusive agent in the territory stipulated in Article 4, and at the same time, Party B accepts the appointment of Part A unanimously. Party A agrees not to enter into a contractual relationship with any third party entity in order to sell the product in the Annex Ⅱ to the territory, Party B agrees not to sell similar of other manufacturers in territory.

3. 商品和销售数量：
Commodity and Quantity:
3.1 指附带有附件一列明商标并在附件二中具体列出产品
Products shall mean the product shown in Annex 2 with the trademark exactly mentioned Annex 1 herein.
3.2 销售数量：甲方要求乙方代理销售数量。本合同有效期内不低于 。
Sale target: the quantity that party A requires party B sale. Sale not less than pieces during the validity of this agreement.

5. 价格和付款:
Price and Payment terms:
5.1 价格：甲方同意给予乙方相关系列产品最优惠人民币价格（或每种产品详细价格表，见附件三）
Prices: Party A agrees to provide Party B the most favorable price for the produced produces.（Annex Ⅲ）
5.2 付款方式：双方都同意付款方式(或双方具体进行约定，如付款使用信用证或其他方式），由乙方开出，以甲方为受益人。信用证须在装运日期前 天到达甲方。)。
Terms of payment: by the terms agreed and accepted by each both parties.（Payment shall be made by confirmed, irrevocable l/c opened by the party B in favor of party a , which shall reach party a days before the date of shipment. ）

6. 销售价格:

9. 商情报告
Market Report
为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本协议代理商品进口与销售有关地方规章变动、当地市场发展趋势以及买方对甲方按协议供应货物品质、包装、价格等方面意见。乙方还承担向甲方提供其他供应商类似商品报价和广告资料。
In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.

10. 广告及费用
Advertising and Expenses
根据乙方销售活动和市场运作活动计划甲方有义务向乙方提供广告支持，包括提供样本，宣传册，电子版样本和大型广告图画等。乙方负担本协议有效期内在上述区域内销售代理商品做广告宣传一切费用，并向甲方提交所用于广告声像资料，供甲方事先核准。
Concerned advertisement material for party B including supplying catalogues, leaflets, documents and big advertisement pictures.
Party B shall bear all expenses for advertising and publicity in connection with the commodity in question in territory within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.

11.技术支持和培训条款：
Technology support and training terms:
11.1 技术资料支持：甲方应向乙方提供较为详细和精准图册和电子版。
Technical Support: party A provides party B a more detail and accurate books and electronic components.
11.2 技术培训：甲方有对乙方售后技术人员来国内进行维修技术培训义务。
Technical training： party A has the obligations to train party B’s after-sale technical personnel.

12. 工业产权
Industrial Property Rights
12.1 在本协议有效期内，为销售有关产品，乙方可以使用甲方拥有商标，并承认使用于或包含于产品中任何专利商标、版权或其他工业产权为甲方独家拥有。 一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。
Party B may use the trade-marks owned by Party A for the sale of the product covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the product shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.
12.2 乙方不得申请注册附件一所列商标或者申请与其商标相同或相似商标。未经甲方专门允许情况下，乙方在任何时候都不得表述其拥有商标权利和商标所有权。乙方必须同意不作出任何损害商标权利或所有权行为或事件。
Party B shall not apply for the registration of the trademarks in Annex Ⅰor cause to be done so in whole or in part or other trademarks similar thereto with respect to the products or any other products in territory. Party B shall not represent at any time that it has any right or title in and to the Trademarks except as otherwise specifically provided for herein and shall agree not to do or cause to be done any act or thing which may in any way impair the right or title of the Trademarks.

13. 协议有效期
Validity of Agreement
13.1 协议生效:此协议自有关当事人签署之日起生效。
Effectivity of sole agent agreement: the sole agent agreement will come into force upon duly signatures of the concerted parties.
13.2 协议有效期： 年 月 日到 年 月 日
This agreement when duly signed the concerned shall remain in force to be effective from to .
13.3 如果乙方未能完成协议规定阶段目标销售量 %，甲方有权单方面终止协议，如果乙方完成规定阶段目标销售量 %本协议继续生效。
If party B couldn’t fulfill the % of sales target required, party A has the right to terminate the Agreement unilaterally. Party B shall be treated as qualified exclusive agent and exclusive exporter if party B reaches the sales target no less than %, the agreement will be effective.
13.4. 协议终止
Termination
在本协议有效期内，如果乙方被发现违背协议条款，甲方有权终止协议。
During the validity of this agreement, if party B is found to have violated the stipulations herein, party A has the right to terminate this agreement.

14. 不可抗力
Force Majeure
由于水灾、火灾、 地震、干旱、战争或协议一方无法预见、控制、避免和克服其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响一 方须尽快将发生事件通知另一方，并在不可抗力事件发生15天内将有关机构出具不可抗力事件证明寄交对方。
Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

15. 仲裁条款：
Arbitration ：
此协议适用于中华人民共和国法律。如有争端，双方友好协商解决。如协商不成，均应提交中国国际经济贸易仲裁委员会天津国际经济金融仲裁中心，按照申请仲裁时该会实施仲裁规则进行仲裁。仲裁裁决是终局，对双方均有约束力。
This agreement is enforceable in China court of laws and regulations. Incase any disputes, firstly both parties shall discuss for the settlement friendly. If can not reach agreement, shall be submitted to Tianjin International Economic and Financial Arbitration Center of the China International Economic and Trade Arbitration Commission, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

16.其他条款:

此协议一式两份，在双方签字盖章后，甲乙双方各执一份。其他未尽事宜，双方可以进行协商签订附件。附件具有同本协议同等法律效力。该协议及其附件中有中英文两个版本构成，两种版本具有同等法律效力。本协议及其以后签订附件传真以及扫描件和协议正本原件具有同等法律效力。
The Agreement is in duplicate and each party held one copy. Other issues shall be negotiated and signed as the attachment of the agreement. And all the attachments of this Agreement have the same legal force with this Agreement. The Agreement has both Chinese and English versions and the both versions have the same legal force. Any kinds of copy(faxed or scanned copy) of this Agreement and its attachments which to be signed will have the same legal force as the original copy.
