10、 the Employee’s working hours are stipulated according to item __ below: 基于员工工作岗位的性质,员工的工作时间如下文第项所述: (i) Standard working hours: The Employee shall work 8 hours a day and 40 hours per week; or 标准工作时间:员工应每日工作八小时,每周工作四十小时;或 (ii) Flexible working hours: The Employee shall perform his/her duties a

11、t the Company flexibly and in a timely manner, pursuant to the business needs of the Company and based on the requirements of the Employee’s position. As the Employee has flexible working hours, the Employee hereby explicitly acknowledges that he/she shall not be entitled to overtime payment as oth

12、er employees who have standard working hours may be for their work after normal working hours at the Company or during holidays. 不定期工作时间:根据公司的业务需要和员工工作岗位的规定,员工应灵活和及时地履行其在公司的职责。由于员工的不定期工作时间,员工特此确认:与其他实行标准工作时间的员工不同,该员工不由于在标准工作时间之外的时间和节假日工作而享受加班费的待遇。 3.2 The Employee shall be entitled to ____ worki

13、ng days of annual paid leave during the first calendar year of service. For each subsequent calendar year, the days of the annual paid leave of the Employee shall increase by one (1) day, provided that, the maximum days of annual paid leave is fifteen (15) working days. For any calendar year that t

14、he Employee does not work for the Company for a full year, the days of annual paid leave for the Employee shall be calculated pro-rata on the basis of the actual months that the Employee has worked for the Company in that year. 员工在第一个日历年的服务期间享受个工作日的带薪年假。在随后的日历年度里,员工的带薪年假天数将每年增长一(1)天,但最多不超过十五(15)个工作

16、ly affected owing to the absence of the Employee. 员工应根据公司的业务需要并应依照公司的有关批准程序安排带薪年假,以保证公司的业务不会因员工休假而受到不利影响。 3.3 The Employee shall enjoy the Chinese public holidays, statutory leave applicable to the concerned Employee, and all other holidays that are granted in accordance with the rules and regul

17、ations of the Company. 员工应享受中国的公共节假日、合用于该员工的法定假期、以及按照公司的规章制度拟定的其他所有假期。 4. LABOUR PROTECTION AND WORKING CONDITIONS 劳动保护和劳动条件 The Company shall provide the Employee with the necessary working conditions and facilities/equipment. The Company shall also establish and maintain a labor security and

18、 sanitary systemthat comply with applicable laws and regulations on workplace health and safety. 公司应为员工提供必要的劳动条件和设施/设备。公司亦应建立和保持一个符合工作场合健康和安全法规规定的劳动安全和卫生体系。 5. REMUNERATION 劳动报酬 5.1 The Company shall provide the following remuneration to the Employee: 公司应向员工提供下列待遇: (i) A base salary of RMB

19、 Yuan per month; Notwithstanding the forgoing, during the probationary period as set forth in Section 1.3 above, the base salary shall be at the amount of RMB Yuan per month; The monthly salary shall be paid on 10 in each month. 月基本工资为人民币 元(尽管有上述规定,在上文第1.3条规定的试用期内

20、月基本工资为人民币_____________元);月薪应于每月10日支付。 (ii) A year end bonus, based on the Employee's performance, at the Company's discretion (notwithstanding the forgoing, for the first calendar year at the Company, the year end bonus of the Employee will be paid pro-rata on the basis of actual months that the E

24、相关的社保机构自费为员工缴纳法定的社会保险(涉及员工个人应承担的部分)。 5.3 The Company shall deduct and withhold from the Employee's monthly salary the corresponding amount of individual income tax that the Employee is obligated to pay according to law. 公司应从员工的月工资中依法代为扣缴员工应缴纳的相应个人所得税。 5.4 If the Employee follows the system of "st

25、andard working hours" as stipulated in item (i) of Section 3.1 above, the Company shall make overtime payments to the Employee for his/her overtime work for the Company in accordance with Chinese law. Notwithstanding the foregoing, any overtime work must be approved in advance by the relevant mana

26、gement of the Company according to the relevant rules and regulations of the Company. 假如员工按照上文第3.1条第(ⅰ)项规定的“标准工作时间”工作,公司应根据中国法律的规定就员工的加班工作向员工支付加班费。尽管有上述规定,任何加班需经公司相关管理层按照公司的有关规章制度事先批准。 6. LABOR DISCIPLINE, RULES, AND REGULATIONS OF THE COMPANY 劳动纪律和公司的规章制度 6.1 The Company shall be entitled, in

27、 its sole discretion, to formulate and revise its labor discipline and its corporate rules and regulations from time to time, provided the Company notifies the Employee of any new or revised labor discipline, or corporate rules or regulations before they take effect. 公司有权自行酌处,不时地制订和修订其劳动纪律和公司规章制度;但

28、是,在任何新制订或修订的劳动纪律或公司规章制度生效前,公司应告知员工。 6.2 The Employee shall carefully read and fully understand all labor discipline, rules, and regulations of the Company; and, the Employee shall strictly comply with and abide by the same. 员工应仔细阅读、充足理解、并严格执行公司的所有劳动纪律和规章制度。 Any violation of the labor discipline,

29、 rules, or regulations of the Company shall be deemed a serious violation of the Agreement. 任何对公司的劳动纪律或规章制度的违反均应被视为本协议项下的重大违约。 6.3 As a condition of employment, Employee shall sign and agree to abide by the Confidentiality, Non-Competition and Intellectual Property Rights Agreement, which is attac

30、hed as Exhibit A hereto. 作为本协议的条件,员工应签署并批准遵守《保密,竞业严禁及知识产权保护协议》(见本协议附件A)。 7. AMENDMENT, NULLIFICATION, AND TERMINATION OF THIS AGREEMENT 协议的变更、解除和终止 7.1 Except as otherwise specified herein, any amendment to this Agreement shall be made jointly by the Parties in writing. 除本协议另有约定之外,本协议的任何修订均应由

31、双方共同书面做出。 7.2 This Agreement may be nullified and then deemed null and voidif mutually agreed to in writing by both Parties. 经双方书面协商一致,可解除本协议。 7.3 Termination of the Agreement 协议终止 7.3.1 This Agreement shall be terminated in any of the following circumstances: 有下列情形之一的,本协议终止: (i) the Agreemen

32、t expires and is not renewed according to Section 1.2 above; 协议期满并且未依照上文第1.2条续延; (ii) the Employee has lost the relevant professional qualification required for performance of his/her working duties as agreed herein (e.g., driver's license, accountant's qualification); 员工不再具有为履行其在本协议项下的工作职责所规定的相关

33、专业资质,例如,驾驶执照,会计师资格; (iii) the Employee retires in accordance with applicable Chinese law, dies, or is declared dead or disappeared by a court; 员工根据中国法律退休,死亡,或被法院宣告死亡或失踪; (iv) the Company goes into bankruptcy, dissolution, or revocation; 公司破产、解散、或者被撤消; (v) the Employee has been confirmed by aqua

34、lified examination agency as having partially lost the capacity to work owing to an occupational disease or an on-duty injury; and, the Company has paid relevant disability subsidy according to law; 员工患职业病或因工负伤,已被合格的鉴定机构确认为部分丧失劳动能力,并且公司已依法支付伤残就业补贴金; (vi) the Employee has been confirmed by a qualif

35、ied examination agency as having completely or materially lost the capacity to work owing to an occupational disease or an on-duty injury; the Company has paid relevant disability subsidy according to law; and, the Company and the Employee have consulted and reached agreement to terminate this Agree

36、ment; or 员工患职业病或因工负伤,已被合格的鉴定机构确认为完全或大部分丧失劳动能力,公司已依法支付伤残就业补贴金;并且,公司和员工协商一致终止本协议;或 (vii) any other circumstances as provided for in law or any other termination events that the Company and the Employee have agreed herein. 法律规定的任何其他情形、或公司和员工在本协议中约定的任何其他终止情形。 7.3.2 Notwithstanding anything to the co

37、ntrary in Section 7.3.1 hereof, in the case of any of the following circumstances, this Agreement shall not be terminated in accordance with Section 7.3.1 above until the following circumstance disappears: 不管上文第7.3.1条有何不同规定,有下列情形之一的,本协议应顺延至下列情形消失时方可根据上文第7.3.1条被终止: (i) the Employee is undergoing a

38、prescribed period of medical treatment for an illness or for an off-duty injury; 员工患病或者非因工负伤,在规定的医疗期内; (ii) the Employee (if the Employee is a female) is pregnant, in confinement or nursing; or 员工(若是女员工)在孕期、产期、哺乳期内;或 (iii) other circumstances under which the applicable law prohibits the termina

39、tion of this Agreement. 合用法律严禁本协议终止的其他情形。 7.4 The Company may unilaterally and immediately nullify this Agreement in any of the following circumstances where: 有下列情形之一的,公司可以单方面随时解除本协议: (i) the Employee has failed to satisfy the specified recruitment requirements of the Company during the probatio

40、nary period as set forth in Section 1.3 above; 员工在上文第1.3条规定的试用期内被证明不符合公司的有关录用条件; (ii) the Employee has seriously violated the labor discipline or the rules or regulations of the Company; 员工严重违反劳动纪律或者公司的规章制度; (iii) the Employee has breached material agreements entered between the Company and the

41、Employee, including but not limited to, the Confidentiality, Non-Competition and Intellectual Property Rights Agreement(See Exhibit A); 员工违反和公司另行签订的重大协议,涉及但不限于,保密,竞业严禁及知识产权保护协议(见附件A); (iv) the Employee has committed an action of serious dereliction of duty or corruption, and thereby caused substan

42、tial harm to the interests of the Company, for example, causing serious injury or death of another person; 员工严重失职或营私舞弊,并因此导致对公司利益的重大损害,例如,致使别人重大伤亡; (v) the Employee provided false information in his/her application for the position (e.g., information pertaining to his/her identity, education backg

43、round, and employment history); 员工在应聘时提供虚假信息,例如,身份、教育背景、和工作经历; (vi) the Employee is subject to criminal penalty; or 员工被依法追究刑事责任的;或 (vii) Other circumstances as provided by applicable law. 合用法律规定的其他情形。 7.5 Unilateral Nullification by the Company 公司单方解除协议 7.5.1 The Company may unilaterally nu

44、llify this Agreement with thirty (30) days advance written notice in any of the following circumstances where: 有下列情形之一的,公司可以单方解除本协议,但是应当提前三十(30)日书面形式告知员工: (i) the Employee has fallen ill or has sustained off-duty injury and cannot engage in the original work or any other work assigned by the Compa

45、ny to him/her upon the conclusion of his/her medical treatment; 员工患病或者非因工负伤,医疗期满后不能从事原工作,亦不能从事公司安排的其他工作; (ii) the Employee has been incapable of doing his/her job and remains incapable of doing so after receiving training or being transferred to another post; or 员工不胜任工作,通过培训或者调整工作岗位仍不能胜任工作;或 (ii

46、i) there has occurred a major change to the objective circumstances under which this Agreement was consummated, which has rendered this Agreement incapable of being performed, and the Parties have failed to reach an agreement on the amendment to this Agreement after consultation. 本协议订立时所依据的客观情况发生重

47、大变化,致使本协议无法履行,经双方协商仍不能就变更协议达成一致。 7.5.2 However, the Company shall not nullify this Agreement in accordance with Section 7.5.1 above in any of the following situations: 但是有下列情形之一的,公司不得依据上文第7.5.1条的规定解除本协议: (i) the Employee has suffered from an occupational disease or has sustained an on-duty injury

48、 and it has been confirmed that the Employee has completely or partially lost the capacity to work; 员工患职业病或因工负伤,并被确认完全或者部分丧失劳动能力; (ii) the Employee is undergoing a prescribed period of medical treatment for an illness or for an off-duty injury; 员工患病或者非因工负伤,在规定的医疗期内; (iii) the Employee (if the

49、Employee is a female) is pregnant, in confinement or nursing; or 员工(若是女员工)在孕期、产期、哺乳期内;或 (iv) other circumstances under which the applicable law prohibits the Company from nullifying this Agreement. 合用法律严禁公司解除本协议的其他情形。 7.6 Unilateral Nullification by the Employee 员工单方解除协议 7.6.1 Generally, the E

50、mployee may unilaterally nullify this Agreement by serving ninety (90) days advance written notice to the Company. 通常情况下,员工经提前九十(90)天书面告知公司,方可单方解除本协议。 7.6.2 Notwithstanding the provision of Section 7.6.1 above, the Employee shall be entitled to unilaterally and immediately nullify this Agreement
