Party A and Party B agreed to sign a contract according to the following terms and conditions:

2. 协议内容: 该项目安装设备包含: 3台高压柜, 1台1600kVA变压器, 8台低压开关柜, 计量用互感器和计量装置。乙方负责该项目全部设备、 电缆、 桥架和计量装置等电力部分安装施工和检验工作。施工完成后, 乙方负责本项目全部电力企业相关报验、 通电申请、 安装验收、 试验和最终通电工作。本项目为全套交钥匙工程。本协议价格含以上全部费用（除电力部门指定由业主自己交费项目外） The content of contract: The project equipment installation including 3 set of high-voltage switch cabinet, one 1600 kva transformer, 8 sets of low-voltage switch cabinet, mutual inductor used metering and metering device. Party b is responsible for installation and inspection of power part of all equipment, electric cable, bridge and metering device etc.about this project.Party B is responsible for all inspection electricity application、 installation acceptance、 test and the finally electricity work related to electric power company about this project.this project is full set of turnkey project. This contract price and above all charges.(In addition to the electric power department designated by the owner their own to pay.)
3.协议款: 美元
Project Funds: USD （Say only）
4.承包方法: 协议签署后, 预付款收到后50天完成全部安装工作, 55天时办理完项目验收工作。预付款收到后60-65天时确保正常通电。
Contracting type: After the contract signed, after the advance payment is received Party B will finish all the installed work in 50 days and have acceptance work of project transacted in 55 days. Party B make sure that all the equipment will be normally electrified in 60-65 days when the advance payment is received.

5. 付款条件（Conditions of Payment）:
1.协议签署后, 预付50%即 元人民币。
After the contract signed, prepay 50% of Project Funds which is ￥（RMB）.
2.项目通电验收后预付40%即 元人民币。
After electrified acceptance work of project finished prepay 40% of Project Funds which is ￥（RMB）.
3.通电验收后6个月时付清剩下10%即 元人民币。
Pay off the surplus 10% of Project Funds when electrified acceptance have finished 6 months which is ￥（RMB）.

6.甲方责任（Responsibility of TheBuyer）:
1.甲方全方面负责安装施工现场管理工作。
Party A is broadly responsible for the management of the installed construction site.
2.开工前3天, 甲方应为乙方入场施工发明条件, 腾空场地、 接通施工水电; 水电无偿提供给乙方。
In the three days before Project Commencement Date、 Party A should Creat the conditions for Party B to entrance for construction、 empty space、 get water and electricity through which are Party A free offer.
3.开工前10天, 甲方应为乙方提供已确定设计方案图及安装施工清单, 审查乙方分项工程施工方案, 确定工程范围。
In the ten days before Project Commencement Date, Party A should provide the identified design diagram and installed construction listing.
4.甲方中途终止工程, 应向乙方偿付协议款50%违约金。
Party A shall pay 50% of Project Total Value for Party B If Party A terminate the project midway.
5.按协议要求支付乙方工程款项。
Party A pay project funds for Party B in accordance with the provisions of this contract.

7. 乙方责任: Responsibility of Party B
1.所供产品安装工程完全符合国家和天津电力企业相关要求, 全部工作都以符合相关标准为标准, 不符合项, 主管部门提出后乙方得无偿改造, 直至验收合格为止。
The installed project of production,which is Party B provide, entirely conform to the provisions of the relative stipulation of the country and tianjin electric power company.
2.乙方确保进场相关施工人员安全, 并负责提供必需安全教育和安全保护方法, 并对危险工作和作业人员提供必需保险方法和有偿赔偿保障。全部乙方人员假如有安全事故或人员伤害甚至伤亡事故, 由乙方负全责, 与甲方无关。
Party B guarantees safety of entry relative construction workers, and is responsible for providing necessary safety education and safety protection measures. And provide necessary security measures and paid compensating insurance。Party B will take entirely responsibility If any security accidents or personal injuries even injuries and deaths happen to Party B’s workers , and has nothing to do with Party A.
3.乙方确保全部使用材料、 电缆、 桥架、 型材等都是满足国家标准要求合格达标产品, 不合格, 甲方有权要求乙方无条件更换。
Party B make sure that all used materials are qualified products which meet the national standard stipulation .if production not qualified, Party A shall be entitled to request Party B offer unconditional replacement.
4.乙方确保做到文明施工, 全部进场人员需经过安全施工教育, 服从甲方和乙方相关领导管理, 不做违规违纪事情。
Party B make sure that working must civilized and all entry workers need to be safety construction educated , workers must obey Party A and Party B’s relative management.

8.工期延误(project delay):
对以下原因造成完工日期延误, 经甲方代表确定, 工期对应顺延。
Completion date corresponding prolong for the following reasons makes completion date delayed, confirmed by Tarty A.

1. 增加工作内容
Add project content
2. 不可抗力
Force Majeure
3. 甲方未按协议约定时间提供符合要求图纸, 或修改范围不能立刻提供。
Party A do not provide satisfactory drawing according to the contract time.
4. 协议中约定或甲方代表同意给予顺延其她情况。
Promise in contract or other conditions which Party A agree to prolong completion date.

9. 不可抗力（Force Majeure）:
因为发生人力不可抗拒原因, 致使本合约不能推行, 甲方概不负责。不可抗力是指本协议不可抗力系指不可干预、 不能避免且不能克服客观情况。
Party B shall be exempted from any liability for failure of executing this Agreement or a portion of the goods under this Agreement in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this Agreement means unforeseeable, unavoidable and insurmountable objective conditions.

10. 仲裁（Arbitration）:
凡因本协议引发或与本协议相关任何争议, 均应提交中国国际经济贸易仲裁委员会天津分会, 根据申请仲裁时该会现行有效仲裁规则进行仲裁。仲裁裁决是终局, 对双方都有约束力。仲裁不成功时, 可向甲方所在地人民法院提出诉讼, 进行司法处理。
Any dispute arising from or in connection with this Agreement shall be submitted to Tianjin Branch of China International Economic and Trade Arbitration Commission for arbitration , and shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral awards is final and binding upon both parties. Arbitration is not successful,can file a suit with the location of Party A people's court, judicial solution.

11. 通知（Notification）:
全部通知用中英文写成, 并根据协议中地址用传真或快件或电子邮件方法送达给对方。假如地址有变更, 一方应在变更后2日内书面通知另一方。
All notification and other information in China and English languages, shall be sent by fax or express mail or e-mail to each other in accordance with the address specified in this contract. If any changes of the addresses occupied, a party shall, within 2 days, informed other party.

12. 适使用方法律（Governing Law）:
本协议全部方面将受中国法律和蒙古国法律约束, 并按其进行解释。
All aspects of this Agreement shall be governed by and interpreted in accordance with the laws of the People’s Republic of China and Mongolia.

13. 本协议为中英文两种文本, 两种文本含有相同效力。本协议一式6份, 双方各持3份.自预付款抵达后生效。
This Agreement is executed in six copies in Chinese and English, each of which shall be deemed to have equivalent legal effect, each party keeps three(3), and shall become effective after advanced payments received to seller.
