2、专用知识,标识,及所有其他所有权不论是属于专利,数据,档案,计算机程序不论可用与否,硬件,软件及软件程序,计算机语言生产过程,算法, 源代码,工业流程,用户或承包商 名单,报价资料,产品成本资料,商务及财务资料,涉及任何一方的经营或预期经营资料或与之有关的所有类型的所有权,各方书面提供的或口头提及的,不论其是否被认定为保密、 机密。4 保密双方同意并严格保密,不向第三方泄露,并执行对 (1) 本协议的存在和内容; (2) 本协议及本协议范围内获取的机密信息,严格保密,并应采取一切可能的措施防止任何非授权的披露,这些措施至少应类似各方保护自己的保密信息所采用的( 包括安全地存档所有文件,有关纸张
3、、磁盘、磁 带及其他记录和保存机要信息的媒介)为本协议目的,保密信息只向有限数量的人员开放,即作决定的领导及高级人员,管理领导及有关工作人员。 ( 下称批准的代表)每一方应保证批准的代表完全了解上述的保密义务以及他们每人向任何一方承担类似的义务,如有必要签订一份与本协议对应的个人保密协议。本保密协议不适用于以下情况下所指的保密信息:在披露时,已向公众公开的信息;或者不是由于接受方违反协议, 而致使公开的信息;或者不是由于依赖于( 包括曾依赖于) 披露方的第三者违反协议,而致使公开的信息;或 披露前接受方已获知的信息;或 在任何时候从第三方合法获取使用并合法披露给其他方的信息;或 根据所有方事先
4、书面同意而披露的信息。泄露任何保密信息将构成对被泄密方的一项不可补救的伤害行为,并必引起赔偿,因此,泄密方人员、雇员、代表或任何其他单位或其他方破坏本协议所产生的损失、索赔、损害应承担责任及开支,包括合理的律师费。在下述第 7 款规定本协议告终时,每一信息接受方必须在终止日起三十天内退回所有保密信息给另一方,包括所有复印件。所有这些信息退回之后并不解除资料接受方的上述遵守保密的义务。遵守保密的义务同样适用于所有分析,记录或在保密信息基础上所作出的书面文件。双方有义务使任何有可能获取保密信息的个人或单位严格地执行本协议条款。5 禁止所有权转让根据本协议,对保密信息的所有权不能被转让,双方必须对各
5、自的保密信息保留独占权。因此双方应相互交流有关保密信息的所有权的情况,除非这些情况有相关应用法律限制或属于某项财产。接受方对被接受方依本协议提供的或授予的任何专利、数据、图纸、建议、观点、专有技术或方法没有所有权。6 其他6.1 完整协议本协议构成双方之间的涉及本协议目的有关的、单独的、完整的协议,而任何描写、许诺或补充修改均不能迫使一方来承担责任,除非有各方批准代表签署的后继的书面协议。6.2 继续有效本协议的任何一条款都有约束力,如要免除义务必须经各方书面同意。万一本协议的任何一条款由于法庭裁判或与某法律抵触而失效时,本协议其他条款仍有效。6.3 不能免除义务任何时候,某一方不遵守本协议的
6、条款时或任何时候某一方要求其他方不实施某一条款时,不应视为放弃该条款,亦不影响本协议或其部分的效力,其后也不能视为该方有权免除实施某一条款的义务。6.4 转让任何一方不应转让本协议或其效益而事先未得到其他方的书面同意。6.5 有效范围本协议在全球内有效。6.6 通知所有通知应交给:关于本协议第 6.6 条款,通知是按空邮投送、国际专送快递、人送、挂号信、传真等日期生效。7 生效期限本协议按最先所述日期生效,终止日期按以下几种日期中最先出现者计: 年月 日,并可延长 个月,除非任何一方以书面传真通知其他方关于它有意向终止计划中的合作,传真之后应以挂号信确认,该通知构成本协议的终止;或 各方签署了
7、一份能更好确定合作条款和条件的协议;或 各方书面协议表示终止合作。书面通知应在本协议终止日期至少两个月之前或相应延长期内任何时间发出,本相应第 4 款提出的保密义务在本协议或后继任何协议终止日期后 6 年仍然有效或经各方进一步商定。8 适用法律本协议适用于并受制于 相应的法律。9 争执关于本协议的发生争执, 如不能真诚的协商解决,则最终应按国际商会的仲裁规则由按该规则指定的三名仲裁人来解决。仲裁地点为法国巴黎,仲裁语言为英语。仲裁裁定结果具有最终效力,并对双方均有约束力。本协议以英文完成,一式两份,每方一份,其他版本只是便于合作双方的理解,没有法律效力。本协议在上述日期生效实施。甲方:地址:法

OBLIGATIONS AND RIGHTS OF THE PARTIES2.1. The Parties hereby reciprocally acknowledge that the Confidential
14、 Information which either Party, at its sole discretion provides to the other Party, and all rights contained therein and/or in relation thereto, are the exclusive property of the communicating Party and shall be held in trust by the receiving Party for the benefit of the communicating Party.Confide
15、ntial Information, if disclosed in writing shall be marked Confidential and, if disclosed orally and/or by visual inspection, Confidential Information will first be identified as confidential at the time of oral and/or visual disclosure and will subsequently be confirmed in writing within at the lat
16、est thirty (30) days following oral and/or visual disclosure, such written confirmation specifying and identifying the Confidential Information disclosed orally and/or visually.2.2. Each Party therefore undertakes to keep in the strictest confidence the Confidential Information received in whatever
17、form as specified hereinafter, and to protect and safeguard the same by taking measures at least equal to those applied or applicable to its own Confidential Information.Each Party agrees to use the Confidential Information received from the other Party solely in connection with the Project and shal
18、l refrain from any use of such Confidential Information for any purpose other than the Project.2.3. Furthermore, each Party agrees not to divulge or disclose, either directly or indirectly, in whatever form or by whatever means, the Confidential Information received from the other Party or any part
19、thereof to third parties without the prior written approval of the communicating Party.2.4. Any copies and/or reproductions of the Confidential Information shall contain any and all references to the relevant ownership rights and intellectual proprietary rights, as well as any and all markings expre
20、ssing the confidential nature of the copied Confidential Information.2.5. The Parties hereby agree that each Party has the right to disclose or give access to the Confidential Information received from the other Party and/or any part thereof to its employees to the extent such employees have a need
21、to know within the framework of the Project and provided the receiving Party obtained the necessary secrecy, confidentiality and non-disclosure undertakings from such employees prior to such disclosure or such giving access.2.6. The confidentiality obligation as set forth in this Article 2 shall com
22、mence as from the date of execution of this Agreement by both Parties and shall survive the termination of this Agreement for _ years.2.7. The confidentiality and non-disclosure obligation as set forth in this Article 2 shall not apply to Confidential Information:(I) of which the receiving Party has
23、 proved to the reasonable satisfaction of the communicating Party that it was in its possession prior to or at the time of the execution of this Agreement;(ii) which, at the time of communication to the receiving Party was publicly available or in the public domain;(iii) which the receiving Party ha
24、s proved to the reasonable satisfaction of the communicating Party was obtained by the receiving Party from a third party without any non-disclosure and/or confidentiality obligation;(iv) which the receiving Party has proved to the reasonable satisfaction of the communicating Party, became publicly
25、available through no breach of its obligations under this Agreement by the receiving Party;(v) which was independently developed by the receiving Party or its associated or affiliated companies without the benefit of data received from the communicating Party or an associated or affiliated company t
26、hereof.(vi) which the Receiving Party is legally required (by oral questions, interrogatories, requests for information or documents, subpoena, civil or criminal investigative demand or similar process) to disclose, provided that the Receiving Party promptly (and, in any event, before complying with
27、 any such requirement) has provided the communicating Party with notice of such requirement so that it may seek a protective order or other appropriate remedy.If only a portion of any Confidential Information falls within one or more of the foregoing exceptions, the remainder shall however continue
28、to be subject to the prohibitions and restrictions set out in this Agreement.2.8. The communication of the Confidential Information supplied under this Agreement does in no event confer or imply the grant or agreement to grant any license or other rights (e.g. intellectual property rights) to the re
29、ceiving Party, except as specifically set forth in this Article 2.The communication of the Confidential Information supplied under this Agreement does not allow or entitle the receiving Party to use, lease, sell, disclose to or otherwise dispose for the benefit of any party or person other than the
30、communicating Party, the analysis, products, sub-assemblies, assemblies or components, manufactured, designed or otherwise generated on the basis or by making use of the Confidential Information or by using the Confidential Information in combination with other information.NO WARRANTY WHATSOEVER IS
31、HEREBY MADE BY THE COMMUNICATING PARTY AS TO THE COMPLETENESS, FITNESS FOR ANY PARTICULAR PURPOSE OR ANY USE OF RESULTS BASED ON THIS INFORMATION AND ON THE NON-INFRINGEMENT OF INDUSTRIAL OR INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES OF AND BY THE CONFIDENTIAL INFORMATION SUPPLIED UNDER THIS AGRE
32、EMENT.3. TERM AND TERMINATION3.1. This Agreement shall come into force upon execution by both Parties and shall continue thereafter for enter term and may, other than in respect of the provisions relating to confidentiality contained in clause 2.6. Herein above, be earlier terminated by either Party
33、 upon thirty (30) days prior written notice to the other Party.3.2. Unless the rights and obligations of the Parties under this Agreement shall be incorporated in a subsequent Agreement between them, each Party shall, upon termination of this Agreement, immediately return all Confidential Informatio
34、n received from the other Party, together with any and all authorized copies or reproductions, or a duly executed certificate of destruction if such copies or reproductions have been destroyed.4. SETTLEMENT OF DISPUTES4.1. This Agreement shall be construed in accordance with and governed by _ laws.4

Any dispute arising in connection with or out of the performance or the interpretation of this Agreement, which the Parties cannot settle amicably, shall be finally settled by arbitration under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by three (3) arbitr
36、ators appointed in accordance with said Rules unless the Parties agree on one (1)arbitrator.The arbitration proceedings shall be conducted in English. Any decision resulting from such arbitration shall be final and binding upon the Parties.5. GENERAL PROVISIONS5.1. Nothing in this Agreement shall gr
37、ant to either Party the right to make commitments of any kind for or on behalf and or for account of the other Party without the latters prior written consent.5.2. No amendment to terms and conditions of this Agreement shall be valid and binding on the Parties hereto unless made in writing and signe
38、d by an authorized representative of each of the Parties.5.3. This Agreement shall be binding upon the Parties hereto and their respective successors, assigns, subsidiaries and affiliates.5.4.
