合作投资协议
甲方：上海红星美凯龙实业有限公司

1、 甲方是一家依法注册的以参股合作形式对家居茂及大型商业综合体进行实
业投资为主营业务的企业；
2、 为实现双方优势互补、合作共赢，甲乙双方有意取得江苏省如东市掘港镇通
洋南路西侧，友谊路北侧交界的约112亩的国有出让商业用地（以下简称“项目土地”），并在项目土地上合作投资建设家居商场（以下简称“经营物业”）和其他配套设施。
双方经协商一致，达成如下一致条款，供双方遵守：
1. 项目土地概况；现毛地（净地交付）
项目土地位置：江苏省如东市掘港镇通洋南路西侧，友谊路北侧交界
项目土地性质：国有出让商业用地
项目土地面积和主要控规指标：约112亩
项目土地现状：厂房和空地
以上各项数据最终以国有土地使用权出让合同及政府各项批文为准。
2. 本协议生效后，双方应在项目土地确定公开出让日期后合资设立项目公司，
项目公司注册资本为5000万元，其中甲方出资250万元、占5%股权，乙方出资4750万元、占95%股权。项目公司经营期限暂定为15 年（以工商部门登记为准）。
3. 甲、乙双方商定，以项目公司为竞买人参与项目土地公开出让竞买，如竞买
成功，则以项目公司为开发主体与政府签署土地出让合同并负责实施项目土地的开发建设。甲方除上述注册资金出资以外，不再向项目公司追加投资或提供股东借款，项目公司所需缴纳的土地出让金、相关税费及项目开发建设资金和营运资金等均由乙方负责筹措或以项目公司名义贷款筹集。
4. 甲方不参与项目公司的日常经营管理，但项目公司发生重大事项的，应当经
全体股东召开股东会并一致同意后方可实施，重大事项包括：修改公司章程；增资、减资、合并、分立、解散、清算、股权转让；出售经营物业产权；借贷、经营物业资产抵押；利润分配；对外投资；关联交易；审批年度经营预算。项目公司章程中应当包含本条款内容。
5. 双方同意，甲方享有优先分配项目公司经营利润的权利，即自经营物业开业
日起，甲方有权在每一会计年度按甲方出资额的16%（以下简称“优先利润”）优先分配项目公司的经营利润。项目公司应在经营物业开业后七日内向甲方分配第一年的优先利润，之后每年向甲方分配的优先利润应在该会计年度开始前支付完毕，项目公司其余经营利润均归乙方享有。上述约定不应被理解为固定回报条款。当项目公司的利润不足以确认为甲方优先利润时，项目公司仍应按约定时间支付同等款项，待项目公司实际可分配利润大于或等于已付款项时，项目公司确认为当期对甲方的利润分配。如项目公司经营期满或双方提前终止合作时项目公司实际可分配利润不足以确认为甲方应得的投资回报，不足部分由乙方另行支付给甲方。
6. 在甲方持有项目公司股权期间，禁止乙方将其持有的项目公司股权出让予从
事家具/家居建材生产、批发、零售、连锁经营、品牌管理等行业的企业。
7. 乙方作为项目公司的控股股东暨实际控制人，应当确保项目公司设立后能够
履行和承担本协议所设定之相关义务和责任，且乙方承担连带保证责任。
8. 如由于乙方/项目公司违约导致双方合作终止的，甲方有权要求乙方按照项
目公司剩余经营期限内甲方优先利润总额向甲方支付违约金。
9. 如双方未能在本协议签署后的六个月内成立项目公司，或在本协议签署后的
六个月内项目土地未能挂牌出让或项目公司未能成功竞得项目土地的，甲方有权单方面终止本协议。
10. 凡因本协议或执行本协议过程中所产生的争议，应首先通过友好协商解决，
在30日内无法协商解决的，任何一方均可将争议提交中国国际经济贸易仲裁委员会按照该会届时有效的仲裁规则进行仲裁。仲裁庭应由3名仲裁员组成，双方各指定1名，第三名仲裁员即首席仲裁员由该仲裁机构指定。仲裁裁决是终局的，对各方均有约束力。
11. 因解决争议所产生的仲裁费、差旅费、调查费、律师费等均由败诉一方承担。
本协议经双方法定代表人/授权代表签字并加盖公章后生效。本协议一式四份，双方各执两份。

3、 双方对于所移交的房产提供的一切资料，均负有保密义务及安全义务。
七、现有职工及机器设备安置问题一并由乙方安排。
