本协议在奇瑞汽车有限公司（以下称“甲方”）和@@@公司（以下称“乙方”）之间于______（日期）在中国芜湖签署。
This Contract is entered into as of the date ___ between Chery Automobile Co.,Ltd (hereinafter referred to as Party A) and @@@(hereinafter referred to as Party B)

鉴于甲、乙双方已于 年 月 日签订了一份分销协议（以下简称分销协议）；
Whereas Party A and Party B have signed the Distributorship Agreement (hereinafter referred to as the Agreement)

鉴于双方在 年的共同目标是谋求在该约定的区域甲方产品更大的市场份额、提高经营效率。
Whereas both Parties are to pursue bigger market share for Party A’s products and enhance business performance in the territory.

为此，在平等互利的基础上，双方签订本协议，作为经销协议的补充协议，约定如下：
NOW THEREFORE, in consideration of the equality and mutual benefits, both Parties hereby enter into this Contract, as a supplementary contract for the Agreement and agree as follows:

1．双方关系 RELATIONSHIP BETWEEN THE PARTIES
根据经销协议及本协议，甲方特此许可乙方在经销地区销售本合同第2条第 1款规定的产品（下称“合同产品”），乙方应按甲方要求提供规范的服务。乙方所被许可的权利，须在符合经销协议及本协议要求的条件下行使。

In compliance with terms and conditions of the Agreement and this Contract, Party A hereby grants Party B to sell and distribute the Products specified in
Article 2.1(hereinafter referred to as Contract Products) in the Territory, Party
B shall provide with normal and standardized services at the request of
Party A. Any rights granted by Party A or contained expressly or implicitly
in any contracts, agreement and appendices signed by both Parties shall be
performed fully and completely in accordance with the terms and conditions of
the Agreement and this Contract in the Territory .

2. 合同产品、采购计划及最低数量
Contract Products, Purchase Plan and Minimum Quantity
双方基于发展的需要和市场的目标，经认真协商约定如下：
Through serious negotiation on basis of mutual development and market objective, both Parties agree as follows

2.1在本协议有效期内， 乙方被许可销售的合同产品为 （本条款提及的编号按照签订本协议时甲方的内部编号为准）。
Within term of this Contract, Contract Products granted by Party A to Party B are , which shall be coded internally by Party A subject to the present codes.

2.2乙方在 年度合同产品的承诺采购的数量（下称“采购计划’）为 ______辆。
The quantity of Contract Products committed by Party B in (hereinafter referred to as Purchase Plan) shall be ____units.

2.3 根据已签订的经销协议第xx条xx项, 双方同意乙方在 年合同产品的年度采购最低数量为 辆(包括本协议提及的所有合同产品)。同时，

According to Article xx in the Agreement, both Parties agree that the annual minimum quantity of Contract Products (including all Contract Products referred in this Contract) in purchased by Party B shall be ____units. 2.4若本条款第3款约定的任何一类合同产品的最低数量没有完成，甲方有权终止乙方该类合同产品的经销权。
Party A has right to terminate the distributorship of Party B,in case that Minimum Quantity of each Contract Product specified in Article 2.3 is not accomplished by Party B.

2.5具体合同产品各车型年度采购数量及价格详见附件一《 年销售计划和价格》.产品价格将依据本条第六款进行调整。
The annual purchase quantity and price of each kind of Contract Products are specified in Sales Plan and Price as per appendix 1.The prices are adjusted in accordance with clause 6 of this Article.
2.6 双方同意在经销协议有效期内的任何时间段内，若人民币与美元的汇率变
化超过( )%，甲方将在该变化发生之日起15日内以电子邮件方式告知新的合同产品价格，该价格自通知发出之时生效。
The Parties agree that in case the exchange rate between RMB against USD varies by more than +/- ( )% , Party A shall notify Party B through e-mail, within 15 days after such change, during any period of the term of Agreement. The new prices of Contract Products shall be effective upon sending of the email.

This Contract and appendices shall be constituted as a supplementary or amendment to the Agreement and come into effect from the date of signature. Matters not mentioned in this Contract shall be in compliance with Sales Plan and Price.
