户外广告发布合同

　　广告主名称（以下简称甲方）： 比亚迪股份有限公司
　　广告公司名称（以下简称乙方）： 恒美广告公司(DDB)
　　甲乙双方根据《中华人民共和国广告法》、《中华人民共和国合同法》等有关法律、法规和规章规定，经友好协商，就发布广告牌事宜达成如下合同。
一、甲方委托乙方于 2014 年 05 月 01日至 2015年 05月 01日期间发布 比亚迪轿车的 户外广告，发布期为 1 年。合同期满后，在同等条件下，甲方有优先续约权，若甲方在合约到期前有续约的意向，须在 2015年 04 月 01 日前以书面的形式向乙方告之，否则乙方有权自行招商。
二、户外广告媒体形式、规格、地点等要求
　　1、媒体形式： 三面翻广告
　 2、数量： 1　　
3、发布地点： 山东省临沂市蒙山大道中段某某广场
　　4、交付时间：甲方于 2014 年 03 月 01 日前向乙方提供样稿和MO盘；乙方需在收到样稿和MO盘后， 10 天内向甲方递交喷绘小样，以便甲方确认。
　　5、喷绘画面有效尺寸： 1 X 2.6　　
6、 材料要求：使用反光喷绘材料，夜间也可以看到，三面翻广告牌，就用铝合金。
　　7、质量要求：灯布喷绘清晰、颜色均匀无色差（至少保证一年不褪色）；画面拼接处平整、对齐，没有明显的画面拼接痕迹；有足够的亮度、整体亮度均匀。
　　8、乙方保证每天夜间亮灯 6 小时。
三、广告采用甲方提供样稿，未经甲方同意，乙方不得改动广告样稿。
四、乙方有权审查广告内容和表现形式，对不符合法律、法规和规章广告内容和表现形式，乙方应要求甲方作出修改，甲方作出修改前乙方有权拒绝发布。画面最终以工商等政府部门批复为准。
五、广告验收：甲方接乙方发布通知单后，甲方须在 3 内对广告位进行验收，并书面通知乙方验收是否合格。如广告未达到合同质量要求（按合同条款二内所有条款要求），乙方须重新制作，若甲方未按期验收，则视为验收合格。
六、广告费用：RMB 6万 元/年，此款项包括一年的广告发布费、画面制作费、电费、维修费、日常保养费
七、责任与违约
1.有关广告牌的设置、维护、管理、拆除及拆除后建筑物设置部分的原状恢复等，一切费用与责任悉由甲方负担。
2.若有下列情形时，乙方有权解除本合同，并要求甲方立即撤除广告牌
A．未按本合同的约定支付设置费；
B．广告牌因设置不牢固或其他意外事件致使广告牌设施发生危险时；
C．甲方一个月内未曾派人对该广告牌进行管理、维护。
3.甲方必须保证其有权发布该广告并已经取得政府有关部门许可。如甲方广告发布手续不齐或广告发布违法被有关部门责令撤除撤除事乙方不退还已收的所有费用。
乙方必须保证其有权签定本合同，如乙方越权签定合同导致广告牌无法设置时乙方应退还所收的一切费用并赔偿甲方的损失。
八、本合同一经签订即产生法律效力。
