Terms of Shipment:Express Shipping, or logistics company is allowed.The freight is for the Buyers.8. 保险及货物所有权及风险转移：保险由买方办理。货物所有权自卖方交由第三方运输时刻起，由卖方转移至买方。货物毁损、灭失风险也一并转移由买方承担。VIIIInsurance The insurance is effected by the Buyer.The lost or damaged cargo shall reserve as the date the delivery of the Shipping or logistics company,the Ownership and Risk shall become the Buyer.9 单据：商业发票一份，装箱单一份IX DocumentsA. Packing List. 10.索赔：卖方同意受理因货物的质量、数量或规格与合同规定不符的异议索赔，但卖方仅负责赔偿由于制造工艺不良或材质不佳所造成的质量不符部分。有关安装不当或使用不善造成的索赔或损失，卖方均不予受理。提出索赔异议必须提供有名的、并经卖方认可的权威机构的检验报告。有关质量方面索赔异议应于货到目的地后3个月内提出，有关数量或规格索赔异议应于货到目的地后30天内提出。一切损失凡由于自然原因或属于运输方或保险公司责任范围内者，卖方概不受理。XClaimThe Seller shall grant the Buyer refers to claim about the non-confirmity of quality, quantity, and/or specifications of the goods according to the imperfect manufacturing technology or the inferior grades of material.These situation saves that installation corrosion or shortage of protection.The Buyer must provide the reputable survey report which the institution was granted by the Seller. The time limit for lodging a claim on the non-confirmity of quality of the goods is months after dischargest the cargo at the post of destination.The time limit for lodging a claim on the non-confirmity of quantity, and/or specifications of the goods is days after dischargest the cargo at the post of destination.The Buyer will exempted from the natural causes ,the deem of Third Party Transportation Enterprise or the extent of responsibility of insurer.11. 不可抗力：一旦发生不可抗力造成迟装运或不能交货，卖方可延长交货时间或者解除合同的部分或全部，但卖方必须在十四天内通知买方并提交买方可接受的公证机构出具的不可抗力事件的证明。如果不可抗力事件持续超过四个星期，买方有权解除合同。XIForce MajeureIf a force majeure situation occurs or there is any other adequate cause, The Seller may request the other to extend the Time of Taking Over upon giving the reasons within 14 days therefor . In this case, the number of days of extension shall be fixed through discussion between the parties.If the suspended period is weeks,the Seller may reserve to terminate these presents.12. 迟交货及罚款：除不可抗力外，如由于卖方的过错导致的延迟交货，买方有权解除合同，拒收货物，并有权向卖方索赔，卖方应支付罚金，罚金率按每天0.1计算，罚金不超过货款总金额的5%，罚金由付款行或买方在付款时直接扣除。XIILate Delivery and PenaltyIn the case that the Seller delays in delivery with fault liability,the Buyer may reserve to terminate these presents and to reject the goods,even to lodge a claim.The damges is the aggregate amount of 0.1 per day,the limit amount is the aggregate amount of5%.The munber of offset will be settled by the paying bank or the Buyer from the payment.13. 争议解决：双方如果发生争议，应当友好协商解决。如协商不成，任何一方均有权将争议提交广州仲裁委员会，按照提交仲裁时该会现行有效的仲裁规则进行仲裁，仲裁裁决是终局的，对双方均有约束力。XIIISettlement of Disputes The parties shall resolve friendly if the dispute initiates. If negotiations fail, any party has the right to submit disputes to the Guangzhou Arbitration Commission, in accordance with the current effective arbitration rules of arbitration, the arbitral award is final and binding upon the parties. 14. 语言: 本合同应以英文和中文两种语言签署和签订，而且双方之间与本合同有关的所有通信（所有文件和所有函件）应以英文和/或中文进行。若英文版本和中文版本之间存在与合同有关的矛盾，则应以英文版本为准。正本一式两份，双方各执一份。X IV LanguageThis Contract shall be executed and signed in English & Chinese and all communications (all documents and in all correspondence) between the parties relating to this Contract shall be done in English and / or Chinese.
