1、74专栏SPECIALS栏目责编:徐亦宁当前航运业正面临来自环保新规方面的压力。继去年推出定期租船合同 CII 运营条款后,BIMCO 今年又为航次租船合同制定了新的 CII 条款。关键提示BIMCO推出新航次租船合同CII条款具体条款无论本航次租船合同的其他条款如何规定,船东和承租人将就以下内容达成一致:(a)为了降低船舶的碳强度,船东/船长有权调整航线和/或降低速度或RPM,前提是在行使租船合同期间,船舶速度在良好天气条件下(双方在此插入定义)的任何航行中不得低于X节。(b)如果船舶按照第(a)款的规定航行,则应构成遵守且不得违反任何要求船舶按照通常/习惯航线行驶和/或以最大和/或适当的速

2、度航行(或任何其他类似/等效的表述,或租船合同项下约定的任何速度和燃料消耗保证)的义务。根据租船合同约定的装卸期不受本条款的影响。(c)承租人应确保由船东或其代表签发的提单、运单或其他证明运输合同的文件的条款规定,船东行使其在本条款下的权利不构成违反运输合同。当该提单、运单或证明运输合同的其他文件的条款对船东产生或由此产生比船东根据本条款承担的责任更繁重的责任时,承租人应赔偿船东因履行提单、运单或其他证明运输合同的文件内容而产生的所有后果和责任。(d)本条款不影响本租船合同规定的任何其他明示或暗示的使船舶以低于第(a)款规定的最低速度航行的权利。(e)根据租船合同完成最终卸货后的X天内,船东应

3、向承租人提供两项信息内容:一是根据租船合同消耗的燃料类型和数量的详细信息;二是压载航程及满载航程航行的距离。注:为使本条生效,必须填写第(a)款中“良好天气”的定义和最低航速。如果第(e)款中未插入天数,则默认为7天。BIMCO的其他碳条款包括2021年12月发布的现有船舶能效指数(EEXI)过渡条款,以及2022年5月底发布的定期租船合同碳排放交易系统配额(ETSA)条款。(徐亦宁编译)航运业正面临越来越多来自国际海事组织(IMO)和欧盟(EU)的环保新规压力。IMO碳强度指标(CII),即MARPOL公约 碳强度规则,已于2023年1月1日生效,所有5000总吨及以上的船舶都适用该法规。为

4、支持航运业脱碳,今年BIMCO为航次租船合同制定了新的CII条款。该条款已于2023年10月11日由BIMCO法律文件委员会通过,这是BIMCO一揽子碳条款的最新成果。BIMCO法律文件委员会主席NicholasFell表示:“随着航运业的绿色转型,市场对新合同和条款的需求随之增加。无论监管格局如何变化,我们一直在努力确保BIMCO的合同和条款均能符合脱碳目标。”2022年11月,BIMCO法律文件委员会通过了定期租船合同CII运营条款,早于IMO于2023年1月1日生效的CII法规。定期租船合同CII运营条款公布后,BIMCO新成立了一个小组委员会负责制定航次租船合同CII条款。这些条款旨在

5、促进相关方的合作,并在国际新法规生效时为船东和租船人提供更多的确定性,推动行业改变运营方式,以达到合规和减排的目标。BIMCO合同与支持部门主管StinneTaigerIv女士说:“新的CII条款侧重于航线调整和降速,并包含了数据共享等商业元素。在整个审批流程中,草案送达至法律文件委员会和由租船人和贸易商组成的业界咨询委员会,以广泛征求意见和建议。”BIMCO此次推出的航次租船合同CII条款以BIMCO2012年发布的航次租船合同“SlowSteaming”条款为模板,保留了该条款中的一些措辞,并专门针对MARPOL碳强度法规。该条款使合同双方根据指定参数调整船舶航线或航速或主机每分钟转数(R

9、l have to be converted into allowances,rising to 70%in 2025 and 100%of reported emissions in 2026.P72BIMCO adopts new CII clause for voyage charter partiesShipping lines will be required to report their emissions and purchase an equivalent number of allowances on the ETS market,according to a progre

10、ssive schedule.In 2024,40%of reported emissions will have to be converted into allowances,rising to 70%in 2025 and 100%of reported emissions in 2026.In November 2022,BIMCO s Documentary Committee adopted the CII Operations Clause for Time Charter Parties ahead of the IMO s carbon intensity indicator

11、(CII)regulation which entered into force on 1 January 2023.After its publication a new subcommittee was tasked with developing a CII Clause for Voyage Charter Parties which has now been adopted.These clauses aim to facilitate collaboration and provide certainty between shipowners and charterers as n

12、ew regulations come into force,changing the way the industry operates to assist compliance and cut emissions.The CII Clause for Voyage Charter Parties is broadly in line with the original BIMCO Slow Steaming Clause for Voyage Charter Parties 2012 maintaining some of the wording from that clause and

13、catering specifically for the MARPOL Carbon Intensity Regulations.In essence,this clause enables the parties to agree to an adjustment of the vessels course and/or speed or RPM in line with specified parameters as a tool to assist the parties in complying with the MARPOL Carbon Intensity Regulations
