专利和技术秘密使用许可协议

Whereas Licensor owns certain valuable Patent and Know-how Technology; and Licensee need to utilize and apply the Patent and Know-how Technology upon and in connection with the manufacture, sale and distribution of the Contract Products in OEM processing for Licensor and its assigned parties; Both parties authorized representatives, through friendly negotiation, agree to enter into this Contract under the terms as stipulated below.
鉴于许可方拥有一定价值的专利技术和技术秘密，且被许可方需要在为许可方及许可方授权方进行OEM贴牌代工和向许可方及许可方授权方出口OEM产品时实施和使用该专利技术和技术秘密，双方授权代表经友好协商，达成如下协议:

1. License Grant 使用许可
1.1 The Licensee agree to obtain from Licensor, and Licensor agree to grant Licensee the right to utilize the Patent and Know-how Technology stipulated in Appendix 1 solely and only upon and in connection with the manufacture, sale and distribution of the Contract Products in OEM processing for Licensor and its assigned parties.
被许可方同意从许可方取得，许可方同意向被许可方授予实施和使用附件1所指的专利技术和技术秘密的权利，且只在为许可方进行OEM贴牌代工和向许可方及许可方授权主体出口OEM产品时使用。
1.2 The name, model, specification and technical notices of the Contract OEM Products are detailed in Appendix 2.
协议所涉OEM产品的名称、型号、规格和技术参数详见本协议附件2。
1.3 The license and right are non-exclusive and untransferable.
此许可是非独占性的、不可转让的。
1.4 Notwithstanding the aforesaid, the purchase of components from vendor or subcontractor by Licensee for the Contract Products shall not be considered violation of this Agreement.
尽管本协议前述规定如此，被授权方向其供应商或分包商购买产品零部件的行为不应被视为违约行为。
2. License Term 许可期限
2.1 The term of the license hereby granted shall be effective on and shall continue until .
许可使用的期限自 起至 止。
2.2 This License shall be automatically renewed for a one year term unless either party hereto shall be given written notice to the contrary at least thirty (30) days prior to the expiration date.
本许可协议在每一个有效期末自动续展一年，除非一方在协议到期前30天书面通知另一方终止协议的执行。
3. Patent and Know-how Technical Document 专利文件
Licensor shall be responsible to provide Licensee with documents relevant to the said Patents and Know-How Technology being set out in Appendix 1 to the Agreement. The patent license, including the Letter Patent, content, instruction and related situation which Licensor applied for the patent from (Competent Patent Authority, Country) shall be provided by Licensor to Licensee before signing this Agreement.
许可方应在协议签订前，向被许可方提供专利相关文件和证书，包括但不限于专利技术的证书、内容、说明以及许可方向 (专利申请有权管理机关，国家)申请通过的有关情况。
4. License Fee and Royalty 许可费用
In this Agreement, the Licensee use the Patent and Know-how Technology for free.
在本协议中被许可方使用该专利技术和技术秘密，无需支付对价。
5. Guarantee 保证
5.1 Licensor guarantees that Licensor is the legitimate owner of the Patent and Know-how Technology herein and that Licensor is lawful in a position to authorize Licensee to utilize and apply the Patent and Know-how Technology upon or in connection with manufacture, sale and distribution of the Contract Products in OEM processing for Licensor and its assigned parties.
许可方保证是本协议中专利技术和技术秘密 的合法持有者，并且有权授予被许可方实施和使用。
5.2 In the course of implementation of the Agreement, if any third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise.
如果在协议执行过程中一旦发生第三方指控侵权时，则由许可方负责与第三方交涉，并承担由此引起的一切法律和经济上的责任。
6. Settlement of Disputes 争议解决
6.1 All disputes in connection with or in the execution of the Agreement shall be settled through friendly consultation by both parties.
因执行本协议所发生的或与本协议有关的一切争议，双方应通过友好协商解决。
6.2 In case no settlement to disputes can be reached through friendly consultation by both parties, the disputes shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The arbitration fee shall be borne by the losing party.
如双方通过协商不能达成协议时，则应提交中国国际经济贸易仲裁委员会深圳分会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。仲裁费由败诉方负担。
6.3 This Agreement shall be governed by the Laws of People’s Republic of China, without regard to its conflict-of-law principles.
争议的解决适用中华人民共和国法律, 且排除冲突法则的适用。
6.4 In the course of settling disputes, the Agreement shall be continuously executed by both parties except for the part which is under arbitration.
在争议的处理过程中，除正在进行仲裁的部分外，协议的其他部分将继续执行。
7. Communication 通讯
Within the validity period of the Agreement, the formal notice shall be made in written form in two copies, sending by registered airmail. The legal addresses of both parties of the Contract are as follows:
在协议的有效期内，正式通知应以书面形式，特快专递或航空挂号邮寄，一式两份。合同双方的法定住址如下：

8. MISCELLANGEOUS 其他
8.1 The termination of this Agreement shall not affect in any way the outstanding claims and the liabilities existing between the two parties upon the expiry of the validity of the Agreement or formal termination notice by one party.
本协议期满或单方面终止时，双方发生的未了债务不受影响，债务人应向债权人继续支付未了债务。
8.2 The text of the Contract and annexes are integral parts of the Agreement and have same legal force and effect.
本协议的正文和附件是不可分割的部分，具有同等法律效力。
8.3 The Contract is made out in English and Chinese in Two (2) originals, two (2) for each party.
本协议用中文和英文书就，双方各持两份。

Appendix 1 patent and know-how technical document (drawings, blueprints, design sheets, material specifications, photographs, photostats , general data and instruction)
协议附件1 专利技术和技术秘密的相关文件(专利证书、图纸、设计图、设计书、材料规格、图片、复印图和一般资料，说明书)
Appendix 2 OEM Product (name, model, specification, Package design and technical data)
协议附件2 OEM 产品名称、型号、规格、包装设计和技术参数办公场地租赁合同
根据国家有关规定，甲、乙双方在自愿、平等、互利的基础上就甲方将其合法拥有的办公场所租赁给乙方使用的有关事宜，双方达成协议并签订租赁合同如下：
一、 出租办公场所情况
甲方租赁给乙方的办公场所坐落在重庆北部新区星光五路8号19楼，建筑面积为300平方米。（甲方办公场地的一半）。
二、合租期限：
1、租期自2014年9月11日起，至2015年3月10日止。
2、租赁期满，甲方有权收回出租办公场所，乙方应如期归还，乙方需继续承租的，应于租赁期满前一个月向甲方提出书面要求，经甲方同意后重新签订租赁合同。
三、 租金：
甲乙双方约定，上述办公场所租金为100000元（大写：壹拾万元整）。一次性交清方可进场。
四、 其他费用
租赁期间，水、电、物业管理费、清洁工工资、花草养护费等费用甲乙双方各承担50 ％。
五、 办公场所使用要求和维修责任
1、 租赁期间，乙方应合理使用和爱护甲方办公场所及其全部设施、 设备，不得随意损坏，如有损坏，应照价赔偿。（详见公物登记表）
2、 乙方不得随意改变设施设备现状，如需装修和改变，应事先征得甲方同意，按照相关规定，向有关部门申请审批后，方可进行。
3、 在租赁期间，乙方应严格遵守国家的法律法规，不得利用甲方办公场地进行黄、赌、毒及其他违法犯罪活动。
4、 严格遵守消防、安全、卫生等相关规定，严防安全事故的发生，否则造成的一切后果由肇事方自行负责并承担相应的经济责任和法律责任。
5、 租赁期满，甲方如继续出租该房时，乙方优先，如甲方不再出租，乙方应如期搬迁。均不得随意损坏甲方设施设备。
六、办公场所转租和归还
1、乙方在租赁期间不得转租
2、租赁期满后，上述办公场所归还时，应当符合正常使用状态。
七、其他条款
1、上述办公场所租赁期间，如甲方提前终止合同而违约，应赔偿乙方三个月租金。租赁期间，如乙方提前退租视为违约，应赔偿甲方三个月租金。
2、租赁期间，如因产权证问题而影响乙方正常经营而造成的损失，由甲方负一切责任并给予赔偿。
3、租赁和同签订后，如企业名称变更、可由甲乙双方盖章签字确认，原租赁合同条款不变，继续执行到合同期满
八、本合同未尽事宜，甲、乙双方必须依法共同协商解决。
九、本合同一式肆份，甲、乙双方各执贰份，合同经双方签字盖章生效，具有相同法律效力。
