Commodities according to the terms and conditions stipulated below. 1、 Software Product（a） Software products Refer to the attached2、 Quality standards and Warranty（a） The seller to ensure that the storage software program CD-ROM or disk, encrypted letters can be used normally，If there is Non-human causes of physical damage，Year of entry into force of the contract the seller to give a free repair or replacement. （b） The Seller warrants that the sale of Kingdee software products in line with the Peoples Republic of China laws and regulations,And to ensure that within one year of entry into force of the contract,Software run substantially the functions specified in the product manual has been,If the product does not comply with the provisions of the product manual,The seller will be responsible for maintenance of software,If the product can not be repaired,Seller will be free to replace the software,The above is a seller only guarantee the quality of the product sold,The following causes of software problems, not repair the scope of:I)The buyer did not use the software in accordance with the provisions of the product manuals and other documents.II）The Buyer use a third-party softwareIII）Hardware or network failures causedIV）The buyer to use pirated software and database3、 Software copyright and the right to use（a） This contract permitted the right to use of the software，Kingdee software product belongs to Kingdee Software (China) Co., Ltd. And protected by the Copyright Law of the Peoples Republic of China and other relevant laws and regulations.（b） The buyer, according to the provisions of this contract, to pay for the use of the software products listed on the contract license fees,The seller grants the legal right to use software products in the buyer4、Delivery of content、The place of delivery、Manner 、time limit（a）Delivery of content：Software CD-ROM or disk、Encryption card（If there are）、Product Manual（b）The place of delivery：（Default address for the buyer company where, if have the other address, please fill out） （c）Manner：（The default for the seller to the buyer company，If there are other ways, please fill out ） The buyer own to take Express delivery The others： （d）Delivery period：From the effective date of this contract, within working days5、 The Payments of Software license（a） The Payments of Software license yuan6、 Method of settlementThe buyer to use the bank transfer payment,The seller does not accept cash payments,if not,Regarded as the buyer does not pay.7、 Payment terms（a）The buyer , From the effective date of this contract, within working days， deposit2.3 乙方向甲方提供的运行维护服务的有效期为壹年，自 2012 年 7 月 5 日生效，有效期至 2013 年 7 月 4 日。有效期截止后，如甲方有运行维护服务要求，必须另行签订运行维护服务合同。 第三条 付款方式 3.1 甲方应于本合同生效之日起的 3 个工作日内, 向乙方一次性支付本合同约定的运行维护费用。第四条 甲方责任4.1 确保许可软件的使用和管理, 确保许可软件运行环境 (包括计算机、打印机及相关硬件设备）的安全，为许可软件正常运行提供保障。4.2 定期做好系统数据备份并妥善保管。 4.3 在许可软件使用过程中发现许可软件异常，记录当前故障现象，并及时与乙方取得联系，便于乙方诊断。 4.4 在乙方进行运行维护时，根据乙方要求，指定配合工作的员工，提供必要的设备。 4.5 在乙方运行维护完成时，配合检查许可软件系统运行是否正常。第五条 乙方责任5.1 在甲方向乙方支付相应的服务费后，乙方将根据本合同约定向甲方提供许可软件 的运行维护。第六条 责任限制及有限保证6.1 乙方承诺根据本合同的约定向甲方提供服务, 但是对于因不可抗力或甲方因素导致的延误而给甲方造成的损失不承担任何责任。6.2 除本合同或其附件另有约定, 乙方对如下软件产品不提供任何运行维护：乙方及乙方代理之外的任何人未经乙方许可软件进行任何方式的修改而产生的软件；甲方未按照许可合同约定的范围及限制使用的许可软件；甲方所使用的任何第三方软件产品。6.3 除本合同或其附件另有约定，乙方提供的运行维护不包括以下情况：甲方人员非法操作、计算机设备感染病毒、第三方产品的故障、计算机设备故障、网络故障等导致许可软件无法正常运行；甲方因许可软件遗失、被盗、被误用或被擅自修改、计算机设备故障、网络故障、其他软件的故障、操作失误等情况造成的混乱和丢失。第七条 违约责任 任何一方违反本合同规定，造成本合同不能执行，须向另一方支付违约金，违约金金额为本合同金额的20%。 甲方：（章） 乙方：（章） 代表： 代表： 审批人： 审批人： 2012年06月 金蝶软件使用许可合同 第 4 页
