Cooperation Agreement
第一章 总则
Article 1 General Provisions
第一条 合作目的
Article 1 Purpose of Cooperation
甲方（以下简称"甲方"）为 公司，位于 ，法定代表人为 ，统一社会信用代码为 ； 乙方（以下简称"乙方"）为 公司，位于 ，法定代表人为 ，统一社会信用代码为 。
Party A (hereinafter referred to as "Party A") is Company A, located at , with legal representative , and Unified Social Credit Code ; Party B (hereinafter referred to as "Party B") is Company B, located at , with legal representative , and Unified Social Credit Code .
鉴于双方均具备相应的法人资格及履行本协议项下的合作义务的能力，为了双方的共同利益，特订立本协议。
Whereas both parties are legally capable and able to fulfill the cooperative obligations under this agreement, and for the mutual benefit of both parties, this agreement is hereby entered into.
第二条 合作内容
Article 2 Scope of Cooperation
甲方和乙方（简称"双方"）本着互惠互利、平等自愿的原则，经友好协商，就共同经营 事宜达成如下协议：
In accordance with the principles of mutual benefit, reciprocity, and voluntary equality, Party A and Party B (hereinafter referred to as "the Parties") have reached the following agreement through friendly negotiations on the joint operation of :
1. 合作方式：甲、乙双方为平等合作双方，共同投入资金、技术、人力等资源，建立合资公司进行经营管理。
Mode of Cooperation: Party A and Party B are equal partners in cooperation, jointly investing funds, technology, manpower, and other resources to establish a joint venture company for operation and management.
2. 合作期限：本协议自双方签字盖章之日起生效，合作期限为 年，届满后双方如需继续合作，可另行协商确定。
Term of Cooperation: This agreement shall come into effect upon the signing and sealing by both parties, with a cooperation period of years. Upon expiration, if both parties wish to continue cooperation, they may negotiate separately to determine.
2.1 合资公司的注册资金和出资比例为：甲方出资 万元，占注册资本的 %；乙方出资 万元，占注册资本的 %。
The registered capital of the joint venture company and the proportion of contributions are as follows: Party A shall contribute RMB , accounting for % of the registered capital; Party B shall contribute RMB , accounting for % of the registered capital.
2.2 双方应按照出资比例享有合资公司的利润分配权和决策权，合资公司的盈亏由双方按照出资比例承担。
Both parties shall have the right to profit distribution and decision-making in the joint venture company according to the proportion of contributions. The profits and losses of the joint venture company shall be borne by both parties according to the proportion of contributions.
2.3 合作期间，双方应积极合作，共同推动公司的良性发展，有利于双方长远利益的决策由双方共同商定。
During the cooperation period, both parties shall actively cooperate and promote the sound development of the company. Decisions beneficial to the long-term interests of both parties shall be jointly agreed upon.
第三条 合作管理
Article 3 Cooperation Management
3.1 公司经理由双方共同商定产生，公司经理的职责、权利及待遇由双方共同商定。
The appointment of the General Manager of the company shall be jointly agreed upon by both parties. The duties, rights, and benefits of the General Manager shall be jointly agreed upon by both parties.
3.2 公司管理体制、员工制度、财务制度等方面的规定，由双方共同商定并签署相关协议，确保公司的正常运营。
Provisions on the company's management system, employee system, financial system, etc., shall be jointly agreed upon by both parties and sign relevant agreements to ensure the normal operation of the company.
3.3 双方应共同严格遵守合作协议，如有违反，应承担相应的法律责任。
Both parties shall strictly abide by the cooperation agreement. In case of violation, they shall bear corresponding legal responsibilities.
第四条 经营风险
Article 4 Business Risks
4.1 合资公司的经营风险由双方共同承担，合资公司因经营风险导致的损失按照出资比例分担。
Both parties shall bear the business risks of the joint venture company. Losses caused by business risks of the joint venture company shall be shared according to the proportion of contributions.
4.2 如因不可抗力因素导致合资公司经营出现困难，双方应共同研究解决方案，确保公司的持续健康发展。
In case of difficulties in the operation of the joint venture company due to force majeure factors, both parties shall jointly study solutions to ensure the sustainable and healthy development of the company.
第五条 合作权利与义务
Article 5 Rights and Obligations of Cooperation
5.1 甲方和乙方应按照合作协议的要求，全面履行各自的合作义务，共同维护合作的顺利进行。
Party A and Party B shall fulfill their respective cooperative obligations in accordance with the requirements of the cooperation agreement and jointly maintain the smooth progress of cooperation.
5.2 双方应遵守国家法律法规和各项政策，不得从事任何违法违规的活动，维护合资公司的声誉和利益。
Both parties shall abide by national laws, regulations, and policies, and shall not engage in any illegal activities, safeguarding the reputation and interests of the joint venture company.
5.3 双方应保持合作期间的独立性，不得因个人利益对合资公司的决策产生影响，确保公司的独立经营和健康发展。
Both parties shall maintain independence during the cooperation period and shall not influence the decisions of the joint venture company for personal interests, ensuring the independent operation and healthy development of the company.
第六条 争议解决
Article 6 Dispute Resolution
6.1 双方如因本合作协议引起的任何争议，应通过友好协商解决；协商不成的，应提交 仲裁机构裁决。
In case of any dispute arising from this cooperation agreement, both parties shall resolve it through amicable negotiation. If negotiation fails, it shall be submitted to arbitration institution for decision.
第七条 协议变更
Article 7 Agreement Amendment
7.1 本协议任何条款的修改、补充或解释，须经双方协商一致，并以书面形式变更。
Any modification, supplement, or interpretation of any clause of this agreement shall be agreed upon by both parties through consultation and shall be amended in writing.
7.2 本协议的有效性、解释及履行，适用中华人民共和国法律。
The validity, interpretation, and implementation of this agreement shall be governed by the laws of the People's Republic of China.
