鉴于：
1. 甲方为一家拥有一定规模和资质的企业，具有本合同项下所要求的技术能力和服务能力；
2. 乙方为一家专业从事电子信息服务领域的企业，具有提供本合同项下服务所需的专业技术和经验；
3. 双方经友好协商，就甲方租用乙方提供的电子信息服务，达成以下协议：
第一条 服务内容
1.1 乙方应向甲方提供的电子信息服务内容包括但不限于：搭建、维护、升级甲方的电子商务平台，提供技术支持等。
1.2 乙方可根据甲方的实际需求，提供定制化的电子信息服务，具体服务内容由双方另行协商确定。
第二条 服务期限

5.2 未经对方书面同意，任何一方不得向任何第三方透露、传播或使用对方的保密信息。
第六条 违约责任
6.1 若一方未履行本合同下的任何一项义务，构成违约，应向对方赔偿因此造成的损失。
6.2 如因一方原因导致合同无法履行，对方有权解除合同，并要求违约方承担违约责任。
第七条 知识产权
7.1 双方在合作中产生的知识产权问题，按照双方事先书面约定的方式处理。
7.2 乙方不得利用在履行合同过程中获得的技术和信息，在未得到甲方授权的情况下用于其他用途。
第八条 争议解决

Whereas:

Article 1 Service Content

Article 7 Intellectual Property Rights
