第五条 协议的生效及其他
1、本协议经双方签字盖章后生效。
2、本协议生效之日即为股权转让之日，该公司据此更改股东名册、换发出资证明书，并向登记机关申请相关变更登记。

7 业务切结确认书签订后确认的款项如果在该确认书签订之后两年内对方公司破产导致不能回收，乙方应向丙方承担该笔坏账的50%。
8 退股转让款到达乙方帐户日，乙方即应将所保管的xx公司财物交还甲方。
9 本协议所列债权债务，甲方、乙方声明各自对外再无以“东莞市xx科技有限公司”之名义并且无甲乙双方共同签名的负债或签有其他可能产生债权债务之协议，否则行为人应承担所有一切之法律责任，赔偿未签名一方及xx公司因此造成所有损失(包括聘请律师的费用)。10本协议签订后双方必需遵守，任何一方违约而导致本协议不能履行的，违约方应向守约方按退股转让款的20%支付违约金。
11 不是归究于乙方的原因，超过2009年6月15日乙方仍无法收到退股转让款￥446853元，本退股协议自动终止，乙方仍占有东莞市xx科技有限公司50%的股份。并且乙方可追究
违约方的法律责任，违约方应按退股转让款的20%向乙方支付违约金。
